Skydance’s Debt Test: Can It Reach 3x Leverage After Buying Warner Bros. Discovery?

Skydance has set aggressive synergy, leverage and free-cash-flow goals after closing its WBD acquisition, but the cited financing figures do not establish a reconciled combined net-debt total.

Skydance has not published a reconciled closing figure for the combined company’s debt in the sources reviewed. Its plan is to generate more than $6 billion in annual run-rate synergies over three years, reach 3.0x net leverage by the end of 2029, and produce more than $10 billion in free cash flow by 2030. Those are management targets, not proof that debt has already fallen—or a promise to repay the entire balance within three years.

What is known about Skydance’s debt after the acquisition?

Paramount Skydance completed its acquisition of Warner Bros. Discovery on Oct. 6, 2026. The completion announcement describes the combined company as Skydance. But the available figures describe different parts of the financing and do not add up to a verified combined net-debt total.

Figure What it describes Source and qualification
$52 billion New debt raised for the acquisition Axios, 2026; this is not a reported combined-company net-debt figure.
$87.5 billion Warner Bros. Discovery debt Axios attributes this figure to Fitch Ratings; it is WBD debt, not the combined company’s net debt.
$47 billion New equity investment in Class B common stock Skydance’s Oct. 6, 2026 acquisition-completion announcement; equity is not debt.
$54 billion Committed financing, including a $49 billion 364-day secured bridge facility Paramount Skydance’s SEC Form 10-Q dated March 31, 2026; this pre-close commitment may have been superseded by final financing.

The $80 billion framing in the headline should therefore not be treated as a verified closing balance-sheet number. In particular, adding the reported $52 billion in new acquisition debt to the $87.5 billion attributed to WBD would combine distinct figures without establishing what debt remained outstanding at closing, what was refinanced, or how much cash the combined company held. Gross debt, cash and net debt are different measures.

How does management say it will bring leverage down?

Skydance’s stated route has two linked parts: reduce costs and turn the resulting earnings and cash generation into a stronger balance sheet. The company says the expected savings will come mainly from technology, integration and procurement, marketing, and real-estate rationalization. It targets more than $6 billion in run-rate synergies over three years.

Run-rate savings are not the same as cash already saved

A run-rate target describes an expected annual pace once savings are in place; it does not mean the full amount appears immediately in cash flow. Integrating systems, consolidating operations or changing property use can take time and can incur costs along the way. The completion announcement does not provide a schedule showing when each category will produce savings, how much has already been realized, or the cash costs of achieving them.

Free cash flow is the bridge to debt reduction

Management also targets more than $10 billion in free cash flow by 2030. Cash available after operating needs and investment can support debt repayment, but that outcome depends on the company’s definition of free cash flow and on competing claims on cash, including interest, taxes, capital spending and integration costs. The announcement does not provide a debt-paydown schedule that allocates the target between those uses.

Leverage can improve through more than repayment

Net leverage is generally a comparison of net debt with earnings, often expressed as a multiple. The multiple can fall if net debt declines, if earnings rise, or both. The 3.0x target is meaningful only alongside the company’s precise definition of net debt and its EBITDA basis; those details and a reconciled starting multiple are not established in the completion announcement. A lower ratio would not by itself show how much principal had been repaid.

Why is the timetable a high-wire act?

The plan depends on integrating two large businesses while realizing enough savings and cash generation to improve leverage on schedule. If savings arrive later than expected, integration costs are higher, or operating performance weakens, less cash may be available for repayment. If cash generation is strong, Skydance could make progress through a combination of debt reduction and earnings growth—but the public targets do not quantify each contribution.

Financing terms matter as well. Interest expense reduces cash available for other uses, while maturities and refinancing needs can constrain the timing of repayment. The figures cited above do not establish the combined company’s closing interest bill, maturity ladder or refinancing exposure, so they are not enough to calculate how quickly it can reduce principal.

Contemporaneous market skepticism is a risk signal, not evidence that the targets will be missed. A Reddit post reproduced and attributed concerns to Bloomberg and quoted CreditSights analysts; because the original Bloomberg reports were not directly reviewed, those concerns should not be treated as a verified consensus view. Skydance’s own completion announcement cautions that actual results can differ materially from its forward-looking targets and identifies integration, financing and execution risks.

What evidence will show whether the debt plan is working?

The most useful test is a consistent, post-close series of disclosures—not a single headline debt figure. Investors and readers can look for:

  • A reconciled balance sheet: gross debt, cash, net debt and any debt assumed, repaid, refinanced or newly issued at closing.
  • A clearly defined leverage calculation: the company’s net-debt and EBITDA definitions, the starting multiple, and comparable updates over time.
  • Realized synergies: savings achieved to date, their recurring annual run rate, the source of savings, and costs incurred to obtain them.
  • Cash-flow detail: reported free cash flow under a stated definition, alongside interest and integration spending, and any disclosed use of cash for debt repayment.
  • Financing and maturity updates: interest obligations, debt maturities, refinancing actions and relevant rating-agency assessments.

Until such disclosures establish a comparable starting point and show actual results, the defensible conclusion is that Skydance has announced an ambitious deleveraging plan, but the size and pace of the combined company’s debt reduction cannot yet be verified from the cited figures.
