David Ellison announced on October 2, 2026, that the combined Paramount and Warner Bros. Discovery company will be named Skydance. As of October 3, the merger had not closed: the companies expected it to close on October 6, subject to customary closing conditions. Paramount’s planned legal name and stock ticker changes were also prospective, not yet effective.
What Ellison announced—and what the name means
Ellison said Skydance would give the combined company an identity of its own while keeping Paramount, Warner Bros. and their brands in the spotlight. The name honors Skydance, the production company Ellison founded about two decades ago; it merged with Paramount in 2025. Axios reported the announcement on October 2, 2026: Axios.

In a video posted with the announcement, Ellison described the brands as “more than a destination” and “the launch pad.” The announcement concerns the identity of the combined company; it does not say that Paramount, Warner Bros. or the other consumer-facing brands will disappear.

No—not as of October 3, 2026. Paramount and WBD said they expected the transaction to close October 6, subject to customary closing conditions. Paramount’s October 2 SEC filing said it intended to amend its certificate of incorporation to change the corporate name to Skydance Corporation, with the change expected to take effect October 6. The filing also described a planned NYSE listing and ticker change from PSKY to SKYD, expected on that date. These are announced plans, not confirmation that the closing or changes have occurred: Paramount SEC filing and companies’ anticipated closing announcement.
#1 Best Overall
The name announcement, legal corporate-name amendment, and market changes are related but distinct. The announcement establishes what the combined company is to be called; the SEC filing sets out the planned legal amendment and securities changes. Until the transaction closes and those changes take effect, PSKY remains the ticker identified in the filing and SKYD remains planned.
How the merger reached its expected closing date
Paramount and WBD announced their definitive merger agreement on February 27, 2026. Paramount’s announcement set the cash consideration at $31.00 per WBD share and included a ticking fee if the deal had not closed by September 30. It described the transaction as an $81 billion equity-value deal and a $110 billion enterprise-value deal, supported by $47 billion in equity and $54 billion in debt commitments. Those are announced transaction terms, not realized results: Paramount’s merger announcement.

- Shrink-wrapped
On September 30, the companies said they expected closing on October 6 and announced an additional $0.00277778 per WBD share for each calendar day after September 30 through closing. Under those announced terms, closing on October 6 would mean $31.01666668 per share. The figure is conditional on the anticipated date and is not a statement that the deal closed or investment advice: anticipated closing announcement.
What happened with the states’ lawsuit
Twelve states sued to block the merger, alleging competitive harm under Section 7 of the Clayton Act. Paramount’s SEC filing says Paramount and WBD entered a consent decree with the states on September 21. On September 30, the U.S. District Court for the Northern District of California entered the decree and modified the no-close order to permit the merger to close, subject to the remaining closing conditions: SEC filing.

Associated Press reporting quoted U.S. District Judge Araceli Martínez-Olguín describing the decree as a “fair, reasonable, and good faith approach to address the competitive harms” alleged by the states. That is the judge’s assessment of the settlement; it is not a blanket finding that the merger has no competitive effects. AP also reported that critics considered the settlement terms too weak: Associated Press report.
Film-release commitments in the decree
The SEC filing describes five years of release commitments for the combined entity. It requires a minimum number of U.S. releases in each year and includes additional conditions on wide releases, independent films, and production participation: SEC filing on the consent decree.
Rank #4
| Commitment period | Minimum U.S. releases |
|---|---|
| First year | 30 |
| Second year | 30 |
| Third year | 32 |
| Fourth year | 32 |
| Fifth year | 32 |
The filing also specifies minimum wide-release counts, at least four independent films per year, and requires at least half of the films counted toward each annual commitment to be produced or jointly produced by the combined entity. These are decree requirements, not a report of releases already made.

What the combined company says it will bring together
Paramount’s February announcement presented the merger as a way to combine studios, creative talent, intellectual property, streaming platforms and distribution reach to compete in a changing entertainment market. The announced portfolio spans Paramount Pictures, CBS, Nickelodeon, MTV, BET, Comedy Central, Paramount+ and Pluto TV, alongside Warner Bros., HBO, CNN, DC, Discovery Channel and other WBD properties: Paramount merger announcement.
Paramount projected more than $6 billion in synergies and said the combined company would produce at least 30 theatrical films annually. Both are company statements made in connection with the transaction, not verified results. The consent decree’s separate U.S. release schedule is a legal commitment with its own definitions and terms.
The combination brings together two of Hollywood’s five legacy studios, AP noted, while reporting concerns about greater industry concentration: Associated Press coverage of the merger. The strategic case and the criticism concern different potential outcomes:
Quick Recap
- Scale and content investment: Paramount’s stated case is that combining studios, talent and intellectual property can strengthen its ability to compete. Whether that produces more or better investment is not established by the announcement.
- Streaming and distribution: The companies would combine their named streaming services and broad entertainment portfolios. The announcement does not establish how services, access or distribution will change for viewers.
- Efficiency: The more-than-$6-billion synergy figure is a management projection, not a measured saving.
- Competition and choice: The states alleged competitive harm, and critics questioned whether the settlement goes far enough. The decree permits closing subject to conditions; it does not resolve every debate about future effects on consumers or theatrical exhibition.
