What is the difference between custodial and non-custodial platforms? It comes down to who holds the assets and who has authority to obtain or move them—not which company provides the app. A non-custodial investment SaaS provider supplies software while assets remain with a separate custodian and the provider lacks authority to possess them. In a custodial arrangement, a party holds client assets or has relevant authority over them. To answer “Does my investment platform hold my assets?”, check the account structure, permissions and agreements rather than relying on the product label.
This comparison focuses on the U.S. SEC custody rule for registered investment advisers. It does not determine how other laws, asset types or jurisdictions treat a particular arrangement.

What “custody” means in the SEC adviser-rule context
The SEC’s definition covers an adviser that holds client funds or securities directly or indirectly, or has any authority to obtain possession of them. The SEC’s 2003 rule release states: “An adviser has custody of client assets, and therefore must comply with the rule, when it holds, ‘directly or indirectly, client funds or securities or [has] any authority to obtain possession of them.’” SEC custody rule release

Conversely, connecting software to an account, displaying data, preparing instructions or supporting trading does not by itself establish that the provider can obtain possession. Whether a specific feature or arrangement amounts to custody depends on the actual permissions and governing documents. SEC staff FAQ on the custody rule

“Non-custodial” is therefore a description of an arrangement, not a label that resolves the legal analysis. The question is what each party can actually do with the assets.
How the two arrangements differ in practice
| Question | Non-custodial investment SaaS | Custodial arrangement |
|---|---|---|
| Who holds the assets? | A separate custodian holds the funds or securities; the software provider lacks authority to obtain possession. | A party holds assets directly or indirectly, or has authority to obtain possession. Under the SEC adviser rule, an adviser can have custody even when another firm physically holds the assets. SEC rule release |
| What can the provider do? | It may connect to an account, display data, prepare instructions or support trading. Those capabilities alone do not settle custody status; permissions and agreements matter. SEC staff FAQ | Relevant authority may include the ability to withdraw or transfer client assets. The precise conclusion depends on the arrangement. SEC staff FAQ |
| Who safeguards assets and sends statements? | The separate custodian holds the assets. For an adviser subject to the rule’s applicable provisions, the qualified-custodian and client-statement requirements still need to be considered; a software label does not remove them. SEC rule release SEC small-entity guide | The arrangement must be assessed under the applicable SEC custody requirements, including qualified-custodian safeguards and relevant statement provisions, subject to exceptions. SEC rule release SEC small-entity guide |
| What should a buyer verify? | Which custodian holds the assets, what permissions the software has, who sends statements, and how onboarding, trading, transfers and support work. | Which entity has possession or authority, how the account is titled, and which party handles notices, records, reconciliations and applicable examinations. |
What custody can mean for an SEC-registered adviser
Qualified custodian and account arrangements
The SEC rule generally requires an adviser with custody of client funds or securities to maintain them with a “qualified custodian,” such as an eligible bank or registered broker-dealer. The rule also addresses account arrangements and client notification when an adviser opens an account on a client’s behalf. The specific requirements depend on the arrangement and applicable provisions. SEC custody rule release SEC rule text on account arrangements

Statements and examinations
The SEC’s small-entity guide describes a reasonable basis, after due inquiry, for believing that the qualified custodian sends quarterly account statements directly to clients. It also describes annual surprise examinations and exceptions, including specified fee-deduction and audited pooled-vehicle circumstances. These are not identical duties for every adviser in every custody situation; applicability and exceptions matter. SEC small-entity guide
Authority can matter more than physical handling
Withdrawal authority, fee deductions and transfers can be relevant to the custody analysis. The SEC materials also discuss narrow, fact-specific treatment of inadvertently received assets. Those examples do not replace review of the rule and the adviser’s actual permissions, contracts and asset flows. SEC custody rule release SEC staff FAQ

How to check whether a platform holds or controls assets
- Identify the asset-holding entity. Read the account-opening documents and statements to determine which institution holds the funds or securities and in whose name the account is held.
- Inspect permissions, not just features. Find out whether the adviser or software provider can withdraw, transfer or otherwise obtain possession of assets. Data access, trading support and withdrawal authority are not interchangeable; assess the exact arrangement. SEC staff FAQ
- Trace instructions and transfers. Establish who creates, approves and executes instructions, and whether the provider can initiate a transfer or only prepare an instruction for someone else to approve.
- Ask who handles statements and notices. Determine whether the custodian sends statements directly to clients and who is responsible for any adviser notices required by the applicable rule. SEC custody rule release SEC small-entity guide
- Confirm the compliance arrangement. Ask which qualified custodian is used and which party handles recordkeeping, reconciliation and any applicable examination. Verify claims against the account documents and written permissions, not marketing language.
For product selection, also compare onboarding, trading, transfer workflows and support across the software provider and custodian. Those are operational questions for the buyer to verify; the SEC materials establish regulatory considerations, not vendor rankings or service-quality comparisons.
