NDA vs. Trade Secret: How Game Studios Protect Unreleased Games

An NDA creates contractual duties; trade-secret protection depends on secrecy, commercial value, and reasonable safeguards. Game studios use layered controls to protect unreleased work.

Game studios keep unreleased projects confidential through a combination of contracts, restricted access, security controls, and staff practices. An NDA and a trade secret are not the same: an NDA is a contract that limits how someone may use or disclose information, while trade-secret protection depends on whether the information meets legal criteria, including secrecy, value because it is secret, and reasonable steps to preserve that secrecy.

How do game studios keep games secret before release?

There is no single process used by every studio. A practical program starts by identifying which information could cause competitive or commercial harm if disclosed, then applies controls proportionate to its sensitivity. For a game, that may mean limiting access to source code, unreleased builds, design documents, prototypes, tools, and partner materials.

WIPO’s video-game briefing identifies mechanics, algorithms, and design as information that may need protection. Whether a particular item qualifies for trade-secret protection depends on the facts: it must remain non-public, derive commercial value from being secret, and be subject to reasonable secrecy measures. A label in a document or contract does not by itself establish those conditions. WIPO: Trade Secrets · WIPO: Intellectual Property and Video Games: A Briefing Paper

Identify and classify sensitive material

Studios can assess what information is valuable, who needs it, and what harm disclosure could cause. The classification should reflect actual sensitivity: a secret mechanic or unreleased design may warrant tighter controls than information already shared publicly.

Set contractual boundaries

Employment agreements, contractor terms, or separate NDAs can set expectations before access begins. WIPO recommends defining the protected information, permitted purpose and use, access, authorized disclosure, and exceptions. Common exceptions include information already public through no fault of the recipient and information independently developed. WIPO: Guide to Trade Secrets and Innovation, Part IV

Restrict access and secure repositories

Need-to-know permissions can limit access to code repositories, builds, design documents, and collaborator materials. Access should be reviewed as roles and project needs change. WIPO’s guidance on digital trade-secret safeguards includes measures such as two-factor authentication, encryption, and breach detection. These are examples of controls, not a claim that every studio uses them. WIPO: Guide to Trade Secrets and Innovation, Part VII

Train people and keep records

Staff and collaborators need to understand what is confidential, how they may use it, and how to handle it in communications and project workflows. WIPO recommends employee education and a culture that treats confidentiality as a priority. Records of access and safeguards can also help show what information the studio treated as secret and what measures it took. WIPO: How to Protect Trade Secrets?

What is the difference between an NDA and a trade secret?

Question NDA Trade secret
What creates it? A contract creates duties for the parties who agree to it. Legal protection may apply when information meets the relevant legal criteria.
What does it do? Sets limits on disclosure and use of covered information. Can provide remedies for qualifying information that is misappropriated.
What information can it cover? Information defined by the agreement, potentially broader than trade secrets. Information that is secret, commercially valuable because it is secret, and protected by reasonable secrecy steps.
Is a label enough? No. The contract’s wording and applicable law matter. No. Calling something a trade secret does not prove it meets the legal criteria.

In short, an NDA can support a studio’s secrecy measures, but it does not automatically turn every covered item into a trade secret. Trade-secret law may cover only a subset of the information addressed by a contract. WIPO notes that legal requirements and the steps considered reasonable vary by country. What limits do these protections have?

Public information and disclosure

Information already generally known or accessible in the relevant business sector may not meet the secrecy requirement. A public trailer, released build, or disclosed fact does not become a trade secret simply because a studio calls it confidential. The status of related, undisclosed information depends on its own facts.

Independent development and reverse engineering

Trade-secret protection is not a general right to prevent someone from independently developing the same information. Reverse engineering is generally outside trade-secret protection, although contracts and national law can affect the analysis. The precise rule depends on the jurisdiction and circumstances. WIPO: Guide to Trade Secrets and Innovation, Part III

Employees’ skills and future work

Confidentiality obligations do not ordinarily mean an employee can never work for another studio or use general professional skills and experience. Limits on post-employment conduct, including non-compete restrictions, vary and may be restricted by national law. A contract’s wording does not override applicable employment law.

Enforcement requires evidence

There is no worldwide trade-secret registration that automatically certifies a game asset as protected. A holder may need to establish that the information qualified for protection and that misappropriation occurred. Evidence can be difficult to gather, and court proceedings may create additional disclosure concerns. WIPO advises acting promptly to limit disclosure. What should a studio take away?

  • Use NDAs and confidentiality clauses to set clear contractual rules for people who receive sensitive information.
  • Pair those rules with practical safeguards: classify valuable material, limit access, secure digital assets, train staff, and document controls.
  • Assess trade-secret status asset by asset under the law that applies; neither an NDA nor a confidentiality label guarantees it.
  • Get jurisdiction-specific legal advice for agreements, employment limits, and enforcement decisions.

This is general information, not legal advice. The legal position depends on the governing jurisdiction and facts.
