McDonald’s denies that account: it says franchisees set prices, its pricing tools are optional, and the tools do not automate or coordinate pricing. The allegations have not been proven, and no court ruling on the case’s merits is established in reporting available as of October 7, 2026.
What the lawsuit alleges
Michael Thomas, an Illinois consumer, filed the proposed class action on October 2, 2026, in the U.S. District Court for the Northern District of Illinois. According to reporting on the complaint, it describes a centralized machine-learning pricing engine that pools confidential sales information from corporate and franchised restaurants and generates price recommendations.

The plaintiff argues that sharing nonpublic information among businesses that may compete in the same local markets undermines independent pricing and violates U.S. antitrust law. The complaint also attributes menu price increases to the system. Those are allegations, not established findings: the available reporting does not show that the tool caused higher prices or that McDonald’s or its franchisees violated antitrust law.
The complaint reportedly seeks class certification, damages, and an order barring McDonald’s from enforcing agreements alleged to restrict competition. The available reporting does not establish that a judge has ruled on those requests.

What McDonald’s says about its pricing tools
McDonald’s says its AI-enhanced tool offers optional decision support and that franchisees make the final menu-pricing decisions. The company’s statement, as reported by The Associated Press, says: “AI does not set menu prices at McDonald’s restaurants – McDonald’s franchisees do.” It added that the optional tools “do not automate, coordinate or fix pricing in any way.”
AP reports that McDonald’s says the AI-enhanced tool has been in use for more than a decade and considers store sales, location, and competitors’ prices. The company describes it as an extension of an earlier practice of collecting data and recommending prices. A McDonald’s spokesperson told AP: “All we do is provide the context of what’s going on,” and, “We don’t have any way to affect the menu pricing in a restaurant.”

Where the two accounts differ
| Question | Plaintiff’s account | McDonald’s account |
|---|---|---|
| How restaurant data is used | The complaint alleges that confidential sales data from franchise and corporate restaurants is pooled. (Reuters) | McDonald’s says the tool uses information such as store sales, location, and competitor prices to provide context. (AP) |
| Effect on independent pricing | The plaintiff argues that recommendations based on shared nonpublic information can facilitate coordination among franchisees. Reuters quotes the complaint: “Independent businesses must set their prices independently.” | McDonald’s says the tools are optional and do not automate, coordinate, or fix prices. (AP) |
| Who sets the final menu price | The suit challenges the influence of the recommendations and data-sharing arrangement; reporting does not establish that the AI itself sets prices. | McDonald’s says franchisees make the final pricing decisions. (AP) |
| What has been established in court | The allegations are described in reporting on a newly filed complaint; no merits ruling is established in the available coverage. (Courthouse News Service) | McDonald’s disputes the allegations. AP reports the company called the complaint inaccurate and said it would vigorously defend itself; Reuters reports it called the allegations speculative and uninformed. |
The reporting presents competing descriptions, not an independent resolution of whether the recommendations or data practices affect how franchisees set prices. The central legal and factual questions include what information the tool shares across locations, how much the recommendations influence local decisions, and whether franchisees remain independent in practice.

Why franchisee pricing matters
McDonald’s operates about 14,000 U.S. restaurants, and the company told AP that 95% are owned and operated by franchisees. That structure makes the distinction between a recommendation and a centrally imposed price important to the dispute: the plaintiff challenges whether shared data and guidance can weaken independent decisions, while McDonald’s says franchisees retain control.

The company has also pointed to the practical complexity of coordinating offers across its system. On an August 2026 investor call, CEO Chris Kempczinski said a proposed menu of 10 items for under $3 was available at 60% of U.S. restaurants. Referring to the offer, he said, “As you know, in our system, that’s not something that we just flip the switch on,” adding, “It requires conversations with franchisees.” This is context about a separate value-menu offer, not evidence resolving the lawsuit’s claims.

The case was newly filed as of October 7, 2026. The requested class certification, damages, and restrictions on agreements are relief the plaintiff is seeking, not outcomes a court has granted. The available reports do not establish a court finding that the tool caused price increases, coordinated prices, or breached antitrust law.
