Is OpenAI Giving Up Its Nonprofit Status? The 2025 Structure Explained

OpenAI did not abandon its nonprofit, according to its current account. The 2025 recapitalization made the operating company a public benefit corporation while the OpenAI Foundation retained formal control.

No—OpenAI’s currently published account says its nonprofit role continues. The 2025 recapitalization turned the operating company into OpenAI Group PBC, but the nonprofit became the OpenAI Foundation and retained formal control over that company. Reports that OpenAI was abandoning its nonprofit status describe an earlier proposal, not the structure OpenAI says was completed on October 28, 2025.

What OpenAI changed in 2025

OpenAI now describes a two-entity structure. The OpenAI Foundation is the nonprofit, while OpenAI Group PBC is the for-profit public benefit corporation that runs the operating business. OpenAI says the Foundation continues to control the PBC through special voting and governance rights.

This distinction matters: a public benefit corporation is still a for-profit company, but OpenAI says its PBC must advance the organization’s stated mission and consider broader stakeholder interests. The nonprofit’s continued control is a separate question from the operating company’s legal form.

In May 2025, OpenAI announced that the nonprofit would continue to oversee and control the company after discussions with the California and Delaware attorneys general and feedback from civic groups. The change addressed the central concern that the nonprofit might lose decisive authority.

OpenAI’s structure, from 2015 to the recapitalization

September 11, 2025 Board chair Bret Taylor described a planned evolution in which the nonprofit would control a PBC and receive an equity stake then projected to exceed $100 billion. That was a proposal, not the final capitalization.
October 28, 2025 OpenAI says the recapitalization closed. The nonprofit is now called the OpenAI Foundation, and the operating company is OpenAI Group PBC.

Who owns OpenAI Group PBC?

OpenAI reports the following ownership at the recapitalization closing:

These percentages and the valuation are company-reported figures; the sources available here do not independently verify them. The Foundation also holds a warrant for additional shares if a specified valuation milestone is met. OpenAI says the warrant would become significant if OpenAI Group’s share price rises more than tenfold over 15 years. It is a contingent future right, not stock already included in the Foundation’s 26% holding.

How the Foundation is supposed to control the company

OpenAI says the Foundation’s special voting and governance rights allow it to appoint all OpenAI Group directors and replace them at any time. It also says the Foundation’s Safety and Security Committee oversees safety and security practices across OpenAI.

Those descriptions explain the control mechanism OpenAI reports; they are not an independent legal opinion about how the documents would operate in every circumstance. The practical question for observers is whether the Foundation can exercise those powers effectively, not simply whether it owns a majority of the shares. OpenAI says it can retain control without holding a majority equity stake.

Why the proposed restructuring attracted criticism

The proposed change drew scrutiny from state officials, former employees and charities. The Associated Press also reported on Elon Musk’s lawsuit alleging that OpenAI had betrayed its founding principles. Those AP-reported litigation details describe the situation at the time of its May 2025 report and should not be treated as a current status update for September 2026.

The OpenAI Nonprofit Commission called for a stronger public-interest model. Its recommendations included:

  • meaningful independence for the Foundation;
  • adequate funding for public-interest work;
  • Attorney General oversight;
  • stronger conflict-of-interest safeguards;
  • public reporting; and
  • protection from interference by the for-profit business.

The commission’s report is a set of recommendations. It does not establish that each measure was adopted or is currently being followed.

How to read the conflicting headlines

“OpenAI is abandoning its nonprofit”

This wording is too broad for the completed structure OpenAI describes. The operating business is now a PBC, but the nonprofit Foundation remains in the organization and is reported to control it.

“The nonprofit owns OpenAI”

This is also imprecise if it implies majority economic ownership. OpenAI reports a 26% Foundation stake at closing, alongside Microsoft’s roughly 27% and a 47% stake held by employees and investors. Control comes from the Foundation’s special governance rights, according to OpenAI.

“The Foundation will receive more than $100 billion”

That figure came from Taylor’s September 11, 2025 projection for the planned structure. OpenAI’s later account reports an approximately $130 billion value for the Foundation’s 26% stake at closing. The two figures refer to different stages and should not be merged.

What remains unresolved for the public

OpenAI’s published structure establishes the company’s stated legal and governance arrangement, but it does not independently demonstrate how the Foundation will use its powers or whether outside recommendations have been implemented. The commission’s calls for independence, transparency and conflict-of-interest protections remain standards against which the arrangement can be evaluated.

The clearest conclusion from the completed recapitalization is therefore limited but important: OpenAI did not, according to its current published account, give up being a nonprofit. It placed its operating business in a for-profit PBC while keeping the nonprofit at the top of the governance structure.
