Tokenization records an asset or a claim on a programmable digital ledger. The asset itself may remain outside the ledger, and holding its token does not automatically make you its legal owner: the governing documents, applicable law and authoritative ownership records determine what rights you actually have.
What does it mean to tokenize a real-world asset?
Tokenization creates a digital token that represents an asset, an interest in an asset or a contractual claim linked to one. A token can refer to a pre-existing asset—such as a security, fund interest, commodity or real estate—or it can be the form in which a new financial instrument is issued. In many arrangements, the asset remains off-chain while the token records or represents an agreed claim connected to it.

It helps to separate three things: the underlying asset, the legal rights a holder has, and the digital record of token ownership. A blockchain can show which wallet holds a token, but that record alone does not establish that the referenced asset exists, that the holder owns it, or that the holder can redeem it. The OECD’s 2021 overview distinguishes tokens linked to pre-existing assets from instruments native to a ledger; it is useful for that conceptual distinction, not as a guide to current law. OECD, Regulatory Approaches to the Tokenisation of Assets.

A tokenized arrangement needs more than a smart contract. It needs a legal and operational link between the ledger and whatever the token represents.

- Identify the asset or claim. Determine whether the token refers to an existing asset, such as a security held off-chain, or represents a newly issued instrument.
- Define the holder’s legal rights. The offering documents and applicable law must establish whether a holder has direct ownership, an entitlement through an intermediary, a contractual claim against an issuer, or only exposure to a reference asset’s value.
- Set the authoritative ownership record and custody arrangements. The ledger might be the official holder register, connect to an off-chain register, or record interests in assets held by a custodian. The structure should make clear who controls any off-chain asset and how its existence and value are checked.
- Issue tokens and set platform rules. A system records token ownership and may encode rules for transfers, services or governance. Smart contracts can carry out programmed actions, but their permissions, code and administration still matter.
- Transfer and settle. A ledger transfer may itself update the official ownership record, or it may trigger an issuer or intermediary to update a separate file. What the transfer accomplishes legally—and whether the transaction is final—depends on the arrangement and the settlement asset used.
- Keep the link working. Operators may need custodians, data providers, oracles or bridges to connect the token to assets and information outside its ledger. Token supply, asset records, valuation and redemption need to remain reconciled.
The Bank for International Settlements describes tokenization as combining a core layer that records information about the asset and its ownership with a service layer containing platform rules and governance. That is a helpful model for understanding the parts involved, not a universal technical standard. BIS, The tokenisation continuum.
Does holding a token mean you own the underlying asset?
No—not by itself. A token may be evidence of a legal interest, a record used to administer one, or a separate instrument linked to the asset. The answer depends on the token’s terms, which ownership record controls, and the law that applies. If the ledger conflicts with an issuer’s register or the documents governing the asset, the arrangement must specify which record and rules prevail.
For example, a token might represent a security issued by a company, an entitlement to a security held through an intermediary, or a separate instrument whose value tracks that security. The last arrangement may leave the holder with a claim against the token issuer or counterparty but no rights against the company that issued the referenced security. The SEC’s U.S.-specific staff statement explains that tokenized securities can have rights similar to traditional securities or can be a different class, and that third-party structures can add intermediary exposure. SEC staff, Statement on Tokenized Securities (January 28, 2026). Investor.gov also cautions that holders of synthetic tokenized securities may not have claims or rights against the issuer of the referenced security. Investor.gov, Tokenized Securities (updated May 15, 2026).

What is the difference between issuer-sponsored, custodial and synthetic tokens?
The label “tokenized” does not tell you who owes the holder what. These structures can create materially different rights and exposures.
| Structure | What the token may represent | What to establish |
|---|---|---|
| Issuer-sponsored security | A security issued by the company, with the ledger integrated into or linked to the official holder records. | Whether the ledger is the authoritative register or an off-chain register controls. |
| Custodial tokenized security | A direct or indirect entitlement to a security held through a custodian or securities intermediary. | Who holds the security and what rights and protections apply if the intermediary fails. |
| Synthetic or linked token | A separate instrument whose value is linked to a reference security or asset. | Whether the holder has rights only against the token issuer or counterparty, rather than against the issuer of the referenced asset. |
| Token linked to a pre-existing nonfinancial asset | A digital record or contractual claim associated with an asset that remains off-chain. | What proves the asset exists, who controls it and how a transfer is enforced under applicable law. |
The terms and governing law determine the actual result; the table describes possible structures, not a guarantee of rights in any particular offering.
What can smart contracts automate?
Smart contracts can apply programmed conditions to token transactions. For example, a transfer could be restricted by rules encoded on a platform, or several transaction steps could be coordinated on one system. That programmability may make it easier to combine asset information, ownership records and transaction rules than when those functions sit in separate systems.

Automation is not the same as legal or operational certainty. Code can perform only the actions its permissions allow, and it cannot by itself verify an off-chain asset or determine whether a legal transfer has taken effect. Rules may also depend on platform operators, external data providers or governance decisions. The BIS describes these possibilities as features of tokenization’s design, not guaranteed results for every project. BIS, The tokenisation continuum.

What are the potential benefits—and their limits?
Tokenization may make transfers more programmable and coordinate some transaction steps on a shared platform. SEC Commissioner Paul S. Atkins has identified potential benefits including enhanced liquidity for relatively illiquid assets, fewer delays associated with intermediation, lower transaction costs and streamlined compliance functions. These are possible outcomes, not established results for every asset, platform or market. SEC Commissioner Paul S. Atkins, Tokenization of Real-World Assets (May 12, 2025).
Adoption and market structure matter. The BIS Financial Stability Institute’s 2025 summary of the Financial Stability Board report characterizes tokenization as early-stage, with many projects small-scale or experimental. It identifies limited investor demand, interoperability problems, and legal and regulatory uncertainty as constraints. A token may be easy to transfer within one platform without being easy to use elsewhere or sell at a reliable price. What risks should readers check?
Tokenized arrangements can combine risks from the underlying asset, the legal structure, intermediaries and the technology. The FSB summary groups key vulnerabilities around liquidity and maturity mismatch, leverage, asset price and quality, interconnectedness, and operational fragilities. For an individual token, focus on how those risks apply in practice:
- Legal rights and records: Check what claim the token conveys, which register is authoritative, what transfer restrictions apply, and what happens if the token record and an off-chain record disagree.
- Asset backing and custody: Find out whether a referenced asset exists, where it is held, who controls it, and how its existence and valuation are verified. Custody through an intermediary can create exposure to that intermediary.
- Redemption, settlement and liquidity: Establish whether redemption is available, how it works, what asset settles a transaction, and whether a token can be sold when needed. A token’s trading price or ease of transfer does not ensure that the referenced asset can be redeemed or sold at the same value.
- Issuer, counterparty and governance: Consider who is responsible for the token, what happens if an issuer or intermediary fails, and who can change platform rules or resolve disputes.
- Technical dependencies: Smart-contract errors, private-key mismanagement, oracle failures, bridges and platform outages can affect access, information or transfers.
- Market and system connections: Leverage, mismatches between redemption terms and asset liquidity, changes in asset quality, and links among platforms can amplify losses or operational problems.
These are not merely blockchain risks: a token can add technical dependencies to familiar legal, custody and market risks. The BIS FSI summary identifies smart-contract errors, private-key mismanagement, oracle dependence, and reliance on platform or bridge providers among operational vulnerabilities. BIS Financial Stability Institute, Financial stability implications of tokenisation — Executive Summary.
How does U.S. securities regulation treat tokenized securities?
In the United States, token format alone does not determine how federal securities laws apply. The SEC staff statement dated January 28, 2026 says that recording holders on-chain rather than off-chain does not, by itself, change the securities-law analysis. It also notes that a tokenized security can carry substantially similar rights to a traditional security or represent a different class, and that third-party models can introduce exposure to the third party.

The statement represents the views of staff from three SEC divisions, not a Commission rule or binding guidance, and the SEC says it creates no new obligations. It assumes compliance with applicable federal and state law and governing documents. Its analysis concerns U.S. securities; it should not be generalized to other jurisdictions or to every tokenized asset. SEC staff, Statement on Tokenized Securities.
What to verify before relying on a token
Before treating a token as ownership, an investment or a way to access an asset, look for clear answers to the practical questions below. If the offering documents or platform materials do not answer them, do not assume the token provides the rights or protections you expect.
- What exact legal right does the token confer, and against which entity?
- Which ownership record controls, and how are ledger entries reconciled with off-chain records?
- For an off-chain asset, who holds it and how are existence and valuation verified?
- Can the token be transferred or redeemed, under what conditions, and using what settlement asset?
- What happens to the holder’s claim if the issuer, custodian, platform or another intermediary fails?
- Which jurisdiction’s rules govern the asset, offering, trading, custody and intermediaries?
- What technical, governance and recovery arrangements address lost keys, code faults or platform disruption?
Tokenization changes how asset information, ownership records and transaction rules may be represented and coordinated. It does not make the legal claim, the off-chain asset or the supporting institutions disappear; those are what determine what a token holder can actually do.
