A quoted price, a presale page, or a claim that liquidity is locked does not prove you can safely sell a token. Check whether there is a real, observable market; who controls the pool, supply, and contract; and whether promotional claims match primary records. These checks can reveal warning signs, but they cannot guarantee that a token is safe or that a market will remain open.
Start by asking what you could actually sell
A displayed token price may come from a tiny trade or a quote that would not hold for a larger sale. The SEC’s March 23, 2023 investor alert, “Exercise Caution with Crypto Asset Securities,” identifies volatility and illiquidity as risks and warns that a market may disappear or an asset may cease to be tradable. That is a general risk warning, not a finding about any particular token.

- Find the actual trading venue. Identify the exchange or on-chain pool where trades are taking place. A project website, price widget, or claimed future listing is not evidence that a functioning market exists. Look for records that can be independently observed, and note when you checked them.
- Distinguish a quote from executable depth. A quoted price describes a price indication, not necessarily the price available for the amount you might sell. Consider whether a sale of realistic size could move the price substantially or fail to execute. There is no universal safe liquidity or pool-depth threshold established by the SEC materials cited here.
- Check whether the market is changing. Compare dated observations of trading activity and pool liquidity rather than relying on one snapshot. Conditions can change, and a check made earlier cannot certify the market now.
If a token has not launched, there is no live market in which to test whether you can sell it. Treat launch, listing, and future liquidity statements as promises to verify, not as evidence of an available exit.
What changes when a token is still pre-launch?
| Question | Token already trading | Pre-launch token |
|---|---|---|
| Can you observe a market? | Check current venues, trades, and pool depth; a quote alone is insufficient. | No live market is available to assess before trading begins. |
| Can you test a sale? | Observed depth may help assess execution, but it can change and does not guarantee a future exit. | Execution and resale ability cannot be verified before a market exists. |
| What needs verification? | Pool composition, liquidity changes, withdrawal control, token distribution, and contract powers. | Issuer identity and disclosures, token rights, supply and allocation, use of proceeds, lockups, and launch or listing conditions. |
A planned exchange listing or launch date does not establish that trading will begin as described, that a market will have meaningful depth, or that you will be able to sell. Evaluate the pre-launch offer using the documents and independently verifiable records available now, and mark future conditions as unverified.

Is the liquidity really locked?
Liquidity-provider (LP) tokens can represent a holder’s share of a pool and may give that holder the ability to withdraw liquidity. A statement that liquidity is “locked” therefore needs evidence about the actual control mechanism, not just a badge or a line of marketing copy.
- Identify who holds the LP tokens or other withdrawal rights, and whether that control can be transferred.
- Check the lock mechanism and its stated duration. Determine who benefits when the restriction ends and whether the arrangement lists exceptions or other ways liquidity could be removed.
- Compare the claim with records from a source that lets you inspect the relevant holdings or restrictions. Attribute technical observations to that source and the time checked; a dashboard or project statement by itself does not establish independent assurance.
In its January 16, 2025 complaint in SEC v. Eric Zhu, the SEC described LP-token mechanics and made allegations about a particular token and claims that its liquidity was locked. Those are case-specific allegations in a court filing, not a general adjudication about every token or every lock arrangement. Even a verifiable lock does not establish that a market will remain active or rule out other risks.

Who controls the supply and the contract?
Seek primary documentation showing how tokens are allocated, what insiders or the team hold, and when allocations can be transferred or unlocked. Concentrated or opaque ownership can matter because a small number of holders may have substantial influence over available supply. The SEC identifies concentrated and opaque ownership or control as a risk; its materials do not establish a universal safe concentration percentage.

- Evidence quality: A contract explorer display, project dashboard, or self-described audit may help identify what to investigate, but does not automatically amount to an independent assurance opinion. State what the source shows and when; do not infer more than it establishes.
How should you assess presale claims and promotion?
A presale is not proof that an offering is legitimate or that a token will have a working market. The SEC’s May 29, 2024 investor alert, “5 Ways Fraudsters May Lure Victims Into Scams Involving Crypto Asset Securities,” describes promoters touting memecoins, sometimes through presales, to encourage buying and price increases before selling and a subsequent price fall. It also cautions investors about social-media promotion. The SEC states: “Never make investment decisions based solely on information from social media platforms or apps.”

Use promotion as a reason to verify a claim independently, especially when it involves urgency, celebrity endorsements, guaranteed or outsized returns, “early access,” supposed exchange vetting, or a promised listing. The SEC’s May 29, 2024 alert discusses these kinds of claims and tactics; their presence is a warning to investigate, not by itself proof of fraud.
- Identify the issuer and read its primary disclosures. Establish who is making the offer and what documentation they provide. If the issuer or the basis for its claims cannot be established, treat that as an unresolved risk.
- Understand what the token conveys. Check the stated rights, use of proceeds, supply and allocation, lockups, and conditions for any claimed launch or listing. Technical language or a polished website cannot substitute for those details.
- Verify claims about third parties. Do not assume a listing, an exchange-vetting claim, a filing, an audit label, or a proof-of-reserves report means the SEC has approved the token or guaranteed its safety. The SEC’s investor alert “Exercise Caution with Crypto Asset Securities” warns against misleading claims that a platform vetted an offering.
What do audits and proof-of-reserves reports establish?
Read any report for its publisher, date, scope, and stated limitations. Do not treat a technical or financial-sounding label as a blanket safety certification. In its investor bulletin “Crypto Asset Custody Basics for Retail Investors,” dated December 12, 2025, the SEC says proof-of-reserves reports are not equivalent to financial-statement audits. A report should be interpreted only within the work it describes; it does not establish that a token is liquid, that its market will persist, or that every project claim is accurate.

Keep account security separate from token due diligence
Protecting access to an account or wallet can reduce some custody risks, but it cannot validate a token, its liquidity, or its promoters. The SEC’s December 12, 2025 custody bulletin advises retail investors: “Never share your private keys, or seed phrases.” It also recommends strong passwords and multifactor authentication and warns about phishing. Treat those as account-protection measures, not evidence that an investment is sound.
