Reduce SaaS lock-in before signing by treating every important application as both a contract and a technical dependency. Build a complete service register, verify exit and change-of-control rights, test whether data and configurations can actually be moved, and approve a funded transition plan before close. A subscription that can be cancelled may still be costly or unsafe to leave when workflows, integrations, identities and proprietary data models are embedded in it.
What SaaS vendor lock-in means in an M&A deal
SaaS lock-in is the difficulty, delay or disproportionate cost of moving away from a cloud application. It has two connected dimensions:
As an Amazon Associate I earn from qualifying purchases.
- Commercial lock-in: renewal dates, notice periods, price changes, termination fees, export charges, assignment restrictions or weak transition support can limit the buyer’s choices.
- Technical lock-in: proprietary data structures, APIs, identity integrations, custom extensions, automations and provider-specific services can make replacement slow or impossible without redesign.
Lock-in matters differently to each party. A buyer may inherit a critical dependency, an unwanted contract or a costly consolidation project. A seller may need to prove continuity and transferable data to protect valuation. An integration team must keep operations running while entities, identities and systems are combined. Government Digital Service and Central Digital and Data Office guidance describes this combination of value and switching risk in Managing technical lock-in in the cloud.

Do not assume that using several vendors automatically removes risk. Duplicated products can increase administration and create a larger migration later. Conversely, concentrating on one provider can improve reuse, security management and user experience while increasing leverage and outage impact. The objective is an explicit trade-off, not a maximum number of suppliers.

Start with a SaaS dependency register
Before reviewing individual contracts, create one portfolio view of the target’s and acquirer’s services. Ask business owners to identify products purchased through central procurement, departmental budgets, credit cards, marketplaces and free trials. Shadow SaaS is often where ownership, renewal dates and administrator access are least visible.
| Register field | What to capture | Why it matters in a transaction |
|---|---|---|
| Service and supplier | Product name, edition, tenant or instance, supplier and reseller | Prevents duplicate records and identifies the exact service terms |
| Contracting entity | Target company, parent, subsidiary or another group company | Shows whether the deal changes the party entitled to use the service |
| Business owner | Named accountable owner, technical owner and procurement contact | Creates decision rights for renewal, migration and risk acceptance |
| Workflow and criticality | Processes supported, revenue or regulatory impact, recovery objective and fallback | Prioritises testing and continuity work |
| Data categories | Customer, employee, financial, operational, regulated and non-personal data; attachments and history | Defines what must be exported and which privacy duties apply |
| Integrations and identities | APIs, webhooks, middleware, single sign-on, directories, service accounts and downstream reports | Reveals dependencies that are not visible in a contract inventory |
| Configuration | Roles, permissions, fields, templates, automations, scripts, dashboards and retention settings | Determines whether a replacement can reproduce the operating model |
| Commercial dates | Start, renewal, notice, price-change and termination dates; committed spend | Shows the last safe decision point before an automatic renewal |
| Exit estimate | Export effort, transformation, replacement, testing, training, parallel running and specialist support | Turns an abstract dependency into a deal-budget and timetable question |
| Fallback and recovery | Manual process, alternate provider, backup location, restore test and maximum tolerable outage | Tests whether the business can survive suspension or failed cutover |
Link each service to the workflows, data sets and other products that would be affected by interruption. Record confidence in every estimate and revisit it when architecture, usage or contract terms change. UK guidance recommends monitoring cloud services for duplication and rising switching costs rather than treating the inventory as a one-time exercise.
Review the contract before the renewal clock runs out
Assemble the master agreement, order forms, online product terms, data-processing terms, security schedules, service-level commitments, amendments and side letters. The operative export or deletion rule may be in an online policy rather than the document the procurement team remembers signing.
Confirm who can use the service after close
- Identify the legal contracting party and every entity that actually uses the tenant.
- Check whether a merger, acquisition, assignment, novation or change of control requires notice or written consent.
- Confirm whether the buyer’s affiliates, acquired staff and planned shared-service users are covered by the licence.
- Check restrictions on moving a tenant, combining environments or transferring administrator accounts between regions.
Document the path to exit
- Notice period, renewal date and the method for giving notice.
- Early-termination rights, minimum commitments, committed-use balances and price-change mechanics.
- Which records, metadata, files, logs, configurations and backups can be exported.
- Export format, application programming interface limits, export fees and who pays for professional assistance.
- How long export access remains available, whether the service continues during migration and whether support is provided after termination.
- When production data, replicas and backups are deleted, how deletion is confirmed and what retention is required by law or a legal hold.
- Suspension rights, insolvency provisions, escrow or continuity arrangements and access to credentials or encryption keys.
The UK Government Digital Service states that “Your contract must also specify the exit and renewal arrangements for your data” in Make better use of data. That statement is a diligence principle, not a guarantee that an existing agreement contains adequate terms.
Use the Digital, Data and Technology Playbook to structure transition planning, but have transaction counsel interpret the actual contract under its governing law. Neither a playbook nor a general checklist determines whether a particular change-of-control clause is triggered.

How to know whether SaaS data is portable
Portability is not proved by the existence of a download button. Define the minimum information needed to operate the business elsewhere, then test whether a replacement can use it without reconstructing years of work manually.
Define the export scope
For each critical workflow, list the records and relationships that must survive:
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →- Primary records, attachments, comments, conversations, versions and full history.
- Identifiers, timestamps, ownership, status changes, links between objects and audit trails.
- User, group and role mappings, permission history and service accounts.
- Custom fields, templates, validation rules, workflow states, automations and scheduled jobs.
- Saved reports, dashboards, searches, notification rules and integration mappings.
- Archived and deleted items where retention, litigation or regulatory obligations require them.
Ask for an export sample and its technical specification
Request a representative export, not only a marketing description. Record file or API format, encoding, pagination, rate limits, identifier stability, attachment handling, relationship preservation, error reporting and whether the export is consistent at a point in time. Ask where backups are located, how they are created, what network bandwidth is assumed, how far in advance an export must be requested and how long the resulting data remains available.
Recital 31 of Regulation (EU) 2018/1807 identifies backup processes and locations, formats, IT configuration, network bandwidth, porting lead time and the duration of data availability as relevant portability considerations. The regulation concerns non-personal-data processing services; it is not a complete statement of personal-data law and does not automatically govern every SaaS agreement.
Perform a bounded migration test
- Select a representative slice containing ordinary, complex, historical and permission-sensitive records.
- Export it using the same method and account that would be available during a real transition.
- Load it into the proposed replacement or a controlled test environment.
- Check record counts, relationships, attachments, timestamps, roles, reports and audit history.
- Measure transformation, manual cleanup, transfer time, API throttling and specialist effort.
- Have business owners execute critical workflows and document defects, workarounds and data that did not move.
For revenue, customer-support, regulated-record or operational-continuity systems, do not rely on an untested vendor assurance. A file that can be opened is not necessarily data that can run the business.

Map technical lock-in and replacement complexity
Create an architecture map for every high-impact service. Show the direction of data and authentication flows, not only a list of applications.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problems- Interfaces: proprietary APIs, webhooks, SDKs, bulk jobs, connectors and undocumented scripts.
- Data model: custom objects, internal identifiers, relationship rules, calculated fields and provider-specific query languages.
- Identity: single sign-on, provisioning, multifactor policies, directory groups, privileged roles and service accounts.
- Extensions: marketplace applications, plug-ins, custom code, embedded forms and browser automation.
- Operations: monitoring, alerting, backup, disaster recovery, logging, retention and incident-response procedures.
- Provider services: native analytics, messaging, search, workflow engines, encryption, regional controls and AI features that a replacement may not match.
Separate what is portable from what must be redesigned. A standard export may preserve records but not an automation graph, a permission model or a report that depends on proprietary functions. Estimate people, elapsed time, parallel-run infrastructure, testing, training, communications and temporary dual licensing. Revisit the estimate as usage and integrations evolve.
Creating and implementing a cloud hosting strategy frames concentration as both commercial and technical risk. The Open Standards principles also support choosing open standards and formats when that improves future options. Open standards do not eliminate migration work, but they can reduce dependence on one provider’s proprietary implementation.
Protect data and continuity during the transaction
A merger can change which organisation determines why and how personal data is processed. Before sharing diligence data or combining tenants, establish the parties’ roles, purposes, lawful basis, security controls and instructions to suppliers.
- Describe the original collection purpose and the proposed transaction or integration use.
- Determine whether the buyer, seller or a joint arrangement becomes a controller, processor or another legally relevant party.
- Document what data is shared, with whom, where it is stored, how it is secured and how access is removed.
- Assess system, supplier, identity and data-protection risks, including exports to test environments.
- Decide whether affected individuals need information and update notices, records or agreements where required.
- Assign responsibility for incidents, data-subject requests, retention, deletion and post-close access.
The UK Information Commissioner’s Office page on due diligence when sharing data following mergers and acquisitions says its guidance is under review following the Data (Use and Access) Act. Verify current UK requirements, the transaction structure and the governing law at the time of the deal.

Continuity planning should cover an unavailable supplier, a delayed consent, a failed export and a cutover rollback. Keep tested backups under the organisation’s control where contract and law permit, and ensure the people who can restore them are not dependent on an outgoing vendor’s administrator.
Choose a deliberate disposition for each service
After commercial, portability and architecture reviews, classify every service. A single company may retain one product, replace another and defer a third.
| Disposition | Use it when | Required action before close |
|---|---|---|
| Retain | Native capability, security, continuity and total cost justify continued use | Secure assignment or affiliate rights, renewal controls, export rights and an owner who monitors dependency |
| Renegotiate | The service is valuable but terms, portability or transition support are inadequate | Make improved exit, pricing, support, data access and change-of-control terms conditions of renewal |
| Consolidate | The two organisations operate overlapping products and one platform can meet requirements | Prove capacity, map the losing tenant’s data and fund migration, training and parallel operation |
| Replace | Lock-in, cost, risk or strategic mismatch outweighs provider-native benefits | Approve a replacement, migration test, cutover, rollback and decommissioning plan |
| Defer | Immediate change would endanger continuity or evidence is incomplete | Set an owner, decision date, interim controls and a trigger that forces reconsideration |
Record the business reason, expected cost, timing, risk owner and trigger for revisiting each decision. Do not label a service “retain” merely because switching is hard; that converts an unmeasured dependency into a permanent assumption.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Compare options on seven decision axes
Use the same scoring method for the incumbent, a replacement, consolidation and an in-house option where relevant. The decision should show what is gained and what is surrendered.
- Continuity and criticality: What happens to revenue, customers, safety, regulatory records and recovery objectives if the service is interrupted?
- Export completeness and usability: Can the required data, relationships, configuration and history be imported and operated?
- Migration cost and duration: Include transformation, testing, parallel running, training, communications, consultants and temporary licences.
- Integration depth: How many interfaces, identities, extensions and provider-specific functions must be rebuilt?
- Contract flexibility: Are assignment, renewal, termination, export, deletion and transition-support terms workable?
- Security and data protection: Can the option meet access, residency, retention, incident and individual-rights obligations?
- Benefits lost by leaving: Which native security controls, automation, analytics, performance or user experience would disappear?
The Federal Trade Commission’s November 2023 summary, Cloud Computing RFI: What we heard and learned, reports concerns raised by commenters. It should not be read as a finding that every provider engages in any particular practice.
Best Value
Build the pre-close and post-close transition plan
For every service being exited or consolidated, connect the outgoing provider’s exit activities to incoming-provider mobilisation or an in-house operating model. The plan should be a controlled workstream, not a date on a synergy spreadsheet.
Before signing or closing
- Obtain contract consents, assignment rights and affiliate-use confirmation.
- Freeze a baseline of data, configuration, integrations, roles, volumes and retention settings.
- Approve the target architecture, migration method, budget, decision rights and risk owners.
- Run the representative export/import test and remediate critical gaps.
- Reserve vendor support, network capacity, migration specialists and business-owner time.
- Define privacy notices, security controls, access approvals and incident escalation for shared data.
At cutover
- Communicate the change, maintenance window, user actions and support channels.
- Stop or reconcile writes according to the migration design; capture late-arriving data.
- Run counts, checksums or other agreed validations for records, attachments, permissions and critical reports.
- Have business owners execute acceptance scenarios before switching off the old service.
- Keep a rollback point, decision authority and time limit for reversing the change.
After cutover
- Monitor integrations, access, performance, data quality and support tickets.
- Complete knowledge transfer and update runbooks, diagrams, inventories and recovery procedures.
- Revoke outgoing credentials and vendor access that is no longer needed.
- Obtain written deletion or retention confirmation for production data, replicas and backups when permitted.
- Close the contract only after validation, rollback expiry, records retention and audit evidence are complete.
Review milestones regularly rather than waiting for the renewal date. The Digital, Data and Technology Playbook supports a coordinated transition with activities, interfaces, dependencies, validation, cutover, rollback, support, people and budget.
Questions to put to the seller, vendor and integration team
- Which services are business-critical, and what manual fallback has actually been tested?
- Who owns each tenant, administrator account, integration credential and encryption key?
- Which data, metadata, logs, configurations and backups are exportable, in what format and at what cost?
- How much notice is required, how long is export access available and does service continue while data is moved?
- Can the supplier change export terms or fees during the contract, and what notice or termination rights follow?
- What happens to data, backups, credentials, integrations and support after termination, suspension or insolvency?
- Which workflows depend on proprietary APIs, data models, extensions or provider-specific infrastructure?
- Has a representative export been imported and reconciled, and what manual work remained?
- Who handles identity, security incidents, retention and data-subject requests during and after cutover?
- Does the transition plan include knowledge transfer, validation, rollback, support and deletion evidence?
These prompts are a diligence framework, not a claim that every contract contains each clause. Have counsel and privacy specialists adapt them to the jurisdiction, deal structure and data involved.
What the evidence does—and does not—support
There is no universal percentage of vendor concentration that is “safe,” no standard migration duration and no reliable average termination fee for SaaS acquisitions. Regulation (EU) 2018/1807 provides portability factors, not a numeric threshold. Treat every cost, date and risk rating as service-specific and document the assumptions behind it.
The Government Digital Service and Central Digital and Data Office put the portability principle plainly: “For Software as a Service (SaaS), that means choosing products that use open standards and formats, so you have control of your data.” See Managing technical lock-in in the cloud. The same principle does not require abandoning useful native features; it requires knowing what those features cost you in future choice.
Quick Recap
A practical pre-close checklist
- Every SaaS tenant, including departmental purchases, appears in the dependency register.
- Critical workflows are linked to owners, data, integrations, identities, renewal dates and tested fallbacks.
- Master agreements, online terms, amendments and data-processing documents are assembled.
- Assignment, change-of-control, affiliate-use, renewal, termination, export, deletion and support rights are recorded.
- Export scope includes records, attachments, history, permissions, metadata, configuration and required backups.
- A representative export/import test has measured completeness, transformation, bandwidth, time and manual effort.
- Provider-specific APIs, automations, extensions, reports and identity dependencies are mapped.
- Security, privacy, retention and data-subject responsibilities are assigned for diligence and cutover.
- Each service has a retain, renegotiate, consolidate, replace or defer decision with an owner and trigger date.
- Funding, milestones, validation, rollback, support, knowledge transfer and deletion evidence are approved before the old service is switched off.
