It may not be a ballot. Read the full proxy statement or management circular, confirm your eligibility and holder type, then use the voting route and deadline specified for your shares.
What an AGM notice tells you—and what it may not do
Start by matching the issuer, share class, meeting date and meeting format to your holding. The notice should point to fuller materials, such as a proxy statement or management circular, where you can read the resolutions and voting instructions.

In the United States, a notice-and-access notice may be an overview rather than a voting form. SEC Rule 14a-16 describes an indication that the communication “is not a form for voting” and presents only an overview of more complete proxy materials, which the holder is encouraged to review before voting. The rule’s notice-and-access provision generally calls for sending the notice at least 40 calendar days before the meeting, subject to its conditions; that is a U.S. requirement for this process, not a universal voting deadline. Read 17 CFR § 240.14a-16.
Some issuers explicitly warn that you cannot mark and return the notice to cast a vote. Look instead for a proxy form, voting instruction form, online voting portal or instructions for voting during the meeting.

Check whether you are eligible to vote
Find the section labeled “record date,” “voting entitlement” or similar. It states which holders qualify and may explain how many votes attach to each share. Eligibility is based on the issuer’s stated terms; do not assume that owning shares on the meeting date, or seeing shares in your account today, is enough. A 2026 AGM notice, for example, tied entitlement to shares held on its specified record date. That date is an illustration, not a date to use for another meeting.
Read the resolutions before choosing
Use the agenda as a checklist, then read the full wording and explanations in the proxy materials. Proposals can include director elections, auditor appointments, executive compensation or shareholder resolutions, but their content and legal effect vary by company and jurisdiction.

- Note the exact resolution and the choices available, such as for, against or abstain, where offered.
- Compare each proposal with the board’s recommendation and any accompanying explanation.
- Read the proxy appointment terms. Appointing a proxy and instructing that proxy how to vote are not necessarily the same thing.
- Check what happens if you leave a choice blank. An issuer’s form may specify a default direction for an uninstructed proxy, while another proxy may have discretion or may not vote on an unmarked item.
Choose the voting route for your kind of holding
Your route depends on whether your shares are registered directly in your name or held through an intermediary. Labels and processes vary across markets, so follow the current meeting materials and the instructions attached to your holding.
If you are a registered shareholder
Your name is on the issuer’s register, or your shares are held directly through a book-entry arrangement. Use the issuer’s or registrar’s proxy form and instructions. Depending on the meeting, you may be able to vote online, by telephone, by mail or during the meeting. Enter only the control number or other credentials supplied for that meeting.

If you are a beneficial or non-registered owner
Your shares are held through a broker, bank, custodian or other nominee. Follow that intermediary’s voting instruction form and submission method; your instruction tells the intermediary how to vote the shares it holds for you. Its cutoff may be earlier than the issuer’s deadline so the intermediary can process instructions. If you cannot tell which category applies, contact your broker or the company registrar using contact details in official materials.
Cast the vote online carefully
- Open the current meeting materials. Use the link or address in the notice, or the official instructions supplied by your broker or nominee. Confirm that the issuer and meeting match your holding.
- Use the correct voting channel. Registered holders should use the issuer or registrar’s stated portal; beneficial owners should use the intermediary’s specified portal or process. Do not assume an issuer portal accepts instructions for shares held through a broker.
- Enter meeting-specific credentials. Use the control number, login or other access details provided for this meeting. Old credentials or a portal address from another year’s notice may not work.
- Review each selection and proxy term. Check every resolution, any default directions for blank choices, and whether you are submitting voting instructions or appointing a proxy.
- Submit before the applicable cutoff. Check the date, time zone and whether the form requires receipt by the deadline rather than merely being sent by then. Save the confirmation or receipt if one is provided.
Before changing an earlier submission, check the issuer’s amendment and revocation rules. One issuer’s 2026 circular, for example, said that a registered shareholder who logged in and voted during the meeting under its stated conditions revoked a previously submitted proxy. That is a company-specific rule, not a general one.

Compare the available methods and their deadlines
If the materials list more than one way to vote, compare them on the points that determine whether your instruction will count:

- Eligibility: Which holder type and share class may use the method?
- Cutoff: What are the date, time zone and receipt-versus-submission terms?
- Purpose: Does the method cast a vote, appoint a proxy or only register attendance?
- Changes: Can an earlier proxy or instruction be amended, replaced or revoked, and how?
- Access and evidence: What credentials are required, and will you receive a confirmation?
Intermediary instructions can have an earlier cutoff than the issuer’s own proxy deadline. Use the deadline tied to your holding and method, not a date copied from an older notice. The examples in 2026 issuer documents are now historical illustrations; always use the current materials for the meeting you intend to vote in.

Attending a virtual AGM is not necessarily voting
Check the meeting FAQ for registration, check-in, control-number, device and connection requirements. A webcast may offer guest access for watching without granting voting rights. Do not assume that joining or viewing the meeting records a vote. Where live voting is available, confirm how it interacts with a proxy you submitted earlier; the issuer’s rules control.
