Read a credit-card processing agreement as a cost-and-exit document, not just a rate sheet. Start by collecting the signed agreement, pricing schedule, amendments, and every policy it incorporates. Then identify the pricing model, calculate every recurring and conditional charge, and mark the contract term, renewal, price-change, cancellation, equipment, and post-closure clauses. Your signed documents and applicable law control your obligations; no industry guide can establish a universal fee or cancellation right.
The sequence below gives you a practical way to turn dense merchant-services paperwork into an effective cost estimate and a clear switching plan.

How do I read a credit card processing agreement?
- Assemble the complete contract set. Obtain the executed merchant or services agreement, pricing agreement or fee schedule, amendments, and every incorporated gateway, equipment, security, network, and service policy.
- Identify the parties and scope. Record the contracting legal entity, covered locations, services, effective date, and the document that controls if two documents conflict.
- Classify the pricing. Determine whether the proposal uses blended, interchange-plus, tiered, subscription, or combined pricing.
- Inventory all charges. Separate transaction costs from monthly, gateway, statement, compliance, chargeback, equipment, minimum, tax, and termination charges.
- Mark flexibility clauses. Highlight the initial term, automatic renewal, notice window, price-change rights, cancellation method, early-termination formula, and equipment-return rules.
- Model your own statements. Use the same transaction mix and services when comparing another offer, and calculate the effective all-in cost rather than comparing headline percentages.
Collect the documents that actually govern
A proposal or sales email rarely contains the whole deal. Ask for the signed merchant agreement, the separate pricing agreement or fee schedule, all amendments, and each policy referenced by name. Relevant attachments can cover a payment gateway, hosted checkout, point-of-sale equipment, data security, card-network rules, reserves, dispute handling, and acceptable use.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsMake a one-page control sheet with the contracting legal name, your business and locations, products enabled, effective date, and the order of precedence. If the agreement says an order form controls over online terms, or that a pricing schedule controls over a general services agreement, record that hierarchy. Stripe describes a Pricing Agreement as an executed document specifying fees and incorporating its services agreement and policy, but the hierarchy in your contract may be different. See the provider-specific example in Stripe’s Pricing Policy.

Check definitions before reading percentages
Terms such as merchant, transaction, card-present, card-not-present, refund, chargeback, batch, business day, network cost, and minimum monthly fee determine how later formulas work. A percentage may apply to gross sales, settled sales, or a narrower transaction amount. A fixed fee may apply per authorization, capture, settlement, refund, or dispute rather than once per customer order.
What does interchange-plus pricing mean?
Interchange-plus (also called IC+, cost-plus, or network-cost-plus) separates underlying network costs from the processor’s markup. Stripe states: "Under an IC+ pricing model, Stripe attributes underlying Network Costs to you and adds a Stripe fee (markup)." The processor may later adjust a charge if additional cost information arrives, so read the agreement’s adjustment and statement provisions rather than assuming the first estimate is final.
Under a blended or flat-rate model, the agreed transaction fee applies regardless of the underlying network-cost differences for transactions covered by that rate. A tiered model assigns transactions to categories with different rates; the agreement must define the categories and the processor’s right to reclassify a transaction. A subscription or membership model combines a recurring charge with transaction pricing, sometimes with a lower marginal rate. Many contracts combine models, such as interchange-plus for card transactions and a separate monthly gateway plan.
| Pricing structure | How the bill is formed | Questions to ask | What to watch |
|---|---|---|---|
| Blended or flat rate | One stated percentage, often with a fixed amount, for the covered transaction class. | Which card types, channels, and transaction actions are included? Are keyed, online, rewards, and international cards priced differently? | A simple rate can hide differences between low-cost and high-cost transactions and may exclude gateway, dispute, or hardware charges. |
| Interchange-plus (IC+) | Attributed network costs plus a processor markup, usually a percentage and sometimes a fixed amount. | Which network-cost components pass through? How are adjustments shown? Is the markup fixed for the term? | The final amount varies by card, method, industry, and network category; compare complete statements, not only the markup. |
| Tiered | Transactions are placed into contract-defined qualified, mid-qualified, or non-qualified categories. | What makes a transaction qualify, and who can change its category? | Reclassification rules can make the effective rate materially different from the advertised qualified rate. |
| Subscription or membership | A recurring fee is combined with per-transaction pricing, sometimes with a lower stated rate. | Is there a monthly minimum, included volume, overage charge, or annual commitment? | A lower transaction rate may not offset recurring charges at your actual volume. |
| Combination | Different services or channels use different models. | Which model applies to in-person, online, keyed, recurring, refunds, and alternative payment methods? | Compare each channel separately and then add all recurring and conditional charges. |
Interchange is not the same as your merchant discount
Interchange reimbursement fees move between acquiring and issuing banks; the merchant normally pays a merchant discount to its financial institution. Visa’s U.S. small-business guidance says, "Merchants do not pay interchange reimbursement fees—merchants negotiate and pay a ‘merchant discount’ to their financial institution that is typically calculated as a percentage per transaction." Visa explains that the merchant discount can include interchange, network fees, acquirer processing fees, and other services paid through the per-transaction discount. A separately invoiced item, such as a terminal rental, is outside that rate. Read the explanation at Visa’s Credit Card Processing Fees and Interchange Rates page.
Do not copy a number from Visa’s April 2026 interchange schedule and label it your total processing rate. That schedule is a geography- and date-specific network-to-bank table, not a merchant quote. Your agreement determines how those underlying costs and the processor’s markup reach your statement.

Visa’s Core Rules glossary also contains a Europe-region definition of merchant service charge: "A fee that is set, and charged, by an Acquirer to a Merchant under a Merchant Agreement." It is explicitly a Europe-region definition, so do not present it as a universal U.S. definition. The current rules document is available at Visa’s public rules PDF.

Read every amount, formula, trigger, and cross-reference in the pricing schedule. Build a fee inventory with the amount, calculation base, billing date, tax treatment, and whether the item is included in the merchant discount or invoiced separately.

| Termination and other conditional charges | Early-termination fee, liquidated damages, remaining minimums, clawbacks, and post-closure billing. | Is the amount fixed, based on months remaining, or based on projected processing volume? |
Stripe’s fee guide lists gateway, PCI compliance, chargeback, early-termination, setup, statement, and batch fees as possible categories. Those are examples, not a promise that every processor charges each one. Transaction costs can vary with card type, payment method, and industry. The terminology guide is at Stripe’s Credit Card Processing Fees Explained.
Turn a statement into an effective cost
Ask for a sample statement and annotate it line by line. For a month, add all percentage charges, fixed transaction charges, pass-through network costs, recurring fees, gateway and equipment charges, dispute and compliance fees, and taxes. Subtract credits or waivers that the agreement actually guarantees. Divide the result by the month’s settled sales to obtain an effective rate for that transaction mix.
Use a worksheet with these columns: date, transaction type, gross amount, refund amount, card or channel category, percentage charge, fixed charge, pass-through cost, recurring allocation, and exception or dispute fee. Keep online and in-person activity separate. A rate that looks favorable for one channel can be expensive for another when keyed or card-not-present transactions carry different pricing.

Do not treat a promotional waiver as a permanent price. Write the expiration date and the post-promotion amount beside it. Likewise, distinguish a one-time setup fee from a recurring account fee and a monthly minimum from a fee that applies only when volume falls below a threshold.
Which contract terms determine flexibility?
Initial term and start date
Find the date the commitment begins: signature, approval, activation, first transaction, or another event. Record the initial length and whether different services have separate terms. Hardware financing, gateway service, and processing may renew on different schedules.
Automatic renewal
Mark the renewal length and the exact notice window. A contract can renew for another fixed period unless notice arrives a specified number of days before expiration. The agreement may require notice to a particular address, portal, or department, and an account representative’s verbal assurance may not satisfy that clause.
Price-change authority
Identify every cost that can change, who may change it, the required notice method and period, and whether you may reject the change or terminate. Check whether network-cost changes are passed through automatically and whether the processor can alter its own markup. Stripe’s pricing policy says it may modify that policy by posting a revision or notifying customers, while also stating that a policy modification does not vary fees listed in a pricing agreement unless otherwise agreed. That statement applies to Stripe’s documents, not to another processor’s contract.
Minimums and volume commitments
Look for a minimum monthly fee, minimum number of transactions, annual commitment, or shortfall charge. Determine whether the minimum is measured across all locations or per account. Ask how seasonal closures, suspended service, or a delayed launch affect the commitment.

Liquidated damages and early termination
A clause may call the exit amount an early-termination fee, liquidated damages, lost profit, remaining minimums, or another label. Copy the calculation exactly. It might be a fixed amount, a multiple of recent fees, the remaining months of a term, or a forecast based on prior volume. The contract’s governing law and facts determine enforceability; a label alone does not answer that question.
Post-closure obligations
Check whether fees continue until all chargebacks, refunds, reserves, or settlements are resolved. Find the deadline for returning equipment, deleting credentials, and paying a final invoice. Confirm where transaction records and tax reports remain available after access to the dashboard ends.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How do I cancel a merchant services contract?
Follow the written notice clause precisely and preserve evidence. Before sending notice, calculate the contractual end date, renewal deadline, possible exit charges, equipment obligations, and any pending disputes.
- Read the termination section and definitions. Confirm whether termination is for convenience, for cause, at renewal, or only after a specific event.
- Calculate the notice deadline. Count backward from the term-end date using the contract’s stated method, not a general assumption about 30 days.
- Use the required delivery method. Send notice to the named legal entity and address, portal, or email. If the contract permits more than one method, use a trackable method and retain the confirmation.
- State the effective date and account identifiers. List the merchant ID, locations, services, and requested final processing date. Request written confirmation of the date and any amount claimed.
- Keep processing records. Download statements, settlement reports, tax documents, chargeback evidence, and equipment serial numbers before access is disabled.
- Return or transfer equipment. Follow packing, shipping, insurance, and condition requirements. Keep tracking and photographs.
- Reconcile the final account. Verify refunds, reserves, chargebacks, recurring fees, and the final invoice. Do not assume a closed login means the contractual relationship has ended.
Cancellation windows, automatic-renewal periods, early-termination charges, and liquidated-damages provisions vary by contract. Stripe’s small-business guide recommends checking those clauses and warns that short renewal windows can increase switching costs; it is educational guidance, not a universal legal rule. Read the discussion at Stripe’s guide to credit-card processing for small businesses.

What about surcharges and network rules?
A processing agreement does not replace network, acquirer, state, or country requirements. Visa’s current U.S. small-business surcharge guidance says a merchant must notify its acquirer 30 days before beginning to surcharge. That is a network guidance statement, not a complete legal checklist. Verify current state law, other network rules, disclosure and receipt requirements, and your acquirer’s process before adding a surcharge. The guidance is available on Visa’s U.S. small-business rules and fees page.
Red flags that deserve a written explanation
- A sales quote shows a single low rate while the contract reserves separate gateway, statement, batch, compliance, or equipment charges.
- The pricing schedule is missing, unsigned, or incorporated by a link that can change without a clear version date.
- Automatic renewal has a narrow notice window or requires delivery to an address different from the billing address.
- The early-termination amount is described only as "damages" without a formula.
- A processor can change markup, minimums, or service fees without identifying notice, timing, or a termination option.
- Equipment is advertised as free but the agreement imposes a rental term, non-return charge, or software fee.
- Minimum fees apply per location even though the proposal discusses combined business volume.
- The provider cannot show how a sample transaction becomes the amount on a statement.
Questions to ask before signing
- Which legal entity will bill me, and which document controls if terms conflict?
- What exact pricing model applies to each payment channel?
- Which costs are pass-through network costs, and what is the processor’s fixed markup?
- What happens to fees if my monthly volume is below the minimum or my business is seasonal?
- Which fees are recurring, one-time, conditional, or separately invoiced?
- How are refunds, disputes, reserves, and chargebacks billed?
- What is the initial term, renewal term, and precise cancellation deadline?
- How must notice be delivered, and when is it effective?
- Can I terminate after a price change, and which charges can change?
- What equipment must be returned, by when, and at whose cost?
- How long will statements and settlement records remain available after closure?
When should you obtain professional advice?
Consider a lawyer or qualified payments adviser when the agreement involves a long commitment, substantial projected volume, personal guarantees, reserves, multiple locations, financed equipment, cross-border activity, or a disputed termination invoice. Bring the complete document set and your annotated statements. Ask for advice on the governing law, liquidated-damages clause, renewal notice, and any regulatory obligations that depend on your state, country, business type, or card program.
For a routine comparison, the most useful preparation is still your own fee inventory and statement worksheet. They show whether a lower advertised rate survives fixed fees, minimums, channel differences, and the cost of leaving.
