Short answer: Do not treat a severance offer as a standard tech-industry payout. Treat it as a contract: identify what is genuinely extra, understand the claims you would release, check deadlines and statutory rights, then make a short list of specific requests tied to your priorities. State law, the written agreement, your age, the size and structure of the layoff, benefit plans, and any collective-bargaining terms can change the analysis.
Before signing, obtain the complete agreement and every document it incorporates. If the release, a waiver deadline, or possible WARN rights is consequential, have an employment attorney review it independently. The U.S. Department of Labor summarizes the basic principle this way: “Severance pay is a matter of agreement between an employer and an employee (or the employee’s representative).”

What you are actually negotiating
A severance agreement usually exchanges additional money or benefits for your promise to release specified claims against the employer. The key word is additional. Salary already owed, earned commissions, vested retirement benefits, accrued benefits that state law requires the employer to pay, or other amounts you already have a legal or contractual right to receive may not be valid consideration for a release. Compare the offer with your existing rights before deciding whether the package is valuable.

First response: preserve time and information
Get the complete document set
Ask for the signed offer or separation letter, the severance agreement, exhibits, incorporated policies, equity-plan documents, bonus plans, benefit notices, and any list or chart referenced in a group termination. Save the documents in a secure personal location, subject to your employer’s confidentiality and property-return rules. Do not forward company source code, customer data, or other proprietary material while preserving your employment records.
Record every deadline
Write down the date and time by which the employer says it must receive your signature. Note whether the offer says it expires, whether material changes would create a new offer, and whether the payment is conditioned on signing by a particular date. A business deadline in an email is not automatically the same as a statutory consideration period; the agreement and applicable law control.
Separate money you already earned
Create two columns: “already owed or vested” and “new consideration.” Put final wages, earned commissions, vested retirement rights, and any benefit or leave payment required by contract or state law in the first column. Put the proposed severance payment, employer-paid premiums, outplacement, accelerated vesting, or other new value in the second. The release should be supported by value beyond what you already have a right to receive.

Build a personal deadline plan
Allow time for questions, a counteroffer, attorney review, and a final decision. Do not resign, sign a broad release, or promise to withdraw a complaint merely because a recruiter or manager says the offer is routine. Keep communications factual and professional; they may become part of the record.
Read the agreement line by line

| Provision | What to check | Why it matters in a negotiation |
|---|---|---|
| Release of claims | Which legal and factual claims are released, the date range, related entities, and any carve-outs | A larger payment may come with a broader release. Do not value cash without valuing the rights you give up. |
| Effective date | When the agreement becomes binding and whether payment waits until that date | Signing and effectiveness may be different events, especially when a revocation period applies. |
| Payment | Gross amount, lump sum or installments, payment trigger, and treatment of disputed amounts | Timing can matter more than headline dollars if you need cash immediately or are starting a new job. |
| Benefits | Health-plan continuation, employer premium payments, eligibility end dates, and notices you must elect | Insurance value can exceed a modest cash increase, but continuation is governed by the actual plan and applicable law. |
| Equity and incentives | Vesting date, exercise window, forfeiture language, bonus eligibility, and plan definitions | A separation agreement cannot be understood apart from the governing equity or incentive plan. |
| Confidentiality | What is confidential, permitted disclosures to advisers and family, and whether the clause covers the agreement itself | Ask for practical carve-outs so you can discuss the agreement with an attorney, tax adviser, spouse, or government agency where permitted. |
| Non-disparagement | Whether it is mutual, who is bound, and what truthful testimony or agency cooperation remains permitted | A one-sided restriction can affect future job searches and legal rights. |
| References and announcement | Who may provide a reference, whether a written reference is attached, and what the company will say about the departure | Obtaining an agreed factual reference can be more useful than a small increase in cash. |
| Return of property | Devices, credentials, records, deletion obligations, and the deadline for return | Clarify how to retrieve personal files without retaining company information. |
| WARN language | Any waiver, offset, acknowledgment, or statement that the payment replaces notice | Severance is not automatically a substitute for legally required notice. The wording and facts must be analyzed together. |
| Dispute terms | Governing law, venue, arbitration, fee provisions, and notice method | These terms can change the cost and forum for enforcing the agreement. |
How to prepare a focused counteroffer
Rank needs instead of asking for everything
Choose your top two or three priorities. Common priorities are additional cash, employer-paid health premiums for a defined period, payment timing, equity treatment, a neutral or positive reference, written confirmation of the departure reason, and narrower confidentiality or non-disparagement language. A short, prioritized request is easier for the employer to approve than an unfocused list.
Ask for concrete changes
State the requested term, the reason it matters, and the proposed wording or measurable result. Examples include:

- “Continue the employer share of health-plan premiums through a specified date, subject to plan and legal eligibility.”
- “Attach the agreed reference letter and identify the authorized reference contact.”
- “Make the non-disparagement obligation mutual and preserve truthful testimony and communications with government agencies.”
- “Clarify that vested retirement and equity rights remain governed by the applicable plan documents.”
- “Confirm that the company will not characterize the payment as a waiver of rights that cannot legally be waived.”
Present these as negotiation proposals, not as guaranteed market norms. If you are relying on a contract, plan, statute, or collective-bargaining agreement, identify the provision precisely rather than calling it an industry standard.
Explain the trade where appropriate
An employer may be more receptive when the request has a clear exchange: a faster signature for a defined increase, a narrower release for a lower payment, or a written reference in place of a disputed characterization. Do not offer to waive rights you cannot legally waive, and do not accept a vague promise that is absent from the final document.
Step-by-step negotiation process
- Inventory the offer. List each payment and benefit, its amount or duration, and whether it is additional or already owed.
- Mark risk terms. Highlight the release, confidentiality, non-disparagement, arbitration, WARN language, equity provisions, and every deadline.
- Check outside documents. Read the employment agreement, bonus and equity plans, benefit summaries, handbook provisions, and any collective-bargaining agreement that applies.
- Check legal triggers. Determine whether an age-claim waiver, group termination, possible WARN-covered event, or state-law payment rule may apply.
- Get advice when the stakes justify it. Give an employment attorney the complete document set and ask for a review of the release, deadlines, payment consideration, and statutory rights.
- Send one written counteroffer. Use a short numbered list, preserve the original deadline in your records, and request confirmation of any extension in writing.
- Review the redline. Compare every revised definition, date, amount, and incorporated document. A material change to an age-claim waiver can affect the consideration period.
- Decide deliberately. Compare the final net value and timing with the rights released and the cost of delay. If you decline, keep copies of the offer and your communications.
“Is this legal? Should I sign it?”
Legality and advisability are separate questions. An agreement can be lawful yet poor for your circumstances, or contain a clause that is unenforceable while still creating expensive uncertainty. Do not sign until you understand the release, what is genuinely additional, when payment arrives, what benefits end, and which rights remain.

EEOC guidance flags rights that an employer generally cannot make you waive through an ordinary severance release, including the right to file or cooperate with the EEOC. It also identifies future claims, unemployment compensation, workers’ compensation, FLSA claims, COBRA health benefits, and vested ERISA plan benefits as rights that require special care or cannot simply be signed away. The exact language and applicable law control; a savings clause does not automatically repair an overbroad provision.
“What makes a waiver of age claims knowing and voluntary?”
For a waiver of claims under the federal Age Discrimination in Employment Act, the Older Workers Benefit Protection Act imposes specific requirements. For an individual offer, the employee generally must receive at least 21 days to consider it and seven days after signing to revoke. For an exit-incentive or termination program offered to a group or class, the consideration period is generally at least 45 days and additional written disclosures are required.
The EEOC explains that “The 21 or 45 day period runs from the date of the employer’s final offer.” If the employer makes a material change, the applicable consideration period can restart. The agreement should state the seven-day revocation right and the effective date clearly. These periods apply to the scoped age-claim waiver rules; they are not a blanket timeline for every severance term or every legal claim.
Group-layoff disclosures
If you are 40 or older and the offer is part of a group termination or exit-incentive program, ask for the written information describing the decisional unit and the ages and job titles of selected and non-selected employees, as required by the applicable federal rules. Missing or unclear disclosures are a reason to pause and obtain legal advice, not a reason to guess that the offer is invalid.
“If I am 40 years old or older, am I entitled to more severance pay or benefits than a younger employee?”
No automatic premium follows from being 40 or older. EEOC guidance does not require an employer to offer more consideration solely because a worker is in that age group. Age can affect the legal requirements for an age-claim waiver, but it does not create a universal severance formula. An employer may lawfully use a plan formula based on tenure, role, salary, or other criteria, subject to discrimination and contract rules.

WARN: “Can I waive my WARN rights?”
The federal Worker Adjustment and Retraining Notification Act has complex coverage, notice, and exception rules. The Department of Labor’s baseline worker guidance identifies thresholds that can include 50 or more workers at a single site when that is at least one-third of the full-time workforce there, or 500 or more workers at a single site. These are screening thresholds, not a conclusion that WARN applies to your layoff. Employer size, site, employment status, timing, exceptions, and state mini-WARN laws can change the result.
A severance agreement may contain a WARN waiver, an acknowledgment that notice was provided, or language saying payments offset potential liability. The DOL explains that waivers may be effective under specified conditions and that some voluntary, unconditional payments can offset liability in certain circumstances. Do not treat a severance check as an automatic substitute for notice. Have counsel compare the layoff facts, notices, payment terms, and proposed waiver.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.“Can my employer provide a severance package instead of notice?”
Sometimes an employer may offer pay in lieu of working through a notice period, but whether that satisfies a notice law depends on the statute and facts. A separation agreement can also change how the parties describe the payment. Read the WARN clause, any release of notice claims, and the payment conditions together. State law may provide additional notice or wage protections.
Value benefits and transition support, not just cash
Health coverage
Identify the date active coverage ends, election deadlines, premium amounts, and whether the employer will pay any portion. COBRA rights and other continuation options have their own notices and deadlines. A promise to “cover insurance” is incomplete unless the agreement states which plan, period, premium share, and conditions apply.

Best Value
Retirement and equity plans
Vested ERISA plan benefits generally require separate plan analysis. Equity awards are governed by their plan and grant documents, which may set vesting, exercise, and post-termination deadlines. Ask for a written statement of the governing dates; do not rely on a manager’s informal explanation.
Public transition resources
The Department of Labor directs laid-off workers to state Rapid Response services and American Job Centers for benefits information, career counseling, résumé and job-search help, and training. Availability varies by state and situation, so contact these programs promptly while local resources remain available.
Comparing two or more proposals
If an employer presents alternatives, compare them on the same axes rather than choosing the largest headline amount.
| Comparison axis | Questions to answer |
|---|---|
| Extra cash | What amount is truly additional, when is it paid, and are installments conditioned on anything? |
| Benefits | How long do health and other benefits continue, and what is your out-of-pocket cost? |
| Rights released | Which claims, entities, and time periods are covered, and what carve-outs remain? |
| Deadlines | What is the response date, and do age-waiver consideration and revocation periods apply? |
| WARN | Does either option include a waiver, offset, or different description of notice-related payments? |
| Transition help | Are references, outplacement, counseling, or training specified in writing? |
| Restrictions | How broad are confidentiality, non-disparagement, cooperation, arbitration, and property-return terms? |
Common mistakes and how to avoid them
- Using an internet “standard.” Published anecdotes do not establish a legal or industry benchmark. Analyze your written offer and rights.
- Counting owed wages as severance. Separate earned or vested amounts from new consideration.
- Signing under an informal deadline. Ask whether the deadline is extended and document the answer.
- Ignoring incorporated documents. A release may refer to plans or policies that contain the decisive terms.
- Assuming a waiver covers everything. Certain agency, benefit, wage, and future-claim rights require statutory limits or cannot be waived in the proposed form.
- Trading away a reference for vague goodwill. Put the reference, spokesperson, and wording in the agreement.
- Deleting evidence. Preserve personal employment records lawfully, but return company property and confidential information as required.
- Relying on oral promises. If a term matters, include it in the final signed documents.
- Waiting on public benefits. Contact unemployment, health-coverage, and Rapid Response resources as soon as deadlines begin.
A concise counteroffer template
Use a neutral tone and adapt the amounts and dates to your situation:
Thank you for sending the separation agreement dated [date]. I am reviewing it and request written confirmation that the response deadline is [date]. Subject to agreement on the complete documents, I request:
- “[Specific additional payment], paid [timing].”
- “Employer payment of [specified share] of health premiums through [date], subject to plan eligibility.”
- “A mutual non-disparagement clause and the attached reference letter.”
- “Clarification that vested plan benefits and rights that cannot lawfully be waived are excluded from the release.”
“Please send a clean and redlined copy showing any changes, together with all incorporated plan documents.”
When attorney review is especially important
Independent employment-law review is particularly valuable when the agreement contains an age-claim waiver, a group-layoff disclosure, a WARN waiver or offset, arbitration, broad confidentiality, a threatened claim, disputed wages or commissions, equity with a short exercise window, a collective-bargaining agreement, or a state-law issue. Bring the full agreement and exhibits, not just the signature page. Ask the attorney to identify deadlines, rights that remain, risks in the release, and the practical value of each requested change.
Final signing checklist
- You have the final agreement and every incorporated document.
- The payment is identified as additional consideration and the amount and timing are clear.
- The release has understandable scope and preserves rights that cannot be waived.
- Any age-claim waiver includes the applicable consideration and revocation language.
- Group-layoff disclosures, if required, are complete.
- Health coverage, equity, retirement, reference, confidentiality, and property-return terms are written precisely.
- WARN language has been evaluated against the actual layoff facts.
- You have recorded the deadline and kept copies of all communications.
- You understand what happens if you do not sign.
The Bottom Line
Negotiate the document, not a rumored tech-industry formula: identify the extra consideration, price the release and timing, check age-waiver and WARN rules, protect benefits and non-waivable rights, and obtain legal review when the consequences are substantial.
