Evaluate a tokenization platform by establishing what rights the token conveys, which record legally proves ownership, how customer assets are held and protected if a provider fails, which rules apply to each participant, and whether the controls have been evidenced for the production service you would use. A blockchain entry alone does not settle any of those questions. This guide is U.S.-focused; platform due diligence is not a substitute for legal advice on the specific asset, contracts, entities, and jurisdictions.
1. What legal and economic rights does the token give its holder?
Start with the instrument, not the platform’s product name. “Tokenized” describes a representation or recordkeeping method; it does not, by itself, establish that a token holder directly owns the underlying asset. The SEC divisions’ January 28, 2026 staff statement discusses both issuer-sponsored and third-party models, whose legal and economic rights can differ.
Identify the parties and the holder’s claim
- Name the legal issuer, any obligor, the asset being represented, and the governing documents. Ask who owes the holder what, and which entity the holder would have a claim against if something goes wrong.
- Have the platform classify the structure precisely: for example, an issuer-sponsored security, a custodial security entitlement, a linked security, a security-based swap, or another arrangement. A marketing label is not a legal classification.
- Request a rights matrix covering voting, dividends or other distributions, redemption, information, transfer, and any other material rights. Compare those rights with the represented instrument and identify any differences.
- Determine whether the token represents a security or entitlement held through a custody arrangement, or instead provides exposure linked to a referenced security. A linked or synthetic instrument may offer economic exposure without giving its holder rights against the issuer of the referenced security.
- Identify intermediary performance and bankruptcy exposure. The SEC staff notes that a third-party tokenized structure may expose a holder to risks, including an intermediary’s bankruptcy, that a holder of the underlying security might not face.
Ask counsel to verify that the governing law and documents make the relevant token transfer effective as a transfer of the security or entitlement. The SEC staff statement assumes compliance with applicable law and governing documents; it does not resolve how a particular transaction works.

2. Which record proves ownership, and when does a transfer take effect?
Find out which record controls if the blockchain and an issuer’s or intermediary’s books disagree. Tokenization arrangements may integrate distributed-ledger technology with issuer records, or use on-chain activity to trigger updates to off-chain records. The operating design must specify how those records relate and which party is accountable for correcting them.
Map the authoritative register and transfer sequence
- Name the master record: establish whether ownership is recorded in an on-chain securityholder or entitlement register, an off-chain register, or a defined combination. Identify its operator and the legal basis for treating it as authoritative.
- Trace one transfer end to end: document who authorizes it, which identity and compliance checks run, which ledger changes, who updates any off-chain books, and the point at which the transfer becomes legally effective.
- Test exceptions: walk through rejected transfers, reversals where legally permitted, lost keys, duplicate or stale records, chain reorganizations, network outages, and corrections to the legal register. Record who can act, what evidence is required, and how disputes are handled.
- Assign responsibility: require a named party to maintain the master record and a documented process for reconciling discrepancies, correcting errors, and communicating outcomes to affected holders.
Do not assume that a confirmed on-chain transaction automatically changes legal ownership. The answer depends on the instrument, documents, governing law, and the recordkeeping arrangement.

3. Who holds the assets, and what happens if a provider fails?
Trace the custody chain from the customer-facing platform to every custodian and sub-custodian. Evaluate insolvency separately for the issuer, platform, custodian, and sub-custodian: the relevant contracts, records, and customer claims may differ at each layer.
Inspect the custody arrangement
- List each custody entity, its jurisdiction and regulatory status, the accounts or wallets used, and its contractual responsibilities. Identify every sub-custodian rather than treating custody as a single platform feature.
- Read the custody agreement to determine whether the relationship is custody or debtor-creditor. Confirm the customer’s property interest, permitted uses of assets, liens and set-off rights, fees, and withdrawal rights.
- Request evidence of customer-asset segregation, separate accounting in on-chain records and internal books, an audit trail, and a documented reconciliation procedure.
- Review sub-custody due diligence, risk assessments, contracts, approval requirements where applicable, and customer disclosures. Confirm how the provider monitors and responds to changes in a sub-custodian’s risk or service.
- Ask how a customer’s beneficial interest would be established if a provider became insolvent, and how the assets and ownership records could be recovered or transferred.
New York Superintendent Adrienne A. Harris’s September 30, 2025 DFS letter says: “The Department expects VCE Custodians to structure their custodial arrangements in a manner that preserves the customer’s equitable and beneficial interest in the customer’s virtual currency.” The guidance also addresses segregation, accounting, sub-custody, and disclosures, but it applies to specified entities licensed under New York virtual-currency regulation or chartered as limited purpose trust companies that custody virtual currency. Confirm that it covers the entity under review; do not assume it governs every provider.

4. What security and resilience evidence should you request?
Assess the actual production service, not a company-wide security claim in the abstract. For each report or assessment, record its date, scope, exclusions, and coverage of the relevant service, chains, custody architecture, and subcontractors.
Review controls across the service lifecycle
- Identity and privileged access: inspect identity verification, role-based access, privileged-account controls, separation of duties, and access-review practices.
- Keys and transaction signing: review key generation, storage, backup, recovery, and signing policies. Identify who can initiate, approve, or block transfers and how those powers are separated.
- Smart contracts and administration: examine the process for code review and changes, administrative or upgrade powers, approval thresholds, monitoring, and response to a discovered defect.
- Detection and response: ask how the provider detects compromised credentials or keys, software vulnerabilities, suspicious activity, chain congestion or failure, and loss of critical third-party services. Review incident response and customer-notification procedures.
- Continuity and recovery: inspect backup, disaster-recovery, and business-continuity plans, including dependencies on custodians, cloud or infrastructure providers, blockchain networks, transfer agents, and recordkeeping processes.
Assess suppliers as part of the security boundary
Request a critical-vendor inventory, supplier due diligence, continuity and exit plans, and evidence that data and assets can be made portable if a provider or subcontractor is unavailable. NIST SP 1326, finalized in July 2026, identifies supplier provenance, resilience, foundational cybersecurity practices, supply-chain tiers, and foreign ownership, control, or influence as ICT supplier due-diligence areas. Use it to structure questions, not as a certification that a platform is secure.

5. Which laws and compliance obligations apply to each participant?
Map regulated activities to the entities that perform them and the places where they occur. Tokenization does not, by itself, answer whether securities laws apply; the instrument and transaction structure matter. Investor.gov describes tokenized securities as securities subject to SEC regulation and investor protections. The SEC divisions’ January 28, 2026 statement says: “The format in which the security entitlement is issued does not affect application of the federal securities laws.” That document expresses staff views, not a Commission rule or regulation, and says it does not have legal force or amend applicable law.
Build an entity, activity, and jurisdiction map
- Inventory issuance, offering, distribution, custody, trading, transfer agency, broker or intermediary functions, administration, and investor onboarding.
- For each activity, identify the responsible entity, where it is performed, the customers involved, and the asset or instrument involved.
- Have qualified counsel assess potentially applicable registrations, licenses, exemptions, disclosures, and recordkeeping duties against the actual structure and relevant jurisdictions.
- Check customer disclosures for custody terms, property interests, asset accounting, use of customer assets, sub-custody risks, fees, transfer restrictions, and complaint or dispute procedures.
For a bank outsourcing custody or execution, assess whether the activity is permissible for that institution and review the applicable third-party risk controls. OCC News Release 2025-42, dated May 7, 2025, describes certain permissible crypto-asset custody and execution activity, including outsourcing, subject to third-party risk management, safe and sound operation, and applicable law. The existence of a bank or a vendor relationship does not by itself establish that a particular arrangement meets those conditions.

6. How should you compare platforms on the same evidence?
Use the same review scope and evidence standard for every candidate. Record the document reviewed, its date and service scope, the owner of each open issue, and whether the claim has been independently verified. A certification badge, chain choice, or general vendor assertion alone is not a basis to call a platform “compliant” or “secure.”
| Review area | Evidence to request |
|---|---|
| Legal rights | Offering and governing documents; rights matrix; structure diagram; legal analysis of the holder’s claim. |
| Ownership record | Authoritative-register description; transfer sequence; reconciliation controls; exception and correction procedures. |
| Custody and insolvency | Custodian and sub-custodian chain; account or wallet structure; segregation evidence; contracts; insolvency analysis. |
| Security | Scoped independent assessments; key-management design; access controls; incident-response and recovery evidence. |
| Compliance | Entity, activity, and jurisdiction map; licenses or legal basis; onboarding and transfer restrictions; customer disclosures. |
| Supplier resilience | Critical-vendor inventory; due diligence; continuity and exit plans; data and asset portability arrangements. |
Before approval, resolve material gaps in rights, authoritative ownership records, custody protections, or the legal basis for the activities. For residual risks, document the evidence reviewed, the responsible owner, and the mitigation or contractual protection accepted.
