Check what the rating means, read the report’s reasoning, verify its key claims against company filings, and then decide whether any action fits your own investment plan.
What does “Strong Sell” actually mean?
Rating categories vary by firm. A Strong Sell could signal an expected absolute price decline, expected underperformance relative to a market or sector benchmark, or another firm-defined outcome. The phrase alone does not establish a specific expected return, probability of loss, or timing.

Start with the rating definitions in the report, then identify its benchmark and forecast horizon. A negative outlook over a short period is not necessarily a view about the company’s long-term prospects. The SEC advises investors not to rely solely on an analyst recommendation when deciding whether to buy, hold, or sell a stock: SEC investor alert on analyst stock ratings.

-
Read the argument, not just the rating
Identify the analyst’s central thesis and the assumptions it depends on. Check the valuation method, price target and date, forecast period, expected catalysts, and principal risks. Look for evidence that would weaken or disprove the thesis. Distinguish reported facts from forecasts and judgments: the rating is a conclusion, while these supporting details are what you can evaluate.
-
Check the company’s filings
Compare claims about the business, finances, debt, performance, growth prospects, and risks with the company’s latest annual Form 10-K and quarterly Form 10-Q. FINRA describes 10-Ks as annual and audited, and 10-Qs as quarterly and unaudited. Confirm that the analyst’s information is current and consistent with those filings: FINRA guide to reading a 10-K.
-
Review conflict disclosures
Read the report’s disclosures about the analyst’s and firm’s interests and relationships. Depending on the report, these may cover financial positions, market-making, or investment-banking relationships. Treat a disclosed conflict as context to consider, not proof that the opinion is wrong. The SEC says a conflict does not by itself mean a recommendation is flawed or unwise: SEC alert on analyst conflicts of interest.

Corroborate the thesis and check for updates
Compare the report with filings and independent analysis. Focus on disagreements over facts, assumptions, valuation, catalysts, and downside scenarios. Then check whether new filings or company developments have appeared since the report date; an older analysis may not reflect material changes.

How to compare two analyst reports
When reports reach different conclusions, compare their underlying terms and reasoning rather than treating a consensus label as a personalized recommendation.
| What to compare | Questions to ask |
|---|---|
| Rating definition | Does the firm mean an absolute decline or underperformance against a benchmark? |
| Date and horizon | When was the report issued, and what period does its outlook cover? |
| Evidence and assumptions | Which facts, forecasts, or business assumptions drive the conclusion? |
| Valuation and target | What valuation method supports the price target, and when was that target set? |
| Catalysts and risks | What events could change the outlook, and what downside scenarios does the report identify? |
| Disclosures | What interests or relationships does each report disclose? |
Decide whether any action fits your situation
An analyst recommendation generally is not an individually tailored financial plan. Consider your goals, time horizon, risk tolerance, investment strategy, and how the holding fits into a diversified portfolio. A report can inform your decision, but it cannot determine what is appropriate for you.
The cited guidance is from U.S. regulators. If you are evaluating a non-U.S. company or investing from outside the United States, check the relevant firm’s rating definitions and the disclosure rules that apply in your jurisdiction.
