Evaluate a public company’s Bitcoin treasury as a capital-allocation and risk decision—not as a forecast of Bitcoin’s price. The key questions are whether the policy is clear, how purchases are funded, whether the company can meet operating and financing needs through a severe downturn, and whether it can demonstrate control of its Bitcoin. The same Bitcoin balance can be manageable for one issuer and a threat to another, depending on its cash needs, capital structure, funding costs, custody, and ability to withstand a sharp decline.

Start with a consistent snapshot of the company

Use the latest 10-K, 10-Q, and material-event filings available for the date you are evaluating. Company disclosures are time-bound: record the Bitcoin balance, its reported value, and the company’s other financial figures as of the same reporting date. Note the reporting period and accounting framework, and distinguish a period-end balance from events disclosed afterward.

Do not treat a headline such as Bitcoin per share or market capitalization compared with Bitcoin holdings as a complete valuation. Those comparisons leave out liabilities, dilution, operating assets, cash needs, and contingent claims. They can be supplementary figures, but they cannot establish whether the strategy is financially supportable.

Use a comparison framework, not a single headline metric

For each issuer, fill in the same fields. If a filing does not provide a detail, mark it as “not stated” and identify the filing rather than inferring an answer.

Axis What to record and assess
Purpose and governance Stated rationale; board approval; policy limits; who may change the policy; and whether the company may buy, sell, lend, hedge, or pledge Bitcoin.
Scale and concentration Bitcoin’s reported value as a share of total assets and liquid resources, measured on the same reporting date; concentration relative to operating assets and other reserves.
Funding and dilution Cash purchases versus equity, debt, convertibles, or preferred securities; issuance terms; interest, dividends, maturities, conversion features, and changes in diluted share count.
Liquidity and resilience Unrestricted cash, operating cash flow, near-term obligations, and ability to fund expenses without Bitcoin appreciation or access to favorable capital markets.
Accounting and tax Applicable accounting framework and measurement; income-statement impact; transition comparability; relevant disclosures; and the issuer’s tax discussion for its jurisdiction.
Custody and evidence Self-custody or third-party custody; private-key governance; access, segregation, and recovery controls; disclosed insurance and counterparty exposure; and audit procedures addressing existence and control.
Encumbrance and yield Whether Bitcoin is lent, pledged, or used in derivatives; collateral terms, haircuts, margin triggers, counterparty rights, liquidation provisions, and risks taken to generate yield.
Operating-company effect Operating cash generation and business performance apart from treasury valuation changes and financing activity; whether the strategy alters capital allocation or concentrates risk in one volatile asset.

There is no universal Bitcoin-weight threshold that makes a strategy safe or unsafe. The significance of the exposure depends on the issuer’s liquidity, obligations, business economics, and ability to act if markets and financing conditions deteriorate together.

Read the policy and identify who controls it

Find the issuer’s stated reason for holding Bitcoin and the formal policy, rather than relying only on executive commentary or a purchase announcement. A policy is more informative when it states who authorized it, who can amend it, what limits apply, and under what circumstances the company can sell, hedge, lend, or use Bitcoin as collateral.

Look for a gap between the stated purpose and the permitted actions. For example, a company that describes Bitcoin as a long-term reserve but also permits lending or pledging it has counterparty and liquidity exposures that a simple “buy and hold” description would miss. If the filing does not explain decision rights or limits, treat that as an information gap—not proof that no controls exist.

Trace the money behind each purchase

Determine whether Bitcoin was acquired with cash generated by the operating business, proceeds from selling assets, or new financing. Financing choices distribute risk differently:

  • Common stock: Raises capital without scheduled interest or repayment, but can dilute existing shareholders. Compare the shares issued and issuance terms with changes in basic and diluted share counts.
  • Debt: Adds interest, maturity, and refinancing obligations. Assess these against operating cash flow and available liquidity rather than assuming Bitcoin can always be sold at a favorable price.
  • Convertible securities: Combine contractual payment terms with possible conversion into shares. Review maturity, interest or dividend provisions, conversion terms, and the potential effect on ownership.
  • Preferred securities: May carry dividends, redemption or other terms, and claims that rank differently from common equity. Read the instrument’s terms rather than treating the proceeds as obligation-free cash.

Strategy’s 2025 Form 10-K describes raising capital, including through common stock and preferred securities, to acquire Bitcoin. That example illustrates why the number of Bitcoin held alone does not show what shareholders or the company owe in order to build or maintain the position.

Test whether the company can fund the business without a rising Bitcoin price

Compare unrestricted cash and operating cash flow with recurring expenses, near-term debt maturities, interest or preferred dividends, capital needs, and other obligations. Ask whether the company can meet those needs without selling Bitcoin, borrowing more, or issuing shares. A reported asset balance is not the same as immediately available liquidity, particularly if assets are pledged, access is restricted, or selling into a weak market would be costly.

Run a downside scenario that combines risks rather than considering a price decline in isolation. For example, ask what happens if Bitcoin falls sharply while operating cash flow weakens, refinancing becomes more expensive, and new equity is harder to raise. For any pledged assets or derivatives, include margin calls, default conditions, collateral haircuts, and forced liquidation. The practical question is whether the issuer can keep funding operations and meet obligations without relying on Bitcoin recovery or favorable financing markets.

Strategy discloses concentration and Bitcoin volatility risks. U.S. Bitcoin Corp.’s transition-period annual report describes Bitcoin pledged under derivative arrangements and the possibility that a secured party could control and liquidate pledged assets under certain default or margin-deficiency conditions. These are issuer-specific disclosures, not assumptions that every Bitcoin treasury has the same arrangements.

Separate accounting gains from cash generation

For US GAAP reporters, FASB Accounting Standards Update 2023-08 requires fair-value measurement for in-scope crypto assets and recognition of fair-value changes in net income each reporting period, along with specified interim and annual disclosures. The standard’s scope and the issuer’s accounting policy matter; do not assume every digital asset or reporting framework is treated identically.

Strategy, Inc. says it adopted ASU 2023-08 on January 1, 2025. Its 2025 Form 10-K cautions that “any unrealized gain on digital assets reflected in our financial results for a given period does not reflect cash actually earned by us during that period, and a significant increase in our digital assets included on our balance sheet is not associated with an actual increase in our liquidity.” Treat this as Strategy’s own disclosure: an income-statement gain from remeasurement does not, by itself, fund payroll, debt service, or investment.

The adoption boundary also matters when reading results over time. Strategy states that pre-adoption periods are not comparable because retrospective restatement is not permitted. For any issuer, check the accounting policy, transition disclosures, and tax discussion instead of assuming an accounting gain is cash or taxable income. FASB’s project page reported that a cash-equivalent classification project was added to its research agenda in August 2025; that project status is not a substitute for checking current authoritative guidance and the company’s own policy.

Check who can access the Bitcoin, not just where it appears on a blockchain

Identify whether the company uses a custodian or self-custody, who controls the private keys, how access is restricted and recovered, and what happens if a custodian becomes insolvent or unavailable. Review disclosed segregation, approvals, recovery procedures, insurance terms, and counterparty arrangements. A public blockchain balance alone does not establish that the issuer controls the keys or can access the assets; lost or destroyed private keys can make Bitcoin inaccessible.

Audit disclosures can help establish what evidence was examined, but do not treat one company’s procedures as a universal standard or guarantee. In Block, Inc.’s 2025 annual report, the auditor describes independently obtaining evidence from the public Bitcoin blockchain, testing management’s reconciliation of internal records to that blockchain, and observing movement of sampled Bitcoin to test control of wallet private keys. When reviewing another issuer, look for its own description of evidence addressing existence and control.

Examine lending, collateral, derivatives, and claimed yield

Find out whether Bitcoin is simply held or is being used to generate income through lending, collateral arrangements, or derivatives. The latter can add counterparty, legal, operational, and liquidity risks. Read the actual terms disclosed: who has rights to the assets, what collateral haircuts or margin triggers apply, what constitutes default, and whether the counterparty can seize or liquidate Bitcoin.

Compare any stated yield with the additional risks and restrictions it entails. A return is not “free income” if the arrangement exposes the company to a margin call, delayed access, default, or forced sale at an unfavorable time. If the filing does not disclose material terms, the strategy’s downside mechanics cannot be fully assessed from the yield figure alone.

Judge treasury results separately from the operating business

Review operating revenue, expenses, and cash flow separately from Bitcoin valuation changes and financing transactions. A strong mark-to-market result does not show that the original business is improving, nor that the treasury can reliably fund it. Track whether operating cash generation supports the company’s obligations and whether the treasury strategy changes investment priorities or increases dependence on a single volatile asset.

Also check any issuer-defined measures, such as Bitcoin per share or other bespoke treasury KPIs, for their definitions and limitations. Such measures can describe a narrow feature of the strategy, but they do not replace analysis of share issuance, liabilities, operating assets, and cash generation.

Make the conclusion conditional on evidence

A sound evaluation records what the company says it is doing, what funding and controls it discloses, and what remains unclear. An investor may judge the same exposure differently depending on business prospects and tolerance for volatility, dilution, and financing risk. This framework supports a company-level assessment; it does not produce a universal buy-or-sell conclusion.
