Evaluate a bank’s fee income by tracing each revenue stream to the activity that produces it, testing how repeatable and market-sensitive it is, and reconciling management’s labels with audited statements and regulatory filings. Evaluate an acquisition separately: purchase accounting can create goodwill or a bargain-purchase gain, while credit marks, capital needs, integration problems, customer losses and critical-vendor failures determine whether the deal creates durable earnings.
A high “noninterest income” percentage is not, by itself, evidence of diversification or lower risk. The useful question is what generated the income, how it behaves through a cycle, what costs and obligations accompany it, and whether acquisition-related accounting has inflated the reported result.

Start with the reporting baseline
Before judging a fee trend or an acquisition, establish exactly which banking entity and reporting period you are analyzing. A parent company’s annual report may consolidate subsidiaries that are not included in the same way in a bank-level regulatory report. Record the legal entity, quarter or year-end date, accounting framework, and any merger close date that changed the reporting perimeter.

For U.S. banks, the FFIEC Call Report contains a balance sheet, income statement and supporting schedules. The FFIEC describes FFIEC 051 as the form for banks with domestic offices only and total assets below $5 billion. That threshold and eligibility describe the form, not a permanent label for every bank; confirm the form and report date because reporting forms and instructions can change.

| Check | What to record | Why it matters |
|---|---|---|
| Banking entity | Charter, consolidated or standalone scope, and subsidiaries included | Prevents a fee stream or acquisition from being counted in one period but excluded in another. |
| Reporting period | Quarter-end or year-end date and acquisition closing date | Shows how many days of the acquired business are actually in the results. |
| Regulatory form | FFIEC form number and applicable instructions | Line definitions and required detail vary by form and period. |
| Audited disclosures | Revenue notes, business segments, merger notes and significant estimates | Management’s categories often explain drivers that a single regulatory line conceals. |
Cross-check Schedule RI, then read the notes
Use Schedule RI as a numerical cross-check against the bank’s income statement. The December 2024 Schedule RI instructions group multiple services, commissions and fees under “other noninterest income.” That broad bucket can combine recurring customer revenue with volatile or one-time items, so confirm the instructions in force for the period you are analyzing rather than assuming a current label applied historically.
Next, read the bank’s own revenue note and segment disclosures. Look for definitions, reclassifications, acquired revenue, and explanations of unusually large changes. If the annual report uses a different term from Schedule RI, build a bridge rather than treating the labels as interchangeable.
Map every material fee stream
“Noninterest income” is a reporting category, not a quality rating. Build a source-by-source schedule for several periods. For each line, show the reported amount, percentage change, share of total revenue, and any classification or acquisition event affecting comparability.
| Revenue source | Questions about repeatability | Risk indicators to investigate |
|---|---|---|
| Deposit service charges | Are balances, account counts and pricing stable? Are waivers or overdraft-policy changes driving the trend? | Customer attrition, regulatory remediation, fee waivers, or concentration in a narrow account type. |
| Fiduciary and asset-management services | How much comes from recurring contracts, assets under management, market levels and net client flows? | Market declines, performance-linked fees, client concentration, or unusually strong one-period flows. |
| Card and interchange activity | Are purchase volumes, active cards and interchange rates growing consistently? | Consumer spending slowdown, network or processor dependence, fraud losses, disputes, and rule changes. |
| Mortgage or loan servicing | Is the fee tied to a stable servicing portfolio, new originations, or changes in servicing rights values? | Prepayment, interest-rate sensitivity, delinquency, advance requirements, and valuation swings. |
| Payments and other commissions | Are contracts recurring, usage-based, or dependent on a few counterparties? | Customer or vendor concentration, contract renewal risk, compliance costs and service outages. |
| Trading and transaction-related revenue | Is income generated by customer activity, market positions, fair-value changes or one-off transactions? | Market volatility, model risk, inventory losses, counterparty exposure and quarter-end spikes. |
| Other noninterest income | Can the bank identify each material component and explain its period-over-period movement? | Unexplained residuals, gains on sales, litigation recoveries, acquisition gains or reclassifications. |
The Federal Reserve Bank of Minneapolis describes examples of noninterest income and discusses the possibility that diversification can reduce risk, but it also urges skepticism toward broad claims. Its 1999 discussion is historical context, not a current estimate of the industry’s fee mix. Do not use it as evidence that any particular bank’s fees are stable.

Test whether fee income is durable
1. Separate relationship revenue from event revenue
Recurring service fees usually arise from an ongoing customer relationship or contract. Event revenue can result from a security sale, loan sale, legal settlement, fair-value movement, restructuring, or acquisition. A bank may report both in noninterest income, but they have different forecasting value. Require a description of the underlying activity before assigning a recurring multiple or using the amount as a run-rate.
2. Decompose the change into volume, price and valuation
Ask management disclosures to distinguish more customers or transactions from higher prices, market appreciation, fair-value changes and acquired operations. If the bank does not provide the decomposition, mark the uncertainty rather than assuming organic growth. A two-period increase that disappears when market levels normalize is not equivalent to a contract-driven increase.
3. Examine concentration and sensitivity
Identify dependence on a few customers, counterparties, products, geographies, platforms or vendors. Then test plausible shocks: lower transaction volumes, falling asset prices, reduced mortgage originations, higher fraud, a lost client, or an unavailable processor. The objective is not to forecast a precise stress result; it is to discover which assumptions make the fee stream fail.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minute4. Subtract the obligations that accompany the revenue
Fee income can require staff, technology, reserves, compliance monitoring, dispute handling, insurance, remediation or litigation spending. Review the related expense lines and disclosures. Customer harm, unauthorized transactions or aggressive sales practices can turn apparently attractive fees into future costs and reputational damage.

- [Dont Hesite to Order] 24 hours customer services and professional technology team are standing by
5. Check disclosure quality
Rate a stream more cautiously when the bank cannot explain its components, changes classifications without a bridge, or combines recurring and one-time items in “other.” Specific, consistent categories across periods make a fee stream easier to test; sparse disclosure is itself an analytical risk.
Reconcile management reporting with filings
Perform a three-way tie-out:
- Start with the income statement. Capture total noninterest income and any subtotals the bank presents.
- Tie to Schedule RI. Confirm that the regulatory amount uses the same entity, period and line definitions.
- Bridge to the revenue note and management discussion. Explain every material difference, reclassification, acquired amount and one-time gain.
Keep a dated reconciliation file. When a bank changes a category, preserve the old and new definitions and avoid constructing a false trend. If a prior period is not restated, label the break in the series and compare only the periods that are genuinely comparable.
Keep acquisition accounting out of the recurring-fee run rate
Under the acquisition method, identifiable assets acquired and liabilities assumed are measured at fair value on the acquisition date. The difference between consideration paid and the fair value of net identifiable assets is generally recognized as goodwill when consideration is higher. When the fair value of net identifiable assets exceeds the consideration, the result can be a bargain-purchase gain. Neither outcome is ordinary customer-fee revenue.
The OCC’s 2026 Bank Accounting Advisory Series says the acquirer should first reconsider whether it identified all acquired assets and assumed liabilities and whether the consideration and fair-value estimates are appropriate before recognizing a bargain gain. It also notes that the acquisition date is generally when control is obtained, normally the closing or consummation date.

| Accounting item | What it represents | How to treat it in an earnings analysis |
|---|---|---|
| Goodwill | Consideration exceeds the fair value of net identifiable assets. | Exclude from recurring fee income; assess impairment exposure, capital effects and whether expected synergies justify the premium. |
| Bargain-purchase gain | Fair value of net identifiable assets exceeds consideration after required reassessment. | Remove from operating run-rate and investigate asset, liability and valuation assumptions. |
| Fair-value marks | Acquired loans, securities, deposits or other items are recorded at acquisition-date fair value. | Model how marks accrete, amortize or reverse; do not call the initial mark a new customer fee. |
| Measurement-period adjustment | A provisional estimate is revised as acquisition-date information is finalized. | Track the period of the adjustment. It is not prior-period organic growth. |
| FDIC loss-sharing arrangement | A contractual protection whose accounting may involve an indemnification asset or derivative measured at fair value. | Read the agreement’s economics, remaining term and subsequent recognition before projecting benefits. |
Apply the 12-month measurement limit
The OCC’s 2026 series states that the acquisition measurement period cannot exceed 12 months. Adjustments to provisional acquisition-date estimates are recorded in the period in which the information is identified, without prior-period restatement. Build a timeline from closing through the final measurement-period entry and keep those entries separate from recurring fees and cost savings.
The OCC describes its advisory series as interpretations of GAAP and regulatory guidance based on the facts and circumstances presented, not OCC rules or regulations. James M. Gallagher, Senior Deputy Comptroller and Chief National Bank Examiner, states this limitation in OCC Bulletin 2026-38. Use the accounting guidance to interpret disclosures, while recognizing that the bank’s facts control the accounting conclusion.

Asset quality and credit marks
Review the acquired loan portfolio by product, geography, vintage, delinquency, nonaccrual status, collateral and criticized classifications. Compare the buyer’s fair-value marks and credit assumptions with the portfolio’s risk profile. A low headline price can reflect substantial expected losses, weak collateral or expensive servicing obligations.

Capital and balance-sheet capacity
Identify the effect of consideration, goodwill, fair-value marks, expected credit losses, integration spending and asset growth on regulatory capital and tangible measures. Read the transaction’s pro forma capital discussion and planned capital actions. A deal that is accretive to earnings but leaves little capacity for credit deterioration or unexpected costs has a different risk profile from one with a larger buffer.
Best Value
Goodwill and synergy credibility
List promised cost savings, revenue synergies and the dates management expects to realize them. Separate savings already implemented from targets. Test whether savings depend on branch closures, employee reductions, technology replacement or renegotiated contracts, and identify the one-time costs required to achieve them. Goodwill should be connected to a credible integration plan, not treated as evidence that the acquisition has already succeeded.
Customer and employee retention
Track deposit runoff, account closures, relationship-manager departures, complaint volumes and service-level measures after closing. For fee businesses, losing customers or advisers can erase the very contracts that justified the purchase price. A retention plan should identify at-risk relationships and the incentives or service changes intended to keep them.
Systems conversion and service continuity
Ask for the conversion date, critical milestones, testing approach, fallback plan and incident record. Pay particular attention to payments, cards, online banking, loan servicing and statements, where a short outage can create customer harm, regulatory reporting problems and remediation expense.
Third-party and vendor dependence
An acquisition can add processors, core systems, data providers, call centers and other outside relationships. The 2023 interagency guidance on third-party relationships says oversight should be tailored to the relationship and to the bank’s size, complexity and risk profile. Its due-diligence factors include the provider’s financial condition, experience, risk management, information security and operational resilience.
Apply those checks where a provider supports an activity whose disruption could create significant risk or customer impact. Review contract termination rights, subcontractors, data access, recovery objectives, incident notification, audit rights and concentration in a single provider. A vendor weakness may not appear in purchase accounting but can still undermine the acquired earnings stream.
Compare two banks or deals on the same axes
| Axis | Evidence to compare | Interpretation |
|---|---|---|
| Revenue mix | Recurring customer and service fees versus trading, transaction-driven and other volatile income. | Prefer the mix you can explain and stress, not simply the bank with the highest fee percentage. |
| Disclosure quality | Specificity, continuity and reconciliation of categories across filings and periods. | Better disclosure lowers analytical uncertainty; it does not guarantee better economics. |
| Acquisition accounting | Consideration, asset and liability marks, goodwill or bargain gains, provisional estimates and later adjustments. | Strip out accounting effects before comparing operating performance. |
| Execution | Conversion milestones, realized versus planned savings, retention and service continuity. | Evidence of execution matters more than announced synergy totals. |
| Risk and resilience | Credit quality, capital, compliance, information security, operational continuity and third-party dependence. | A deal with less visible operational risk may be safer even when its reported earnings accretion is smaller. |
A practical review worksheet
- Define the perimeter: write down the bank entity, reporting date, Call Report form and acquisition closing date.
- Collect primary documents: annual and quarterly filings, merger notes, revenue notes, segment disclosures, Schedule RI and transaction presentations.
- Build the fee bridge: list each material source for multiple periods and flag classification changes.
- Tag quality: mark each amount as relationship-based, volume-sensitive, market-sensitive, transaction-driven, acquired or one-time.
- Reconcile totals: tie management categories to the income statement and Schedule RI; investigate every unexplained difference.
- Normalize acquisitions: remove bargain gains, purchase-accounting adjustments and other nonrecurring effects from the operating run-rate.
- Stress the drivers: test lower volumes, weaker markets, customer loss, fraud, vendor interruption and higher credit costs.
- Audit the integration plan: compare promised savings and milestones with realized results, retention and incidents.
- Write the conclusion with uncertainty: state which fees appear repeatable, which depend on markets or events, and which acquisition risks remain unproven.
Common analytical mistakes and how to correct them
- Treating all noninterest income as recurring: split the category by source and remove gains, fair-value movements and transaction items.
- Calling fee growth diversification: test concentration, market sensitivity, customer outcomes and associated costs before making that claim.
- Counting a bargain gain as operating improvement: identify it in acquisition accounting and exclude it from the fee run-rate.
- Ignoring the reporting form: verify the applicable Call Report form and instructions for the exact period.
- Comparing unlike periods: adjust for acquisitions, reclassifications, closing dates and measurement-period entries.
- Focusing only on purchase price: examine credit marks, capital, goodwill, integration, retention, continuity and vendors.
- Assuming supervisory guidance is a regulation: read the OCC’s stated limitation and apply accounting conclusions to the facts disclosed by the bank.
What a defensible conclusion looks like
A sound assessment does not end with “fees are good” or “the acquisition is accretive.” It states which revenue streams are supported by ongoing relationships, which depend on volumes or markets, and which cannot be classified because disclosure is insufficient. It then explains how acquisition accounting changed reported earnings and whether credit, capital, integration and third-party evidence supports the promised durable benefit.
No current market-wide statistic on fee-income share, acquisition success or acquisition losses establishes a universal benchmark. Use the bank’s own dated filings and transaction disclosures, make comparisons only where definitions match, and preserve uncertainty where the evidence does not permit a cleaner answer.
