Compare a construction company with peers by matching its business model first, then calculating the same enterprise-value multiples on aligned dates and earnings periods. Normalize EBITDA, test the quality of work in progress and backlog, and explain any premium or discount with operating evidence. Broad sector figures can provide context, but they are not a valuation conclusion for a particular contractor—and enterprise value is not the same as the seller’s cash proceeds.
Why construction-company multiples vary
There is no single multiple that applies to every construction or AEC business. A general contractor, heavy-civil operator, specialty trade, engineering consultancy, EPC contractor and construction manager can differ substantially in margins, capital needs, project risk and the time it takes to turn earnings into cash. Applying one sector average without accounting for those differences can create a misleading comparison.

Start by identifying what the company actually does and how it earns its revenue. A contractor that self-performs labor and owns equipment has a different cost and asset profile from one that primarily manages subcontractors. Public infrastructure work, private commercial projects and industrial EPC contracts also bring different customer, funding, contract and execution risks.
George Barsom of Auxo Capital Advisors puts the central point plainly: “There is no single AEC multiple.” His article, last updated July 24, 2026, offers a transaction-advisory framework rather than a universal market rule. No regulator or standards body prescribes one construction-company peer multiple.

What valuation multiples to compare
EV/EBITDA as the main operating comparison
Enterprise value (EV) represents the value of the operating business to all capital providers. EBITDA is earnings before interest, taxes, depreciation and amortization. EV/EBITDA is often useful for comparing operating businesses with different financing structures because it puts enterprise value over earnings before interest and taxes. It is not self-explanatory, however: the calculation needs a valuation date, a defined EBITDA period and consistent treatment of debt, cash, leases and adjustments.
For each company, state whether the denominator is last-twelve-month (LTM), fiscal-year or forward EBITDA, and whether it is reported or adjusted. A forward figure is a forecast, not a historical result; an adjusted figure depends on which items have been added back. Keep these bases consistent or clearly label the differences rather than placing unlike multiples side by side as if they were equivalent.
EV/revenue as a secondary check
EV/revenue can help when earnings are unusually volatile, negative or difficult to normalize. It does not account for profitability: two contractors with the same revenue can have very different margins, cash conversion and equipment requirements. Use this multiple as a secondary reference and explain business-mix or margin differences that could make the comparison unreliable.

Price-to-earnings (P/E) compares equity value with net income, so leverage, tax rates and non-operating items can change it even when operating performance is similar. It can supplement the analysis, but it should not replace enterprise-level comparisons when peers have different capital structures.
Set a peer group that resembles the company
Build the comparison around companies with similar work and economics, not just a shared “construction” label. Define the subject before selecting peers. Record its geography, revenue and earnings scale, project types, customer mix, contract forms, self-perform share, equipment ownership and business model. Then assess whether each potential peer is close enough to be informative.
A small, explainable peer group is more useful than a large list of loosely related businesses. For each selected company, note why it belongs and where it differs. Keep direct operating peers distinct from broader public-market context and from private sale transactions; the latter categories answer related, but not identical, questions.
| Comparison dimension | What to record | Why it affects comparability |
|---|---|---|
| Business model | General contracting, heavy civil, specialty trade, EPC, engineering, construction management or another model; self-perform share and delivery approach. | Changes margin structure, labor and equipment needs, and exposure to project execution. |
| Market and scale | Geography, revenue and earnings scale, end markets, and public versus private customer mix. | Different markets and company sizes can bring different growth, risk and access to capital. |
| Project and customer profile | Project types, contract forms, customer concentration and end-market concentration. | A concentrated company or a different contract mix may carry risks not reflected by a broad subsector label. |
| Operating capacity | Labor availability, subcontractor capacity, equipment burden, bonding and safety record. | These factors can constrain which work the company can pursue and deliver. |
| Financial quality | Revenue growth, margin durability, leverage, working-capital needs and cash conversion. | Similar reported earnings do not necessarily imply similar durability or cash generation. |
| Project controls | WIP accuracy, cost-to-complete estimates, claims, backlog quality and execution history. | Weak estimates or risky work can make reported earnings and future revenue less dependable. |
Public companies and disclosed transactions may be much larger, more diversified, more liquid or more strategically advantaged than a smaller private contractor. Treat them as reference points, not automatic substitutes for the subject company. For a private target, separate public trading comparables from transaction comparables and explain any adjustment for scale, liquidity, diversification or deal structure.

Where transaction examples are available, compare more than the reported multiple. Buyer type and deal structure matter: a strategic buyer may value a particular capability or customer relationship, while a transaction may include contingent consideration. Those terms can make a disclosed deal multiple unlike a public trading multiple or another sale. If the terms are not disclosed, say so rather than assuming the headline figure represents cash paid at closing.
Align the valuation inputs before comparing multiples
For each peer, document the market capitalization and enterprise-value date, the earnings period, and exactly what has been included in EV. Use one convention across the set wherever possible. Otherwise, disclose the differences and avoid implying that the resulting multiples are directly comparable.
| Input | Consistency check |
|---|---|
| Valuation date | Use a stated date for market capitalization and enterprise value; market prices move, so a multiple without a date can be ambiguous. |
| Earnings period | Label EBITDA as LTM, fiscal-year or forward. Do not mix periods without identifying the mismatch. |
| EBITDA basis | Identify reported versus adjusted EBITDA and describe material adjustments using a consistent approach. |
| Enterprise value | Apply a consistent convention for cash, debt, leases, preferred equity and minority interests; explain any items treated differently. |
| Transaction terms | For a deal multiple, identify whether the disclosed value includes contingent consideration or other deal-specific components, if known. |
For a private company, deal multiples can reflect control value, buyer synergies, contingent consideration or a structure tailored to that transaction. Public trading multiples reflect liquidity, scale, access to capital and institutional infrastructure. These differences are reasons to explain an adjustment—not to transfer a public-company multiple directly to a smaller private target.
Keep the numerator and denominator paired correctly. EV belongs with operating measures such as EBITDA or revenue; P/E is an equity-level measure. Be explicit about whether a transaction’s stated value is enterprise value or equity value and what the stated consideration includes. If one peer’s calculation includes leases or minority interests and another’s does not, the apparent difference may be methodological rather than a genuine difference in market valuation.

Interpret available construction benchmarks carefully
Published figures can anchor a discussion, but sample size, category definition, date and methodology determine what a number means. The figures below are not interchangeable: the transaction medians cover a broader Construction category and a small historical sample, while the narrower general-construction ranges are internal estimates rather than verified transaction samples.
| Figure | What it represents | Important qualification |
|---|---|---|
| 0.6x median EV/revenue | FairlyValued’s broader Construction-sector transaction observations, reviewed August 6, 2026. | 14 observations spanning September 2014 to October 2026. FairlyValued says its archive has no separate general-construction category, so this is not a specific valuation for an individual general contractor. |
| 4.8x median EV/EBITDA | FairlyValued’s broader Construction-sector transaction observations, reviewed August 6, 2026. | Five observations spanning September 2014 to October 2026; the reported median deal value was $115 million. FairlyValued cautions that the businesses were larger than most owner-operated companies. |
| 3.5x–4.2x EV/EBITDA | FairlyValued’s indicative Construction (General) estimate, as of August 6, 2026. | Based on two internal estimates, not a verified transaction sample. |
| 0.4x–0.6x EV/revenue | FairlyValued’s indicative Construction (General) estimate, as of August 6, 2026. | Based on two internal estimates, not a verified transaction sample. |
FairlyValued’s archive dates run through October 2026, although the page is stated to have been reviewed August 6, 2026. Read the figures with those stated dates and sample limitations in view; they are not a live quote or a promise of what a particular company would sell for. Upswitch’s construction benchmark page, published or reviewed July 12, 2026, describes its reference as indicative and model-derived, but numerical percentile bands require sign-in. It therefore supplies no publicly verifiable numeric range to add to the table.
Use a broad sector statistic as context, not as the answer. A meaningful conclusion depends on a defined valuation date, reliable company financials, a defensible peer set and a reasoned explanation for where the subject belongs relative to those peers.

Normalize EBITDA and examine project accounting
Before applying a peer multiple, build a transparent bridge from reported EBITDA to normalized EBITDA. The purpose is not to maximize the denominator by adding back every inconvenient expense. It is to estimate earnings on a consistent, supportable basis that reflects ongoing operations.

Review proposed adjustments
Identify owner compensation adjustments, related-party costs, one-time gains or expenses, nonrecurring project outcomes and other proposed add-backs. For every item, record its amount, explanation and evidence, then ask whether the cost or benefit is genuinely nonrecurring and whether a replacement cost will arise after a sale. Unsupported add-backs make the normalized figure less credible.
Test work-in-progress estimates
Construction earnings can depend on percentage-of-completion assumptions and estimates of the total cost to finish each job. Compare costs incurred with estimated costs to complete, and review the WIP schedule for changes in estimated profitability, underbillings and overbillings. A forecast error on a material project can change both the timing and amount of reported earnings.
Look beyond EBITDA to cash requirements
Review retainage and retention receivables, warranty provisions, claims, and the working capital required to execute the work. Check equipment investment and lease classification as well: treatment of leases can affect the EBITDA and EV comparison, while equipment needs affect cash available to owners. Ask whether the earnings figure converts into operating cash after working-capital requirements and equipment investment, rather than treating EBITDA as cash in hand.
Upswitch’s construction guidance specifically flags project-specific gains, retention receivables, warranty provisions, lease treatment and percentage-of-completion-adjusted EBITDA as normalization topics. Those items are useful prompts for diligence; the actual adjustment should be supported by the company’s records and applied consistently to the peer comparison.
It is useful to keep the accounting review connected to the project-level evidence. For material jobs, consider how the current estimate compares with costs incurred, remaining cost estimates and the company’s history of estimating and completing similar work. Look for whether reported project outcomes depend on a one-off gain or a late change in estimated costs. Then consider whether claims or warranty obligations could affect the apparent profitability after completion. This does not mean every estimate change is an error; it means that the confidence placed in normalized earnings should reflect how well estimates are supported and how consistently the company has executed.
Working capital deserves its own attention because project businesses may need cash to perform work before collecting all amounts due. Underbillings, overbillings and retainage can affect the timing of collections and funding needs. Compare those balances with the company’s project activity and cash-conversion history, rather than assuming a given EBITDA level will produce the same owner cash flow at every contractor.

Assess backlog as risk-adjusted work, not guaranteed earnings
A large backlog can support revenue visibility, but it is not automatically profitable, funded or certain to be completed. Compare backlog only after establishing what each company counts and the date on which it was reported. Definitions can differ, so a headline amount may represent different levels of commitment.
- Status: distinguish awarded and funded work from low-bid, unsigned, cancellable or otherwise conditional projects where disclosures permit.
- Economics: compare expected margin and duration, not just total contract value.
- Concentration: examine dependence on particular clients, projects or end markets.
- Execution: test whether the company has the labor, subcontractors, equipment and management capacity to deliver the work.
- Risk: consider claims exposure, cancellation terms, project history and the reliability of cost-to-complete estimates.
Backlog is most informative when its definition, margin quality and execution risk are visible. It cannot replace evidence that the company can complete the work profitably and collect the cash.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsWhen comparing two backlog figures, record the reporting date as well as the definition. A figure reported at one date should not be treated as directly comparable with a figure from a materially different point in a project cycle. Ask whether the disclosed work is contracted, funded and expected to proceed, and whether the firm has the capacity to execute it alongside existing jobs. A strong-looking total can be less persuasive if it is concentrated in a few projects, depends on scarce labor or subcontractors, or carries uncertain margins.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.A practical sequence for the comparison
A concise workplan can make the analysis easier to audit and update. It also helps separate facts about the company from judgments about the multiple.
- Describe the subject: identify its subsector, geography, scale, customers, end markets, contract mix, self-perform share and equipment profile.
- Choose the peer set: select direct operating peers first, then label broader public comparables and transaction examples separately. State why each belongs and where it differs.
- Fix the measurement basis: set the valuation date, EBITDA period and EV convention. Label forward and adjusted figures, and disclose inconsistent or unavailable inputs.
- Reconcile earnings: bridge reported to normalized EBITDA, test WIP and project estimates, and examine cash conversion and equipment requirements.
- Assess work quality: compare backlog definitions, status, margin, concentration and execution capacity, alongside customer concentration, safety, bonding and management depth.
- Interpret the range: explain why the company may sit above or below peers using operating evidence, not an unexplained average.
- Show the value bridge: distinguish enterprise value, equity value and seller proceeds, with the material balance-sheet and transaction adjustments identified.
If a peer input cannot be confirmed or its basis differs, mark that limitation instead of quietly filling the gap with an assumption. This is especially important when the peer group mixes public trading data with private deals: both can be useful context, but they should not be represented as a single clean, directly comparable set without qualification.
Explain the multiple, then bridge EV to equity and proceeds
Once peer multiples and normalized EBITDA are on a consistent basis, use the peer range as context and explain the subject company’s position. Evidence that may support a relative premium or discount includes growth, normalized margin durability, project risk, customer concentration, bonding, safety, labor productivity, equipment burden, management depth and cash conversion. Do not assign a company-specific value without company financials and a defined valuation date.
Applying an EV/EBITDA multiple to accepted EBITDA produces enterprise value, not the amount an owner receives. The bridge to equity value accounts for debt, debt-like items, cash and other agreed adjustments. In a sale, the cash ultimately received may change again through the working-capital peg, transaction expenses, escrow, earnouts and rollover equity. A higher headline multiple can therefore mean lower or less certain cash at closing.

- Establish normalized EBITDA: reconcile reported earnings to supportable ongoing earnings and document adjustments.
- Select a defensible multiple: use comparable businesses and transactions as context, with adjustments explained by operating evidence.
- Calculate enterprise value: multiply the accepted EBITDA by the selected EV/EBITDA multiple.
- Bridge to equity value: account for debt, debt-like items, excess cash and other agreed balance-sheet adjustments.
- Estimate seller proceeds: account for transaction costs, working-capital adjustments, escrow, contingent earnouts and rollover equity.
The result should show both the logic and the uncertainty: the valuation date, peer set, EBITDA basis, multiple rationale and bridge assumptions. That makes it possible to see whether a difference in value comes from operating performance, risk, deal terms or simply inconsistent inputs.
For an owner considering a sale, keep the headline enterprise value separate from the proceeds estimate throughout discussions. Debt and debt-like items, excess cash and agreed working-capital adjustments affect the equity bridge; fees, escrow, contingent consideration and rollover affect what is received and when. A transaction with more contingent value may have a higher stated headline figure but less cash certain at closing. The distinction is practical, not merely a presentation detail.
Frequently Asked Questions
What multiple should I use to value a construction company?
There is no single construction-company multiple. Start with EV/EBITDA on a clearly stated valuation date and an aligned LTM, fiscal-year or forward EBITDA basis. Use comparable companies from the same subsector and operating model, and treat EV/revenue as a secondary check rather than a substitute for profitability analysis.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →How do I compare a private contractor with public construction companies?
Use public companies as context, not direct substitutes. Public peers may be larger, more diversified, more liquid and have better access to capital or institutional infrastructure. Explain adjustments for scale, liquidity, diversification and business mix, and keep public trading multiples separate from private transaction examples.
Why can a construction company’s reported EBITDA be misleading?
Project estimates and percentage-of-completion accounting can affect reported earnings. Review WIP schedules, costs incurred and estimated costs to complete, underbillings and overbillings, project-specific gains, retainage, warranty provisions, claims and proposed add-backs. Also consider whether EBITDA converts to cash after working-capital needs and equipment investment.
Does a large backlog increase a contractor’s valuation?
It may support visibility, but backlog is not automatically profitable or certain. Check its definition and reporting date, whether work is awarded and funded or conditional, expected margin and duration, concentration, claims exposure, and whether the company has the labor, subcontractor and equipment capacity to deliver it.
Is enterprise value the amount a business owner receives in a sale?
No. Enterprise value is not seller cash. The bridge to equity value accounts for debt, debt-like items, cash and other agreed adjustments. Seller proceeds may then be affected by a working-capital peg, transaction expenses, escrow, earnouts and rollover equity.

Compare like with like: define the contractor’s business model, align EV and EBITDA inputs, normalize project earnings, and assess backlog quality and cash conversion.
