Record share counts as well as percentages: a change in total issued shares can move a percentage even when promoters hold exactly the same number of shares.
The process below separates ordinary ownership changes from pledge, invocation, release, non-disposal undertakings and other encumbrances. It is a filing-reading method, not investment or legal advice.

What you are trying to establish
Promoter ownership and promoter encumbrance are related but different questions. A shareholding pattern tells you how many shares promoters and the promoter group own at a reporting date. A pledge or other encumbrance tells you whether some of those shares have been offered as security, restricted by an undertaking, or otherwise burdened.
Ownership change
Measure ownership with at least four fields:
- the quarter-end or reporting date;
- promoter and promoter-group shares;
- promoter shares as a percentage of total share capital; and
- total issued shares used as the denominator.
A lower percentage is not proof that promoters sold shares. The denominator may have increased because of an allotment, merger, conversion, employee issue or another capital action. Conversely, a constant percentage can conceal a change in share count if total share capital also changed.

Encumbrance change
Encumbrance is broader than pledge. The quarterly shareholding form asks separately about pledged shares, non-disposal undertakings (NDUs) and other encumbrances. Treat those as separate categories unless the filing itself explains that they describe the same securities.
Start with the official filing
1. Find the correct exchange record
- Open the SEBI corporate-filings directory and follow its shareholding-pattern route to NSE or BSE.
- Search the company name or trading symbol in the exchange filing system.
- Confirm that the issuer, security and class of shares match the company you are researching. A similarly named issuer, an old symbol or a different security can produce a misleading result.
- Download the latest quarterly shareholding pattern and at least one preceding quarter. For a trend, collect four to eight quarters rather than relying on a single comparison.
Use the exchange filing as the primary record. A broker screen, news article or data portal may be useful for discovery, but it should not replace the filed document when the numbers conflict.
2. Capture the filing metadata
Before reading the numbers, write down the reporting period, filing date, document type and any note about revised or corrected data. The reporting date describes the ownership snapshot; the filing date describes when the document was submitted. They are not interchangeable.
Build a quarter-by-quarter comparison
Use one row per reporting period. Keep the denominator visible so that a percentage movement can be explained rather than guessed.
| Reporting date | Promoter shares | Promoter % | Total shares / denominator | Encumbered shares | Encumbered % of promoter holding | Filing link or notes |
|---|---|---|---|---|---|---|
| Earlier quarter | Record filed count | Record filed percentage | Record total share capital | Record pledge, NDU and other amounts separately | Record filed percentage | Corporate action, correction or note |
| Latest quarter | Record filed count | Record filed percentage | Record total share capital | Record each encumbrance category | Record filed percentage | Event filing or explanation |
If you maintain the worksheet outside the exchange website, paste the filing’s title and date into the notes column. That makes it possible to reproduce the comparison after a live page changes.
Compare counts before percentages
Calculate the change in promoter shares as:
latest promoter shares − earlier promoter shares
Then calculate the change in the percentage of total share capital. If the share count falls, investigate a sale, transfer, conversion, forfeiture or category reclassification. If the count is unchanged but the percentage falls, inspect the denominator and corporate-action disclosures before concluding that ownership declined.
Check promoter and promoter-group categories
The filing normally distinguishes the promoter group from other public or non-promoter shareholders. Compare the same categories in each quarter. A movement from one promoter-group line to another may be a reclassification rather than an economic sale. Read the notes and the category totals before treating it as a transaction.

Read the NSE pledged-data summary correctly
NSE’s pledged-data page is a screening summary, not a substitute for the underlying filing. It presents several measures with different scopes:
- total promoter holding;
- encumbered shares as of the last quarter;
- encumbered shares as a percentage of promoter shares;
- encumbered shares as a percentage of total share capital;
- pledge and dematerialised totals reported from the depository system; and
- a value derived from encumbered shares multiplied by the last available closing price.
Do not assume that the encumbered-as-of-last-quarter column and the depository pledge count are identical. They can refer to different reporting systems, dates or definitions. If they differ, preserve both figures and investigate the relevant filing rather than choosing the larger number.
Do not misread the calculated value
The summary’s value field is a market-price calculation: encumbered shares multiplied by the last available closing price. It is not the amount of debt secured, the lender’s exposure, the loan outstanding or an estimate of recoverable value. The closing price can change while the number of encumbered shares remains unchanged.
Record both percentages
Encumbered shares as a percentage of promoter holding answers, “How much of the promoters’ position is encumbered?” The percentage of total share capital answers, “How large is the encumbered block relative to the company?” Keep the denominators separate in your worksheet.
Do these 3 things before closing this tab:

After the summary check, search NSE’s Regulation 31(1)/(2) disclosure index for the company. Open the attachment, not just the search-result row. The index exposes the reporting date, promoter or persons-acting-in-concert names and holding or encumbrance fields, while the attachment supplies the event context.
Identify the event type
| Event | What it means for your review | What to confirm in the attachment |
|---|---|---|
| Creation | A new encumbrance has been reported. | Effective date, number of shares, type of encumbrance, promoter or PAC and stated reason. |
| Invocation | The security has been enforced under the relevant arrangement. | Invocation date, shares affected, resulting holder or control details and any change in promoter holding. |
| Release | An existing encumbrance has been removed. | Release date, shares released, remaining encumbrance and whether the entire block or only part was released. |
| Periodic or status disclosure | A filing reports a position at a date and may not represent a new event. | Reporting date, prior encumbrance, current encumbrance and notes explaining the status. |
A search result that merely says “Regulation 31” does not establish that a new pledge was created. Read the attached form to determine whether the filing concerns creation, invocation, release or a periodic position.
Fields worth transcribing
- name of the promoter or person acting in concert;
- total promoter holding before and after the event;
- shares already encumbered;
- shares newly encumbered, invoked or released;
- percentage of promoter holding and percentage of total share capital;
- type of encumbrance; and
- event date, reporting date and filing date.
When the attachment gives a reason, quote or paraphrase it accurately. Do not infer the purpose from a price chart or from the existence of a lender’s name.

Distinguish pledge, NDU and other encumbrance
| Term in filing | How to handle it | What not to assume |
|---|---|---|
| Pledge | Record the pledged share count and the relevant creation, invocation or release event. | Do not assume the debt amount equals the market value shown in the NSE summary. |
| Non-disposal undertaking (NDU) | Record it separately and read the undertaking’s duration and conditions. | Do not relabel an NDU as a pledge without supporting language. |
| Other encumbrance | Copy the description from the filing and retain the stated number of shares. | Do not collapse an unexplained category into “pledged.” |
SEBI’s circular titled Disclosure of reasons for encumbrance by promoter of listed companies, dated August 7, 2019 and numbered SEBI/HO/CFD/DCR1/CIR/P/2019/90, confirms that the reason for an encumbrance is a recognized disclosure subject. For a particular company, use the company’s actual exchange filing; the circular title alone does not tell you why that company encumbered shares.

Understand the disclosure timing
NSE’s main-board compliance calendar summarizes SAST Regulation 31 disclosures for creation, invocation or release within seven working days. It also summarizes an annual declaration within seven working days of the end of the financial year.
The calendar was marked indicative and updated October 24, 2025. It directs users to the latest SEBI LODR regulations. Treat the seven-working-day wording as the calendar’s summary and verify the current regulation before presenting it as legal advice or using it to judge whether a filing is late.
Do not confuse Regulation 29 with Regulation 31
The same calendar summarizes a different route under Regulation 29: a person holding at least 5% must report a change exceeding 2%, with filing within two working days. This is a holding-change disclosure, not the promoter-encumbrance filing. A transaction may therefore require different searches, and the absence of a Regulation 31 result does not prove that no ownership change occurred.
The calendar also notes system-driven disclosures and its indicative status. Do not assume that every individual promoter transaction will appear through one mechanism or on one date.

Use a repeatable spreadsheet method
A simple worksheet reduces errors when you follow several companies. Create these columns:
- Issuer and security.
- Quarter-end or reporting date.
- Filing date.
- Promoter shares.
- Promoter percentage of total share capital.
- Total issued shares.
- Pledged shares.
- NDU shares.
- Other encumbered shares.
- Total encumbered shares reported in the filing.
- Encumbered percentage of promoter holding.
- Encumbered percentage of total share capital.
- Regulation 31 event and effective date.
- Regulation 29 filing, if applicable.
- Document title and notes.
Useful checks include:
promoter percentage ≈ promoter shares ÷ total issued shares × 100encumbered percentage of promoter holding ≈ encumbered shares ÷ promoter shares × 100encumbered percentage of total capital ≈ encumbered shares ÷ total issued shares × 100
Allow for rounding in filed percentages. If your calculated result differs materially, check whether the filing uses fully diluted capital, a different share class or a category-specific denominator.

Worked example: why the denominator matters
Assume a hypothetical company reports 20 million promoter shares out of 100 million total shares in one quarter. Promoters therefore hold 20%. In the next quarter, promoters still hold 20 million shares, but the company issues 25 million new shares and total share capital becomes 125 million. Promoter ownership is now 16% even though promoters sold nothing.
Now assume instead that total share capital remains 100 million and promoter shares fall from 20 million to 17 million. The count has declined by 3 million and the percentage has fallen from 20% to 17%. That is a genuine change in the reported holding, but you still need the filing or corporate-action explanation to identify whether it was a sale, transfer, conversion or reclassification.
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →For encumbrance, suppose 8 million of the original 20 million promoter shares are reported as encumbered. That is 40% of promoter holding and 8% of total share capital. If the company later issues shares and promoter holding remains 20 million while encumbered shares remain 8 million, the first percentage remains 40% but the second becomes 6.4%. Neither percentage alone describes the whole position.
Investigate common patterns
Promoter shares fall and an event filing exists
Match the share-count change to the event date, promoter name and attachment. Check whether the event was a transfer, invocation, release, conversion or another action. Do not call it a market sale unless the filing supports that description.
Promoter percentage falls but shares are unchanged
Check new issuance, conversion, split, merger, buyback reversal or another denominator change. Compare total issued shares in both quarterly filings and read capital-action notes.
Encumbered shares rise without an obvious pledge headline
Search the Regulation 31 index for creation and inspect all attachments. The increase could be an NDU or another encumbrance rather than a pledge. Also compare the quarter-end summary with the depository-system figures because their scopes may differ.
Encumbered shares fall
Look for a release filing and confirm whether the reduction is complete or partial. An invocation can also change the promoter’s position, so do not interpret every decline as a voluntary release.
Best Value
No Regulation 31 result appears
Confirm the symbol, date range and security, then inspect the quarterly shareholding pattern and Regulation 29 disclosures. A missing search result may reflect a different reporting route, a filing-date mismatch, a revised document or an event outside the selected period.
Common mistakes and how to avoid them
- Using only a percentage: Always record the share count and denominator.
- Calling every encumbrance a pledge: Preserve pledge, NDU and other categories separately.
- Reading a summary as an event: Confirm creation, invocation or release in the attachment.
- Confusing dates: Label quarter-end, effective event and filing dates independently.
- Treating market value as debt: The NSE value is shares multiplied by the last available closing price.
- Relying on an indicative calendar as law: Check the latest SEBI regulations for current obligations.
- Ignoring corrections: If an exchange posts a revised filing, retain the revised version and note what changed.
- Assuming one search covers everything: Use the quarterly pattern, pledge summary, Regulation 31 index and Regulation 29 route as separate evidence layers.
How to assess evidence quality
Rank records by how directly they answer your question. The quarterly shareholding pattern is the best source for ownership at a reporting date. The NSE pledge summary is a convenient screening view with multiple scopes. The Regulation 31 attachment is the best source for an event’s type, date, parties and stated reason. A market-data display or article can point you toward a filing but cannot resolve a discrepancy on its own.
Keep a copy or stable description of every document used. Live exchange pages can update figures, remove old search results from the default view or add revised filings. A dated worksheet lets another reader reproduce your conclusion.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Limits of what the filings prove
A filing establishes what was reported, for which date and under which category. It does not by itself establish the promoter’s financial condition, the amount of debt, the likelihood of invocation, the lender’s recovery value or the future direction of the share price. The market-price value in the NSE summary is especially unsuitable as a proxy for secured debt.
The sample RKEC exchange filing for the quarter ended December 31, 2025 illustrates the structure of a quarterly shareholding report. It is an example of form and categorisation, not evidence of another company’s current ownership or encumbrance status. Apply the same reading method to the issuer and period you are actually investigating.
A concise verification checklist
- Confirm the issuer, symbol and security.
- Open the latest and preceding quarterly shareholding-pattern filings.
- Record reporting dates, filing dates, promoter shares, promoter percentages and total shares.
- Separate pledge, NDU and other encumbrance counts.
- Check NSE’s pledged-data summary and label each column by its scope.
- Search Regulation 31(1)/(2) filings and read the attachment.
- Classify the event as creation, invocation, release or periodic status.
- Search the Regulation 29 route for qualifying holding changes.
- Explain denominator changes and corporate actions before calling a percentage movement a sale.
- Preserve the documents, dates and notes supporting your conclusion.
If those ten checks agree, you have a defensible filing-based account of how promoter ownership and encumbrance changed. If they conflict, report the conflict and identify which filing, date or definition causes it instead of forcing a single number.
