Start with two questions: what legal or contractual right does the token give you, and which record makes a transfer effective? A token is a way to represent or transfer a claim; it does not, by itself, establish ownership of the referenced asset, guarantee liquidity, or provide the same protections as holding that asset directly. Assess the documents, records, counterparties, and failure procedures at every stage—not just the blockchain.
Identify the claim before evaluating the technology
Find the governing documents and determine who issued the token, what asset it refers to, and what the holder can legally demand. The label “tokenized” is not enough to establish whether you hold a security, a security entitlement, a receipt, a linked security, or a synthetic instrument such as a security-based swap. The economics, contractual rights, and applicable law matter.

The SEC Divisions of Corporation Finance, Investment Management, and Trading and Markets described issuer-sponsored and third-party-sponsored tokenized-security models in a staff statement dated January 28, 2026. These categories help frame diligence; they are not a ranking, and a particular arrangement may combine features.

1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errors| Structure | What the token may represent | What to establish |
|---|---|---|
| Issuer-sponsored | The issuer’s security in token form, or a token linked to the issuer’s ownership records. | Issuer authority, the effective transfer mechanism, the relevant ownership record, and the rights attached to the security. |
| Third-party custodial entitlement | An indirect interest, potentially through a security entitlement in assets held by a third party. | The entitlement chain, custody and segregation arrangements, insolvency treatment, and how the holder can obtain or redeem the interest. |
| Third-party synthetic exposure | A separate obligation or instrument issued by a third party; the token does not automatically convey ownership of the referenced asset. | The counterparty’s credit risk, the instrument’s legal classification, and applicable sale or trading restrictions. |
The January 2026 SEC staff statement is not a Commission rule, a Commission-approved statement, or a binding legal determination. SEC Commissioner Hester M. Peirce made a separate statement on July 9, 2025, observing that blockchain does not change the nature of the underlying asset and that tokenized securities remain securities. Neither statement replaces analysis of the instrument’s terms and governing law.
1. Map issuance and the authoritative ownership record
Determine which record controls when records disagree: the blockchain, an issuer’s register, a custodian’s books, or another entitlement record. A token transfer may itself change the master ownership record, or it may act as an instruction that prompts an update to an offchain record. Those are materially different arrangements.
#1 Best Overall
- Identify the recordkeeper and the record designated as legally operative in the governing documents.
- If an onchain transfer triggers an offchain update, find out who receives the instruction, how quickly the update occurs, and how failed, delayed, or disputed updates are recorded and resolved.
- If the ledger is part of the master record, establish how identity is associated with ledger entries and who is responsible for administering the record.
- Ask how the parties reconcile mismatches between token balances, issuer or custodian records, and the holder’s own account statement.
The SEC staff’s January 28, 2026 statement describes both integrated onchain recordkeeping and arrangements in which token movement prompts an update to an offchain master file. The distinction makes transfer effectiveness a legal and operational question, not simply a matter of seeing a transaction confirmed on a network.
2. Trace custody and every material counterparty
Draw the chain from token holder to the asset or contractual obligation. Depending on the structure, it may include the issuer, custodian, transfer agent or administrator, wallet or key controller, platform, oracle, bridge, and protocol operator. For each party, establish its role, authority, and what evidence supports its controls.
- Check how assets and customer entitlements are segregated, who can move or substitute assets, and what audit or account evidence is available.
- Find the contractual and practical consequences if an issuer or intermediary becomes insolvent, including whether the holder has a direct claim to an asset or only a claim against a third party.
- Identify who controls private keys and administrative permissions, and what recovery route exists if a key is lost, stolen, or inaccessible.
- Confirm which service providers can be replaced, by whom, and whether a replacement can continue servicing the same records and claims.
A third-party token may represent an interest in assets the intermediary holds, or it may be the intermediary’s own synthetic obligation. The SEC staff statement identifies potential third-party bankruptcy exposure; Commissioner Peirce also discussed counterparty risk in third-party token structures. The holder’s actual rights depend on the instrument and applicable law.

3. Check transfer restrictions, settlement, and liquidity
Being able to transfer a token does not show that the underlying asset can be sold or redeemed at the same time, price, or scale. A token may trade while redemption is conditional or unavailable, and the token’s market price can diverge from the value of its reference asset.
- Establish who may hold or transfer the token, including any allowlists, eligibility checks, geographic limits, or other restrictions.
- Record the supported networks, venues, transaction fees, and assumptions about when a transfer is final for legal and operational purposes.
- Read the redemption terms: who may request redemption, what conditions apply, what form of payment or asset is delivered, and how long the process may take.
- Identify the settlement asset—such as a stablecoin, tokenized bank deposit, or central-bank money—and consider the risks and dependencies it introduces.
- Ask whether there is a practical exit if a venue, settlement asset, or redemption channel is disrupted.
The BIS Financial Stability Institute’s August 28, 2025 executive summary of the Financial Stability Board’s tokenization analysis identifies liquidity and maturity mismatch as a vulnerability, including the possibility that liquidity available to a token holder differs from that of the referenced asset. Settlement-asset choice and legal or market frictions can also affect price alignment.
4. Examine servicing, governance, and technology controls
After issuance, the asset or claim may still require servicing: records need maintenance, payments or other events may need processing, and software or service providers may need to operate continuously. Find out who is responsible for each task and how a failure is detected and corrected.

- Review smart-contract functions, upgrade authority, pause or freeze powers, and the approval process for changes.
- Check how keys are created, stored, rotated, recovered, and revoked; establish who can exercise privileged permissions.
- For oracle-fed data, identify the data source, update process, and response to inaccurate, delayed, or unavailable inputs.
- Map bridges and other cross-network dependencies, including which parties operate them and what happens if messages or balances do not reconcile.
- Ask how incidents are communicated, how business continuity is maintained, and who can authorize a correction when an error occurs.
The BIS/FSB analysis identifies operational fragilities including smart-contract errors, key mismanagement, limited governance standards, and the difficulty of correcting immutable transactions. It also notes reliance on third parties such as custodians, oracles, and bridge or protocol operators. A due-diligence review should therefore test not only whether a system is designed to work, but who can intervene when it does not.
5. Assess leverage and connections to other platforms
Find out whether the token can be reused as collateral, rehypothecated, or embedded in other products and protocols. Trace the path from the original claim through those uses: a failure or liquidity squeeze in one venue may affect parties elsewhere in the chain.
Include around-the-clock operation and cross-border oversight in the assessment. The BIS/FSB summary identifies leverage, interconnectedness, and possible contagion among the vulnerability categories it examines, and says these risks could grow with scale and complexity. It does not provide a universal probability of loss for a particular token.

Read the redemption and termination provisions before relying on an informal promise that a token can be exchanged for an asset or cash. Identify who legally owns any reference asset, who owes performance to the holder, and what priority the holder has if the issuer or another intermediary fails.
Ask the responsible parties to explain, in documented procedures, how they would handle each relevant scenario:
- issuer or custodian insolvency;
- lost or compromised keys;
- frozen or delayed transfers;
- a failed protocol upgrade or material contract error;
- bridge disruption or conflicting ledger and offchain records; and
- impaired, paused, or unavailable redemption.
For each case, establish who can reconstruct the authoritative record, restore access, replace a service provider, resolve disputes, and communicate with holders. The reviewed SEC and BIS/FSB materials identify counterparty and operational vulnerabilities but do not prescribe a universal recovery standard. Recovery rights and procedures must be verified in the actual documents and arrangements.

Use a substance-first comparison, not a token label
Compare proposed arrangements on the points that determine what a holder can claim and what happens when normal operations fail. IOSCO’s 2025 report, FR/17/2025, examines tokenization of financial assets and lifecycle implications; its published summary says the benefits and wider market effects remain uncertain. The BIS/FSB analysis likewise treats tokenization as an early-stage area and identifies vulnerabilities rather than a single risk measure.
- Rights: What does the holder own or have a claim to under the documents?
- Records: Which record makes ownership or entitlement effective, and how are discrepancies settled?
- Custody: Who holds assets or controls access, and how are segregation and insolvency handled?
- Transfer and settlement: Who can transfer, on which networks, using what settlement asset, and when is a transfer final?
- Redemption: What conditions, timing, and forms of payment apply?
- Governance and resilience: Who can change, pause, repair, or replace the systems and providers?
There is no directly comparable official estimate of lifecycle risk across tokenized asset types in these publications. Treat benefits as possible rather than guaranteed, and account for operational complexity and potential liquidity pressure. A checklist can organize questions, but it cannot determine legal rights without the instrument terms, governing law, and facts of the arrangement.
