A token’s label does not tell you what you own, who owes you anything, or whether you can sell. Before investing, read the legal terms, map every company involved, check custody and recovery arrangements, and verify the exit route and applicable law. Tokenised products can create very different rights and risks—even when they reference the same asset.
What are the risks of investing in tokenised assets?
The main risks are legal, counterparty, custody, technology, liquidity, regulatory and fraud risks. They depend on the product’s structure, not simply on the fact that it uses a blockchain or other distributed ledger. Evidence about regulated tokenised securities is stronger than evidence about every kind of tokenised real-world asset, so do not assume the same protections apply across all offerings.

There is no directly applicable official statistic here for the rate of investor losses or tokenised-security failures. The OECD’s 2021 report said potential post-trade efficiencies from distributed ledger technology remained to be proven through large-scale use; that is a dated qualitative assessment, not a current measure of liquidity or performance.

Not necessarily. Read the offering documents and governing terms to find the legal claim the token represents. The SEC divisions’ January 28, 2026 statement describes three broad structures for tokenised securities. The rights can differ materially between them:

| Structure | What the token may represent | Key question |
|---|---|---|
| Issuer-sponsored tokenised security | A security issued by the entity responsible for the underlying security, recorded or represented using a distributed ledger. | Do the token and conventional form carry the same legal rights, and which record determines ownership? |
| Third-party custodial tokenised security | A token linked to an underlying security held by a third party. It may represent a direct or indirect interest, including a security entitlement. | Who holds the security, how is your entitlement recorded, and what happens if the intermediary becomes insolvent? |
| Third-party synthetic tokenised security | An instrument issued by a third party to provide exposure to a referenced security. It may not give the holder rights or benefits from the referenced issuer. | What does the third-party issuer promise, and what recourse do you have if it cannot meet that promise? |
These descriptions follow the SEC divisions’ January 28, 2026 statement; the terms of an individual offering control. Do not assume that holding a token grants the same voting, information, dividend, redemption or insolvency rights as holding a conventional security. A token may be a record of an entitlement, a claim against an intermediary, or a linked instrument rather than ownership of the referenced asset.
Who holds the asset and maintains the ownership record?
Write down the parties in the arrangement: the asset issuer, token issuer or operator, custodian, broker or platform, and the party responsible for the authoritative ownership record. A product can involve several of them, and each may create a separate legal or operational dependency.

- For a custodial product, identify the legal owner of the underlying asset and the custodian that holds it.
- Find out whether customer assets are segregated and how token balances reconcile with the custodian’s books.
- Ask which record controls in a dispute: the ledger, an issuer’s register, an intermediary’s records, or another off-chain record. The SEC describes arrangements where an on-chain transfer prompts an issuer or intermediary to update an off-chain master record.
- Check who can freeze, burn, replace or reissue tokens, and how identity checks or transfer restrictions affect your ability to hold or transfer them.
- Determine what documents or account records you could use to establish your claim if the operator or custodian failed.
These are verification questions, not features present in every product. The Hong Kong SFC requires providers of products within its scope to explain what ownership the token represents, including legal or beneficial title and interests in the product.

How are custody, keys and cyber risks handled?
A crypto wallet does not hold the assets themselves; it holds private keys or passcodes used to access them, as Investor.gov explains. Find out who controls those keys and what happens if access is lost, stolen or interrupted.

- Key control: Is the wallet self-custodied, or does a provider control the keys? Who can initiate or approve transfers?
- Recovery: What documented process restores access after a lost key, inaccessible account, provider outage or custodian failure? Ask what the provider can and cannot recover.
- Transfer errors: Can a mistaken transfer to the wrong address be reversed or corrected? The OECD’s 2021 analysis identifies mistaken transfers and the difficulty of reversing them as custody risks.
- Security assurance: For products within its scope, the SFC expects providers to address cybersecurity, data privacy, system outages and recovery, business continuity, recordkeeping and smart-contract integrity. Ask what was reviewed, by whom, when, and with what limitations—not just whether a contract is described as “audited.”
- Incident response: Ask about known incidents, how holders would be notified, and who is responsible for restoring service or records.
The OECD’s 2021 report also identifies fraud or theft, private-key loss and legal uncertainty about property rights, including in custodian insolvency. It is useful as a risk taxonomy, not as current legal advice for a particular jurisdiction.

In Hong Kong, the SFC’s circular updated April 20, 2026 permits secondary trading of SFC-authorised tokenised investment products on a licensed virtual-asset trading platform only subject to measures intended to support fair pricing, orderly trading, liquidity provision and disclosure. That is a jurisdiction- and product-specific framework, not a guarantee that a particular token will be liquid or that the same rules apply elsewhere.

As of October 7, 2026, Investor.gov says tokenised securities are securities under the SEC’s March 17, 2026 interpretation. The page also notes that some crypto-asset categories are treated differently and that an asset can be sold through an investment contract that is itself a security. Investor.gov is SEC investor-education material and says its staff content does not have the force of a Commission rule. The SEC divisions’ January 28, 2026 statement discusses how federal securities laws may apply to tokenised instruments and notes that federal and state law govern the activities and relationships involved. Neither source means that every token is a security or that a specific offer is approved.
Other regulatory materials answer narrower questions. The Federal Reserve’s March 5, 2026 interagency FAQ concerns bank regulatory capital, not retail approval: it says an eligible tokenised security with legal rights identical to its non-tokenised form should generally receive the same capital treatment, while tokenised securities without identical rights fall outside the FAQ’s scope. This conditional capital treatment is not a safety certification. The SFC circular updated April 20, 2026 concerns SFC-authorised investment products in Hong Kong and requires covered products to meet existing requirements plus tokenisation safeguards, including clear disclosure and regulated distribution. Those requirements should not be generalized to other jurisdictions or products outside its scope.
How can you check whether an offer or promoter is legitimate?
Verify the firm and the people contacting you independently; do not use contact details or links supplied by a promoter as your only check. Investor.gov warns that crypto-related relationship scams can begin with online or text-message contact, build trust and then present fake investments. It also warns about people impersonating SEC officials or known experts, and about misuse of Form D filings to suggest an offering has been approved. A Form D filing is not SEC approval.

- Look up the company, individuals and any claimed registration or filing through official regulator channels.
- Compare the details in official records with the issuer, platform, domain and contact information in the offer.
- Be wary of a pitch built on promised returns, urgency, secrecy or a personal relationship rather than verifiable legal terms and disclosures.
- Do not treat a regulator’s name, a filing, an audit claim or a token listing as proof that an investment is safe.
What should you verify before committing money?
- Read the governing documents. Identify whether you are buying a security, an indirect entitlement, a claim against an intermediary or a synthetic or linked instrument.
- Map the parties and records. Name the issuer, operator, custodian, platform and authoritative ownership record; understand how your claim is evidenced.
- Test the failure scenarios. Find the written procedures for lost keys, mistaken transfers, cyber incidents, outages, insolvency and recovery.
- Confirm the exit conditions. Establish whether you can transfer, sell or redeem, where and to whom, and what restrictions or dependencies apply.
- Verify the legal setting and promoter. Check the offering and intermediaries with the relevant regulator, and establish which law and complaint channels apply.
- Pause if a key answer is missing. If you cannot explain what legal claim you hold, who must honor it, or how you could exit, do not rely on tokenisation or marketing language to fill the gap.
