When a private company is acquired, your stock options might be paid out, converted into options for the buyer, kept subject to their existing vesting conditions, accelerated if your documents provide for it, or canceled. There is no universal rule: the merger agreement, your equity plan, your grant documents, and applicable law determine the outcome. Even employees at the same company can have different results if their awards or circumstances differ.
The key questions are what happens to each vested and unvested option, how its value is calculated, whether you must keep working to receive it, and how the transaction affects taxes. An acquisition announcement alone does not answer those questions.

Start with what an option gives you
A stock option is the right to buy a specified number of company shares at a set price per share, called the exercise price or strike price. An option is not itself a share, and having an option does not necessarily mean you receive cash when the company is acquired.

If the deal consideration is higher, the difference is the option’s positive spread before any applicable deductions or withholding. If the exercise price equals or exceeds the deal consideration, that formula produces no positive spread. The transaction documents may define the consideration and treatment in more detail.

Vesting is a separate question from value. Vesting determines whether you have satisfied the award’s conditions to exercise or receive its benefit. A vested option can still have little or no positive spread, while an unvested option may have potential value but remain subject to continued-service or other conditions.
The four main outcomes in an acquisition
Transaction documents may use one treatment for all options or distinguish between vested and unvested awards, option types, or holders. SEC-filed merger agreements illustrate several approaches, but they are examples of negotiated terms, not a guide to how often any outcome occurs.
Cash-out based on the option spread
A merger agreement may cancel an option in exchange for cash based on its positive spread. A simplified version of the formula is:

For example, suppose a hypothetical option covers 1,000 shares, has a $4 exercise price, and the agreement assigns $10 of consideration per share. Under that simplified formula, the gross spread is $6 per option share, or $6,000 before any applicable withholding or other agreement-defined adjustments. This is arithmetic to explain the formula, not a prediction of what a particular transaction will pay.
The actual agreement controls the inputs and mechanics. It may define what counts as per-share consideration, when payment is due, whether payment is deferred, and what deductions or withholding apply. A cited SEC-filed agreement, for example, provides for cancellation without payment when the exercise price is at least the merger consideration. That is an example of a particular agreement’s terms, not a universal rule for every acquisition.
Assumption or conversion into buyer options
The acquirer or surviving company may assume an existing option or substitute a new option tied to buyer shares. Conversion can change both the number of shares covered and the per-share exercise price. One filed agreement illustrates adjustments using an exchange ratio, with applicable vesting terms continuing subject to specified exceptions.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesAn exchange ratio is a transaction-specific relationship between the companies’ shares. It is not safe to assume that the buyer option will have the same share count or strike price as the old option. The agreement’s adjustment and rounding rules matter, as do any exceptions it specifies. The option’s other terms may also continue or change according to the deal documents.

For certain statutory options, U.S. Internal Revenue Code Section 424 addresses assumption or substitution in corporate transactions, including limits on additional benefits. That rule is relevant to qualifying statutory options; it does not establish that every option will be converted or that every conversion has the same tax result.
Continued vesting or deferred cash settlement
An agreement may preserve unvested options and their vesting conditions after closing. It may also provide for cash settlement as options vest, rather than paying the full amount immediately. In those arrangements, continued employment or another service condition can affect whether and when an unvested portion becomes payable.
Read the actual terms to determine whether an award remains an option, becomes a right to deferred cash, or is handled another way. Do not treat the phrase “your options are being cashed out” as enough detail to establish the timing or conditions for unvested awards.

Cancellation without payment
An option may be canceled with no payment under terms that produce no positive spread or that otherwise specify cancellation. One filed merger agreement expressly cancels options without payment when the exercise price equals or exceeds the merger consideration. Whether that applies to your award depends on the governing transaction and award terms.

What happens to vested and unvested options?
Vested and unvested portions may be treated differently. The agreement may cash out vested options at closing while assuming unvested options, or it may provide for settlement of unvested value over the original vesting schedule. Other negotiated terms are possible.
Unvested options do not automatically accelerate just because a company is acquired. Look for a change-in-control provision in the option agreement, equity plan, employment agreement, or another applicable document. Some provisions require only the change in control for acceleration; others require an additional event, such as a qualifying termination of employment. These are often described as single-trigger and double-trigger provisions, respectively. The wording, definitions, and conditions in the actual documents control.
Pay close attention to what counts as a qualifying transaction, which awards are covered, and when a termination must occur. Do not assume that a general promise of continued employment, a change in job title, or the announcement date satisfies a contractual trigger. An agreement may also contain exceptions or conditions that affect how vesting continues.
How to work out your likely treatment
- Gather the governing documents. Find the equity incentive plan, your grant notice and option agreement, and any employment or change-in-control agreement that may address your award.
- Find the transaction-specific terms. Review the signed merger or acquisition documents, or the company’s transaction summary if that is what has been provided. Identify the section that describes outstanding equity awards and any definitions it uses.
- Separate vested from unvested options. Record the number of options in each category as of the date specified in the documents. Check whether continued service, a termination, or another condition affects vesting.
- Identify the outcome for each portion. Determine whether it is paid in cash, assumed or converted, continued under its existing conditions, deferred, or canceled. Do not infer one portion’s treatment from another’s.
- Check the value mechanics. If the award is settled in cash, find the agreement’s definition of per-share consideration, the exercise-price treatment, any exchange or adjustment rules, and any escrow, deferral, or other specified deduction.
- Check timing and withholding. Confirm when payment or conversion occurs and what withholding applies. A stated gross spread is not necessarily the amount deposited into your account.
- Confirm what happens if employment changes. Check whether service is required for continued vesting or deferred settlement and whether the documents specify a treatment after a resignation or termination.
- Ask for clarification in writing. If the transaction summary does not explain a term that affects your award, ask the company or its transaction contact how the signed documents apply to your grant.
Questions worth asking the company
- How many of my options are vested and unvested for purposes of this transaction?
- What treatment applies to each portion: cash payment, buyer options, continued vesting, deferred payment, or cancellation?
- How is per-share consideration determined, and how is my exercise price applied?
- Does any acceleration provision apply, and what specific conditions must be met?
- When will cash be paid or replacement options be issued? Are any amounts subject to deferral, escrow, or withholding under the documents?
- Does continued employment affect vesting, conversion, or payment, and what happens if my employment ends?
- Where can I find the transaction provisions that apply to my award?
Tax treatment depends on the option and transaction
Tax consequences depend on the option’s classification and the deal mechanics. Incentive stock options (ISOs) and nonstatutory, or nonqualified, stock options are not interchangeable labels. The relevant U.S. rules and tax consequences can differ, and a cash settlement, conversion, acceleration, or cancellation may raise different questions.
Best Value
Section 424 of the Internal Revenue Code addresses assumption or substitution of certain statutory options in corporate transactions. IRS guidance also says that, when stated conditions are met, an alternative right to receive taxable cash or property for cancellation or surrender does not necessarily disqualify an incentive stock option. These limited rules do not determine an individual holder’s result across every transaction.
Do not assume that a cash payment, replacement option, or cancellation is tax-free, or that the tax treatment follows only from the label on your award. The award, transaction structure, dates, and your circumstances can matter. For a personal conclusion, consult a qualified tax professional familiar with equity compensation and provide the actual award and transaction terms.
How options differ from RSUs
Restricted stock units (RSUs) are a different type of award from stock options. An option gives its holder a right to buy shares at an exercise price; an RSU generally represents a contractual right to receive shares or their value when specified conditions are met. An acquisition can affect both types of awards, but option formulas and exercise-price questions should not be applied automatically to RSUs. Review the terms for the specific award you hold.

What the examples can—and cannot—tell you
SEC-filed merger agreements are useful because they show how actual transactions have addressed outstanding options. The examples discussed here include cash settlements, continued vesting conditions, exchange-ratio adjustments for replacement options, and cancellation without payment for options at or above the merger consideration.
Those documents establish what those particular agreements provided. They do not show how common each treatment is among private-company acquisitions, and they cannot tell you what your own company negotiated. The controlling answer comes from your award terms and the signed transaction documents, read together and subject to applicable law.
