How Spot Bitcoin ETFs Work: Shares, Holdings, Fees, and Tracking

Spot Bitcoin ETP shares offer Bitcoin price exposure through a securities account, but they are not coins in your wallet. Here’s how holdings, fees, pricing and tracking work.

A spot Bitcoin exchange-traded product gives you Bitcoin price exposure through shares you buy and sell in a securities account. The trust or fund holds Bitcoin; you own its shares, not Bitcoin in your own wallet. Fees, valuation methods, trading prices, and operating terms vary by product, so check the current prospectus and issuer holdings page before comparing one with another.

How do spot Bitcoin ETFs work?

“ETF” is the familiar search term, but U.S. spot Bitcoin products are often described in regulatory and issuer materials as exchange-traded products (ETPs) or trusts. They are not registered investment companies under the Investment Company Act of 1940. A product’s legal structure and protections therefore are not necessarily the same as those of a conventional ’40 Act mutual fund or ETF.

The basic arrangement is straightforward: a trust or fund holds Bitcoin, and its shares trade on a securities exchange. You place an order through a securities account, much as you would for other listed shares. The product’s objective and valuation method are set out in its own documents. For example, BlackRock’s iShares Bitcoin Trust (IBIT) says it seeks to reflect the price of Bitcoin and names the CME CF Bitcoin Reference Rate – New York Variant as its benchmark. Other products may use different benchmarks or terms.

On January 10, 2024, the SEC approved exchange listing and trading for spot Bitcoin ETP shares. That was an approval of exchange rule changes, not an endorsement of Bitcoin or a finding that these investments are suitable for any particular investor.

Shares are not coins in your wallet

Buying a share does not give you private keys, direct control of a quantity of Bitcoin, or the ability to send that Bitcoin to another address. The product holds the underlying Bitcoin under its own custody arrangements. Your share represents an interest in the product under its governing documents; the documents explain the rights and risks attached to it.

That distinction matters operationally. With a listed share, you use securities-market infrastructure and rely on the product’s sponsor, custodians, service providers, and disclosures. With personally held Bitcoin, you arrange custody yourself or choose a separate wallet or custodian. These are different ways of getting exposure, not interchangeable forms of ownership.

What does a spot Bitcoin ETF actually hold?

The product’s assets include Bitcoin held for the trust or fund, alongside any cash or other items and liabilities described in its documents. The issuer’s holdings page and current prospectus are the places to check what is held, who provides custody, how the Bitcoin is valued, and how much Bitcoin is attributable to a share or creation basket. Do not assume that one issuer’s arrangements apply to another.

Bitcoin attributable per share is not a fixed promise of a set number of coins. The figure can change as the product’s share count changes and as expenses are paid. The holdings page is a dated snapshot; consult its timestamp and the prospectus rather than relying on an old headline figure.

How do creations, redemptions, and market prices work?

Ordinary investors trade shares on an exchange at the market price. Separately, authorized participants (APs) can transact with the product in large blocks under its governing documents. When demand pushes shares above the product’s net asset value (NAV), creating shares and related arbitrage can help bring the market price closer to NAV. When shares trade below NAV, redemptions and related activity can work in the other direction.

NAV is the value of the product’s assets minus its liabilities, expressed for the relevant shares. It is not the same thing as the price at which a share happens to trade on the exchange. The creation-and-redemption mechanism can help align the two, but it is not a guarantee: if the process or related arbitrage is disrupted, a premium or discount can widen.

The rules changed after the initial U.S. spot Bitcoin products launched. In its July 29, 2025 announcement, the SEC permitted authorized participants to create and redeem crypto ETP shares in kind; the SEC said the recently approved spot Bitcoin and ether ETPs had previously been limited to cash creations and redemptions. The announcement described in-kind transactions as permitted, not as proof that every product now uses identical procedures. Check the individual product’s current prospectus for its terms and implementation.

How much does a Bitcoin ETF charge?

A sponsor fee is an ongoing product expense that reduces returns. It is only one part of an investor’s total cost: the broker may charge a commission or other transaction fee, and the bid-ask spread and any premium or discount to NAV can also affect the price you pay or receive.

As a dated, issuer-specific example, BlackRock iShares showed a 0.25% sponsor fee for IBIT on its product page in information associated with NAV data dated October 2, 2026. This is not a market-wide average or a fee for every Bitcoin ETP. Fees and any temporary waiver terms can change, so verify the live fee disclosure and prospectus for the specific product before investing.

Cost or value What it means Where to check
Sponsor fee An ongoing expense of the product that reduces its returns. The current prospectus and issuer fee disclosure.
Brokerage or transaction charge A charge imposed by the investor’s broker, if applicable. The broker’s current fee schedule.
Bid-ask spread The difference between the displayed buying and selling prices; it affects execution. Current market quotes and trading conditions.
Premium or discount to NAV The difference between the exchange market price and the product’s NAV. Issuer or exchange data for the relevant date and time.

Why doesn’t a Bitcoin ETF track Bitcoin exactly?

“Tracking” depends on what is compared, over which period, and at what time. A useful comparison identifies the product’s benchmark and measurement period, then distinguishes NAV returns from market-price returns. A market-price comparison includes the effect of premiums or discounts and trading conditions that a NAV comparison does not capture in the same way.

  • Fees and expenses: ongoing product costs reduce the value attributable to shareholders over time.
  • Benchmark methodology and valuation time: an index or reference rate may use specific inputs and a defined calculation time, which can differ from the price shown on another Bitcoin market.
  • Different trading hours: Bitcoin markets and securities exchanges do not operate on identical schedules, so share prices and benchmark observations may reflect different moments.
  • Premiums and discounts: the share’s market price can diverge from NAV, particularly if creation, redemption, or arbitrage activity is impaired.

SEC-filed risk disclosures warn that benchmark pricing may fail to track global Bitcoin prices and that disruptions to arbitrage can produce larger premiums or discounts. A tracking figure is meaningful only when its dates, benchmark, and price basis are clear; the available evidence here does not establish a date-matched tracking-error comparison across issuers.

What should you compare before choosing a product?

Use current, date-matched materials rather than assuming that similarly named products operate alike. A practical comparison should cover:

  • Fee and waiver: the ongoing sponsor fee and the duration or conditions of any waiver.
  • Benchmark and valuation time: which reference rate is used and when it is calculated.
  • Holdings and share exposure: Bitcoin held and Bitcoin attributable to each share or basket, with the snapshot date.
  • Custody and operations: who holds the Bitcoin and what the prospectus says about custody and operational arrangements.
  • Creation and redemption: whether transactions are cash, in kind, or handled under other stated terms.
  • Trading conditions: average bid-ask spread, liquidity, and premium-or-discount history for comparable periods.

A headline fee alone cannot establish which product tracks Bitcoin more closely or will be cheaper to trade. Those conclusions require comparable evidence for the same dates and conditions.

What risks and protections should investors understand?

Bitcoin is volatile and speculative, and the value of a product holding it can fall sharply. Product-specific risks also include the benchmark’s construction and pricing, custody and operational interruptions, and the possibility that its shares trade at a premium or discount to NAV. Read the risk disclosures in the current prospectus rather than treating exchange listing as a safety signal.

In a January 10, 2024 statement, Gary Gensler, then SEC Chair, emphasized that the agency’s action was merit-neutral and described Bitcoin as a speculative, volatile asset. He also noted its use in illicit activity. That was Gensler’s characterization in the statement, not a guarantee about future performance or a substitute for assessing the product’s own disclosures.

SEC-filed disclosures state that spot Bitcoin ETPs are not registered under the Investment Company Act of 1940 and therefore do not provide protections expressly supplied by that statute. Approval to list and trade shares does not remove Bitcoin-related risk or determine whether an investment fits an individual’s circumstances.
