For each stage, agree in writing on what will be delivered, how the client will assess it, when it is due, what it costs, and when payment is triggered. No universal milestone count or percentage allocation is established by the available guidance; the right schedule depends on scope, risk, and how quickly the work can be reviewed.
What makes a useful payment milestone?
A milestone should mark a distinct piece of work the client can inspect, with an agreed amount and target date. Upwork’s fixed-price guidance similarly recommends a clear deliverable, estimated delivery date, and agreed payment amount, and advises agreeing on scope, timing, feedback, revisions, and success criteria before work begins (Upwork: How milestones work; Upwork: How to set milestones).

For software, “finish the app” is too broad to be a helpful trigger. A working feature, tested integration, or deployment package is easier to demonstrate and approve. Keep each stage small enough that neither party has to wait until the entire project is over to discover a mismatch.
How can you divide a software project?
Use the project’s actual sequence and decision points. A possible structure is below; it is an example to adapt, not a standard schedule.
#1 Best Overall
- Discovery and specification: documented requirements, user flows, technical approach, and agreed acceptance criteria.
- Core feature or prototype: a demonstrable working slice of the software that lets the client validate the essential behavior.
- Integrations and agreed testing: connected services or systems, plus the tests and fixes included in the agreed scope.
- Deployment and handoff: deployment to the agreed environment, documentation, and transfer of agreed project materials.
Combine stages for a small engagement or break them down when a deliverable is large, uncertain, or depends on client decisions. Set the amount for each stage according to its scope and value rather than treating a familiar-looking percentage split as a rule. The cited guidance does not establish a universal number of milestones, deposit, or allocation.
What should each milestone say?
Put the payment trigger and the work it covers in the contract or statement of work. For each milestone, specify:

- Feedback and review: set out how the client reviews the work, how feedback is provided, and the response period.
- Revisions and changes: distinguish included corrections or revisions from requests that add or change scope, and agree how change requests affect price and timing.
- Delay and termination handling: explain how a delayed dependency or a project ending early affects outstanding work and payment for completed stages.
These details reduce ambiguity, but they do not guarantee a particular legal result. Enforceability, intellectual-property transfer, late-payment rules, termination rights, and dispute processes depend on the governing law and the agreement’s wording.
When should a milestone be funded?
Arrange funding for a milestone before beginning substantial work on it, so the payment mechanism is clear before effort is committed. The precise mechanism depends on how the parties contract; marketplace funding rules should not be assumed to apply to private invoices.

| Arrangement | What the cited material establishes | What to verify |
|---|---|---|
| Direct invoicing | The cited material does not establish a universal funding or release workflow for private contracts. | When invoices are due, what event triggers payment, how disputes are handled, and how payment and project records are kept. |
| Marketplace fixed-price milestones | Upwork says milestone funds for its fixed-price contracts are held until the freelancer submits work and the client approves it. Its help page gives the client 14 days to review; funds are automatically released if the client does not act before the deadline (Upwork: How milestones work). | Current platform terms, fees, eligibility, the applicable review workflow, and the process for a disputed submission. The 14-day period describes Upwork’s service, not other contracts. |
| Separate escrow service | Escrow.com describes a software-specific arrangement in which the employer funds the full contract amount upfront and the developer receives milestone payments as phases are completed and approved (Escrow.com: Software escrow). | Current fees, geographic availability, eligibility, service terms, approval and dispute procedures, and safeguards directly with the provider. |
These arrangements differ in how money is secured, what releases it, how a disagreement is handled, and what fees or geographic limits apply. The cited material does not provide a current, comparable fee or legal-protection analysis, so check the relevant terms before choosing a mechanism.
How should you handle review delays and changed scope?
Agree on the review process before the first deliverable arrives. State the review window, where feedback must be sent, and how the parties will resolve a submission that does not meet the written criteria. Avoid leaving payment dependent on an undefined notion of satisfaction, or assuming that silence has a particular legal effect unless the agreement and applicable law support that result.

What tax points apply to U.S. freelancers?
U.S. tax obligations depend on the freelancer’s circumstances, not on how many payment milestones a client uses. The IRS says a person with net self-employment earnings of $400 or more from gig work must file a tax return, and independent contractors may need to pay estimated taxes. IRS estimated-tax due dates are April 15, June 15, September 15, and January 15; if a date falls on a weekend or legal holiday, payment is due the next business day. The IRS directs taxpayers to Form 1040-ES and online, mail, or phone payment options (IRS: Gig economy tax center). These are U.S. federal guidelines; freelancers elsewhere should check their own tax authority’s rules.
