NBA rules require league review and approval, with the approval route depending on the size and structure of the interest, the buyer’s existing status, and whether the transaction could change effective control. The NBA Constitution and By-Laws, June 2024 edition, set out the process in Article 5.
What an NBA ownership transfer involves
An NBA team is a member of the league, and ownership interests in that member are governed by the NBA Constitution and By-Laws. Article 5 applies to transfers of a membership or an interest in an NBA member. As a result, a buyer and seller cannot treat the transaction as a private exchange that takes effect merely because their contract is signed. The relevant league approval must be obtained before the transfer becomes effective.

The review can matter even when the proposed buyer is acquiring less than a controlling stake. Article 5 distinguishes among types and sizes of transfers, but percentage alone is not decisive: the NBA also considers whether the ownership change introduces a person or entity who has not been approved in a relevant ownership band and whether effective control may change.
The rules concern the league’s membership and ownership approval. They do not settle the separate tax, securities, estate, financing, or entity-law consequences of a particular sale. Those questions turn on the deal documents, the entities involved, the parties, and applicable jurisdiction; there is no single answer for every NBA ownership transfer.

Which approval route applies?
Under the ordinary Article 5(f) route, the Commissioner investigates the proposed transfer and submits the proposal and pertinent information for a vote. The transfer becomes effective only if at least three-fourths of all Governors approve it at a meeting duly called for that purpose. The June 2024 Constitution and By-Laws state: “A transfer shall only become effective if approved by the affirmative vote of not less than three-fourths (3/4) of all Governors at a meeting duly called for such purpose.”
Article 5(h) provides narrower routes for some transfers. The Commissioner may approve specified transfers of 5% or less, while the Committee may approve specified transfers greater than 5% but less than 10%, without a full Governors vote. These are conditional exceptions, not blanket exemptions for every stake below 10%.

These thresholds should be read together with the full conditions in Article 5(h). In particular, the question is not simply whether the stake being sold is under 10%. The parties need to map the buyer’s direct and indirect holdings, determine whether the buyer is already approved, and assess any potential change in effective control before assuming that a limited approval route is available.

How the parties prepare and submit a transfer
The practical work starts before a definitive sale is treated as complete. The agreement and application must account for the league’s approval process and include the required undertaking from the proposed buyer and each prospective owner. The undertaking is a binding commitment to be bound by NBA governing documents if the transfer is approved.
- Define the interest being transferred. Identify the team member or membership interest involved, the percentage, the selling party, each proposed owner, and the legal entities through which the interest is held. Consider both direct and indirect ownership changes. Article 5 treats certain changes involving a trust—such as replacing a trustee or beneficiary—as a transfer of the trust’s entire interest unless the Commissioner determines that only part of the interest is being transferred.
- Map the ownership before and after the transaction. Show how the proposed transfer changes each owner’s direct and indirect position. Identify whether any unapproved person or entity would cross an applicable ownership threshold. A transaction can require a different route even if the portion being sold looks small when viewed in isolation.
- Assess effective control separately from percentage. Determine whether the proposed terms could change who exercises effective control. Article 5 makes a potential change in effective control relevant to the availability of the limited Commissioner or Committee approval routes, including for a transfer below the stated percentage thresholds.
- Build the application and undertaking into the transaction documents. The transfer agreement and application must include the proposed buyer’s and each prospective owner’s binding undertaking to follow the NBA governing documents if approved. The parties should make league approval a condition to effectiveness rather than assume that their contract alone completes the transfer.
- Submit to the applicable league review. The Commissioner investigates the proposal. Depending on the circumstances and the rule that applies, the decision proceeds through the Commissioner, the Committee, or the full Board of Governors. Under the ordinary route, the required affirmative vote is at least three-fourths of all Governors at a duly called meeting.
- Complete the transfer only after approval. Coordinate the transaction’s closing steps with the required league decision. Article 13 provides that an unapproved transfer or attempted transfer can be grounds for termination of the membership or owner interest by a three-fourths Board vote.
This is a description of the league’s process, not a substitute for deal-specific legal advice. The NBA rules do not answer how a specific transaction should be structured for tax, securities, financing, estate, or entity-law purposes.

The June 2024 NBA Constitution and By-Laws distinguish the application payment for larger or potentially control-changing transfers from the allocation of expenses for smaller transfers:

- For a transfer of 10% or more, or a smaller interest that may change control, the application must include a certified check for $50,000 to cover league investigation and processing expenses. The NBA repays the amount after deducting expenses. If the expenses exceed $50,000, the additional amount may be assessed against the member.
- For a transfer of less than 10% that does not change control, the expenses of investigation, review, and processing are assessed against the member.
The $50,000 amount is an application provision in the June 2024 rules, not a measure of the value of a stake or a market statistic. The same rules do not establish a universal transaction price, seller proceeds, or tax bill.
A stake, control, and the Governor role are different things
An ownership percentage does not automatically determine who represents the team as Governor or Alternate Governor. Economic ownership and league governance roles are distinct arrangements, and a transaction’s terms can address them separately, subject to league approval and the applicable rules.
The NBA’s October 30, 2025 announcement approving Mark Walter’s purchase of a majority interest in the Lakers illustrates this distinction. The Buss family retained an ongoing interest, while Jeanie Buss was to remain the team’s Governor for at least five years after closing. Commissioner Adam Silver said the transaction transferred the family’s majority interest while Jeanie Buss would remain Governor and an active league member.

The NBA’s June 24, 2025 announcement concerning the Timberwolves and Lynx described Marc Lore and Alex Rodriguez’s acquisition of a controlling interest from Glen Taylor as the culmination of a gradual transfer. It also assigned team roles separately: Lore was designated Timberwolves Governor and Rodriguez Alternate Governor, with the roles reversed for the Lynx. These announcements show possible deal structures; they do not establish a standard arrangement for other sales.
For parties structuring a deal, the relevant questions therefore include not only what percentage changes hands, but also who will hold governance roles, whether a seller retains an interest, and whether ownership passes in stages. The league examples demonstrate that these matters can be arranged differently from one transaction to another.

A transfer need not be framed as a single all-at-once change in ownership. The NBA described the Lore and Rodriguez acquisition as the culmination of a gradual transfer from Glen Taylor. The Lakers announcement also described a majority interest changing hands while the Buss family retained an ongoing interest. In either type of arrangement, the timing and approval requirements remain important: describing a transaction as staged does not itself remove the league’s review obligations.
The distinction between approval and closing is also important when reading sale announcements. On March 30, 2026, NBA Communications announced Board approval of a controlling-interest sale of the Trail Blazers to a group led by Tom Dundon and said Dundon would serve as Governor. The release said closing was expected that week; the approval announcement alone should not be treated as proof that closing had occurred.
Small minority sale versus controlling-interest sale
The two broad deal types can involve different review paths and governance implications. A small minority interest may qualify for a limited approval route, but only after the ownership structure and exceptions are evaluated. A controlling-interest transaction ordinarily requires the full Governors vote and is more likely to require explicit arrangements for team governance and the seller’s continuing position.

What a buyer or seller should not assume
- Do not assume a signed agreement has transferred the interest. Article 5 makes league approval central to effectiveness, and Article 13 provides consequences for an unapproved transfer or attempted transfer.
- Do not use the percentage as the only test. Direct and indirect holdings, the buyer’s approval status, applicable ownership bands, and possible effective control all matter.
- Do not equate ownership with team authority. Governor and Alternate Governor designations are separate governance terms, as the 2025 Lakers and Timberwolves/Lynx announcements illustrate.
- Do not assume the seller must either exit entirely or keep a fixed role. The Lakers announcement describes a retained family interest and a continuing Governor role; the Timberwolves/Lynx announcement shows a different allocation of roles after a gradual transfer.
- Do not treat an approval announcement as a closing notice. The March 2026 Trail Blazers announcement stated that closing was expected later that week; it did not, by itself, establish that closing had occurred.
Which rules and examples these explanations reflect
The approval thresholds, application requirements, costs, and consequences described here are from Article 5 and Article 13 of the NBA Constitution and By-Laws, June 2024 edition. The examples are NBA announcements dated October 30, 2025, for the Lakers; June 24, 2025, for the Timberwolves and Lynx; and March 30, 2026, for the Trail Blazers. Because the operative provisions are league rules, parties considering a transaction need to confirm the applicable current text and any later amendments with the NBA as part of their transaction process.
