There is no standard stake that shareholders retain in a unicorn startup. Ownership depends on that company’s financing history, share issuances, employee equity pool, securities and share-class terms. A $1 billion valuation does not determine who owns what percentage.
What the available benchmarks can—and cannot—tell you
There is no reliable, comparable unicorn-only dataset establishing a typical retained stake for shareholders as a group. Carta’s founder-ownership reports provide broader startup context, not a representative survey of unicorns. Their figures describe founding teams, not all shareholders.

These figures should not be combined to construct an assumed unicorn cap table: they describe different ownership concepts and populations.

Why a $1 billion valuation does not reveal shareholder ownership
“Unicorn” means a private startup valued at at least $1 billion. That valuation is not an ownership percentage or a record of how the company’s shares are divided. Ownership is calculated from the securities in the company’s cap table and the share denominator used for the calculation.

“Shareholders” may mean founders, employees who hold issued equity, preferred investors or common shareholders. Those groups can have different percentages and different rights. A founder-team percentage is therefore not the same as the percentage held by all shareholders, and voting or economic rights may vary by share class.
What changes a shareholder’s percentage
A shareholder’s percentage can change when a company issues equity, financing instruments convert into shares, or an employee option pool is created or expanded. The effect depends on the securities involved and the assumptions used to calculate ownership. Carta’s cap-table guide explains how equity instruments and fully diluted assumptions affect the calculation.
“Fully diluted” ownership includes specified potential shares—such as those associated with options or convertible securities—according to the calculation’s assumptions. It is not necessarily the same as a percentage based only on shares currently issued. The exact securities included must be clear before comparing percentages.

For a specific company, use a dated cap table and identify the share denominator and securities included. To interpret the percentage, check:

- 5 3/16" x 9"
- Includes forms for church receipts, member contributions, and disbursements
- Whether it refers to founders, a particular investor, employees, a share class or all holders.
- Whether the calculation uses basic shares or a fully diluted basis.
- The cap-table date and financing round it reflects.
- Whether employee options, SAFEs, warrants and convertible securities are included, and on what assumptions.
- Whether different share classes carry different voting or economic rights.
Without those details, a stated percentage may be impossible to compare with another company’s figure. The available broad startup benchmarks can put founder dilution by funding stage in context, but they cannot establish the retained stake of all shareholders—or even a typical founder stake—in unicorn startups.
