Retail investors may receive few or no shares, and a lockup’s end can increase the potential supply of stock—but neither allocation nor a later price move is guaranteed.
How IPO share allocation works
Before public trading begins, the company and its underwriters set the offering structure, including how shares will be distributed among institutions and individual investors. The SEC does not assign shares to investors or regulate that business decision: “The SEC does not regulate the business decision of how IPO shares are allocated.”

Underwriters and dealers often distribute much of an IPO to institutional and high-net-worth clients. These may include mutual funds, hedge funds, pension funds, insurance companies, and wealthy individuals. That is common practice, not a fixed allocation formula: there is no universal percentage reserved for retail investors.
Eligibility and allocation procedures depend on the particular offering and the participating broker or syndicate. An indication of interest is not a guaranteed allotment. Review the offering documents and the broker’s current procedures to understand how that IPO handles requests.

Why retail investors may receive few or no shares
Demand can exceed the shares available to a particular distribution channel, and underwriters may prioritize institutional or high-net-worth clients. A retail investor can therefore request shares and still receive only a partial allocation—or none.
Underwriters may also discourage “flipping,” meaning selling IPO shares soon after receiving them, by declining to allocate shares to customers who sold quickly after earlier IPO allocations. This is an allocation policy some underwriters may use, not a general federal-law ban on selling IPO shares quickly. The SEC’s IPO bulletin explains that flipping itself is not prohibited by federal securities laws.

What an IPO lockup restricts
A lockup is a contractual restriction that prevents specified holders from selling covered shares for a stated period after an IPO. It commonly applies to insiders such as employees, their friends and family, and venture capitalists. The company and underwriter typically enter into the agreement before the company goes public.

The SEC says lockup terms vary, but most prevent insiders from selling for 180 days. That is a commonly reported term, not a statutory duration or a rule that applies to every IPO. Some agreements also limit how many shares can be sold during a specified interval. The SEC’s lockup guidance describes the typical term and variation among agreements.

Where to find the terms
For a U.S. company using a lockup, securities laws require disclosure of its terms in the registration documents, including the prospectus. Find the filing through SEC EDGAR or request the prospectus from the company’s shareholder-relations department. Check the actual documents rather than assuming that a commonly used term applies.
- How long the restriction lasts and how its start date is defined.
- Which holders and securities are covered.
- Whether exceptions, early releases, or staged releases apply.
- The stated expiration date and any other restrictions on sales.
What can happen when a lockup expires
When covered shares become eligible for sale, the potential supply of stock in the market can increase. The SEC cautions that a share price may fall in anticipation of locked-up shares becoming available. That is a possible market effect, not a prediction: expiration does not prove that holders will sell, and it does not mean the stock must decline.

Expiration removes the contractual restriction only to the extent the agreement says it does. Registration requirements, insider-trading laws, company policies, staged-release terms, or other restrictions may still affect whether a particular holder can sell. A date on a calendar alone does not establish that every covered share can immediately be sold.
How to assess a specific IPO
Use the prospectus and related filings to distinguish the offering’s share distribution from its post-IPO resale restrictions. In particular, look at whether the company is issuing new shares or existing holders are selling shares, how the prospectus describes distribution and investor categories, and which holders or securities are subject to a lockup. Then verify the restriction’s duration, start date, exceptions, any staged releases, and stated expiration date. The SEC directs investors to offering documents for information about selling shareholders and lockup terms.
