Options usually pass through grant, vesting and exercise before the employee becomes a shareholder. The hard part is that exercising can require cash and trigger tax before the employee can sell the shares; the grant letter and scheme determine the employee’s deadlines and rights.
What an ESOP gives you—and what it does not
An employee stock option plan (ESOP) gives an employee the opportunity to purchase a specified number of company shares under terms set by the company. The option itself is not ownership: before exercise, the employee does not hold the underlying shares merely because options were granted or vested. The option’s exercise price is the amount the employee must pay per share to exercise it.

That distinction matters because an option can have value on paper without producing money the employee can spend. The eventual value depends on the shares’ value, the cost of exercising, applicable tax, dilution and whether a sale is possible. SEBI’s investor guide explains the option, vesting, exercise price, exercise window and expiry date, and notes the upfront-payment and share-price risks (SEBI’s ESOP guide).

How the grant becomes shares
The usual sequence is grant, vesting, exercise, share ownership and—if a buyer or transaction becomes available—sale. The plan and individual grant letter specify the terms. There is no universal vesting schedule or post-employment exercise period that applies to every private-company ESOP.

1. Grant: the company sets the offer
The grant letter or scheme should state how many options are offered and the exercise price, alongside other terms. A grant is a promise of an opportunity to buy shares under the plan, not an immediate allotment of shares. Read the grant together with the scheme rather than treating the number of options as a guaranteed payout.
2. Vesting: options become eligible for exercise
Vesting means options become exercisable as the employee satisfies the applicable service or performance conditions. The schedule and conditions are plan-specific. Some options may be vested while others remain unvested, and an employee should check the actual schedule rather than assume a standard cliff, monthly cadence or total vesting period.
3. Exercise: the employee chooses whether to buy
After options vest, the employee may exercise them during the window allowed by the scheme and grant. Exercising means electing to buy the shares and paying the exercise price. It can require significant cash even when there is no immediate way to sell the resulting shares. The option may also expire if it is not exercised by the applicable deadline.

4. Allotment or transfer: the employee becomes a shareholder
Once the plan’s exercise and allotment or transfer process is completed, the employee holds shares rather than options. The share class and the company’s constitutional and shareholder documents, together with applicable law, govern the rights and restrictions attached to those shares. The options’ vesting date is therefore not necessarily the date on which share ownership begins.
5. Sale: liquidity depends on an actual route
Shares in a private company may have no exchange listing and no immediate buyer. A sale could depend on a company transaction, an approved transfer, a buyback, a secondary sale or a later listing. None should be treated as guaranteed unless the relevant documents or a specific transaction establish it. A company valuation is not the same as cash an employee can realize.
Which rules govern private-company ESOPs in India?
For companies outside the listed-company SEBI regime, the central statutory references are section 62(1)(b) of the Companies Act, 2013 and Rule 12 of the Companies (Share Capital and Debentures) Rules, 2014. Section 62 addresses an employee stock option offer subject to a special resolution and prescribed conditions. Rule 12 addresses schemes of companies other than listed companies that are not required to comply with SEBI’s ESOP guidelines; its text requires shareholder approval by special resolution. Consult the current statutory text and the company’s scheme for the applicable requirements: Companies Act, section 62 and Rule 12.

SEBI distinguishes unlisted-company ESOPs under the Companies Act from listed companies’ share-based employee benefits under its 2021 regulations. SEBI’s regulations page identifies those regulations as last amended on September 8, 2025 (SEBI regulations page). A company’s description of itself as “private” is not a substitute for checking its status, the scheme structure and applicable formalities.

1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteWhen can tax arise?
There are two distinct potential tax points: exercise and a later sale. The first can arise when the employee acquires shares without receiving sale proceeds; the second can arise if those shares are subsequently sold. They should not be treated as one event.
At exercise: a taxable perquisite may arise
The Income Tax Department describes the taxable ESOP perquisite as the fair market value (FMV) of the shares on the exercise date minus the amount recovered from the employee. For unlisted shares, its guidance says a merchant banker determines FMV as of the exercise date or an earlier date no more than 180 days before exercise. Accordingly, tax may be due even if the employee still holds private shares and has received no money from a sale. See the Department’s ESOP perquisite guidance.

Possible start-up deferral is conditional
The Department describes a deferral of payment of tax on the perquisite for qualifying start-ups. Under the guidance, the deferred payment point is the earliest of the sale of the shares, cessation of employment or 48 months from the end of the relevant assessment year. This is not an automatic benefit for every private employer or for any company that calls itself a start-up; eligibility and current requirements need to be verified. The Department’s salary-income guidance sets out the deferral.
At sale: capital gains may be relevant
A later sale can create capital gains. The Department says the holding period for shares allotted or transferred under an ESOP starts on the allotment or transfer date. The applicable classification and tax rate depend on facts including share type, holding period, transaction date and residence; rules have changed, so a single timeless rate would be misleading. The Department’s guidance on sale of shares is the relevant starting point. Listed-share concessions should not be assumed to apply to a private-company share.

- The number of options granted, vested, unvested and already exercised.
- The exercise price, the valuation currently used by the company and how that valuation relates to the tax FMV process.
- The exercise window and expiry date, including the period permitted after employment ends.
- Whether resignation, termination, disability or death changes vesting or exercise rights.
- The cash required to exercise and the possibility of a tax payment before any liquidity.
- The share class, dilution exposure, voting and dividend rights, transfer restrictions and any company repurchase provisions.
- Whether an actual exit or approved secondary-sale route exists, and whether the documents make it a right or merely a possibility.
- Your tax residence and whether the company and employee meet the conditions for any tax deferral.
Employment-end terms deserve particular attention: the plan documents determine what happens to vested and unvested options, and the practical exercise deadline may be more pressing than a future liquidity event. Do not infer a universal leaver outcome from the word “ESOP.”
How to think through the exercise decision
Exercise is a decision to spend money now for shares that may be difficult to sell. Compare the total exercise cost, tax timing, your confidence in the company’s prospects, the plausible wait for liquidity and the possibility of losing the outlay. If the available documents do not establish a sale route, assess the shares as illiquid rather than assuming an exit will happen.
Before deciding, make sure you can distinguish the company’s stated valuation from what you could actually receive in a sale. A valuation does not guarantee that you can sell at that price, that a buyer will be available or that the shares carry the same rights as another share class. For an individual tax calculation or a decision involving a large exercise cost, the complete plan and personal tax position need review by a qualified adviser.

What ESOP documents answer the questions an employee cannot answer from the grant count alone?
The grant count alone cannot establish the value, deadline or liquidity of an award. The grant letter and scheme set the award’s individual terms; the company’s constitutional and shareholder documents inform the rights and restrictions attached to issued shares. Applicable law and current tax rules supply a separate layer of requirements. Together, these materials answer whether options are vested, when they expire, what happens upon employment ending, what shares are issued and whether a transfer or repurchase is restricted.
There is no reliable general statistic about how common Indian private-company ESOPs are or what employees typically realize that would substitute for those documents. The official materials cited here establish legal and tax frameworks, not a promised employee outcome. The practical answer is specific to the employer, award and employee.
