Data center debt can be borrowed by a parent company, a project subsidiary, or a group of entities, and it can take the form of construction loans, corporate facilities, mortgages, term loans, unsecured notes, or asset-backed securitizations. A construction loan may later be repaid with longer-term debt or securitization, but refinancing is not automatic: lenders assess the borrower, collateral, tenant and service-contract cash flows, operating status, debt terms, and available funding when repayment comes due.
The practical question is not simply whether a data center has tenants. It is whether the borrower can demonstrate a credible repayment source under the proposed loan documents—and whether the new financing’s proceeds, timing, and conditions are sufficient to retire the debt that is maturing.

What determines how a data center borrows?
Data center financing is a set of choices about who borrows, which assets and cash flows support repayment, and how long the debt runs. The same owner may borrow at the corporate level while also financing particular campuses or phases through project subsidiaries. Those layers can coexist rather than represent mutually exclusive approaches.

A corporate facility is borrowed by a parent or another company-level entity. Repayment may depend on the broader company’s financial position and the terms of its agreement. Project-level debt instead names a subsidiary formed for a particular campus, phase, or asset as a direct borrower or obligor. A lender may also require support from a parent, sponsor, or affiliated entity; whether it does, and what that support covers, must be checked in the loan documents.

Iron Mountain’s 2025 Form 10-K identifies separate Virginia project subsidiaries as direct obligors for term loans. That is a concrete reason to name the legal borrower rather than saying only that a loan was made to “the data center company.” The same filing distinguishes construction-loan collateral from term-loan collateral and describes security applying to project and holding-company entities. Its examples show how borrower and collateral arrangements can vary even within one owner’s financing.
One owner may use several forms of debt
Possible financing forms include construction facilities, term loans, revolving credit, mortgages, unsecured notes, and asset-backed securitizations. A revolving facility can provide company-level borrowing capacity; a mortgage is secured by specified real estate; unsecured notes rely on the issuer’s credit rather than a mortgage lien on a named property; and a securitization raises financing against a defined asset or cash-flow pool. The exact rights and repayment sources depend on the documents, so these labels alone do not establish whether a lender has recourse to a parent or what assets secure repayment.
Iron Mountain’s June 2025 debt profile lists revolving credit and term loans alongside construction loans, securitization, mortgages, and senior unsecured notes. This is an example of one company’s capital stack—not a standard package that every data center owner should expect to use.
How construction financing works
Construction-stage borrowing helps fund development before a facility has a long operating record. Depending on the facility, a lender may commit a maximum amount and advance funds over time as specified conditions are satisfied. The commitment is not necessarily the same as cash already drawn, and the agreement determines when advances can be made, what they may fund, and what the borrower must deliver.

Construction debt may be secured by project property or other collateral and may include completion requirements or sponsor support. The particular agreement controls. It is not safe to assume that every construction loan is non-recourse, financed only from project cash flows, or guaranteed by a parent. Those are separate questions about the named borrowers, guarantors, collateral, and enforcement rights.
A documented mortgage example
In 2025, Starwood Property Trust reported that it co-originated 49% of a $587.1 million first-mortgage loan for a Herndon, Virginia data center described as fully leased to an investment-grade tenant. The loan had a four-year initial term, two one-year extension options subject to conditions, and an initial interest rate of SOFR plus 3.00%. These are terms of that specific transaction, not a market quote or a forecast for another project.
The example illustrates several distinct features that should not be collapsed into one headline rate: the mortgage lien, the reported tenant profile, a floating benchmark plus a spread, an initial term, and conditional extension rights. SOFR plus 3.00% is not necessarily the all-in borrowing cost; the applicable SOFR fixing and fees also matter.
What happens when a construction loan matures?
At maturity, the borrower needs to repay the outstanding amount or use a valid extension or other remedy permitted by the agreement. The expected repayment source should be identified when the debt is arranged. Depending on the project’s status and the financing available at the time, possibilities can include operating cash, asset or business-sale proceeds, a new loan, securitization proceeds, or additional sponsor equity. These are possible paths, not guaranteed options.

If the loan has extension options, the borrower should distinguish an option from an automatic extension. The agreement may make an extension conditional on matters such as timely notice, fees, financial tests, absence of defaults, or other negotiated requirements. The Herndon loan’s two one-year extensions, for example, were reported as subject to conditions. A borrower should verify the conditions and deadlines in its own documents well before maturity.
Refinancing can change the financing, not just the date
A refinance replaces or restructures existing debt. It may change the borrower, lender group, collateral pool, lien priority, guarantees, interest-rate exposure, amortization, covenants, reserve requirements, and repayment profile. A longer maturity can reduce near-term repayment pressure, but it does not by itself prove that the new debt is cheaper or less risky. A floating-rate loan can become fixed-rate debt, or vice versa; a project loan can be replaced by debt backed by a broader pool; and a new loan may demand more collateral or impose different operating conditions.
The key execution test is whether financing proceeds available at closing are sufficient to repay the maturing balance and transaction costs. If not, the borrower may need to contribute equity, sell assets, secure another source of repayment, negotiate an extension, or address a shortfall under the existing agreement. A refinancing plan is therefore a source-of-funds plan, not simply an application for a new loan.
Common refinancing paths
| Financing route | What it can do | What to verify |
|---|---|---|
| Term loan | Replace construction or other existing debt with a loan having its own maturity, pricing, repayment schedule, and security package. | Borrower and guarantors, fixed or floating rate, amortization, maturity, covenants, collateral, and whether proceeds cover the payoff. |
| Fixed-rate long-term debt | Provide longer-term financing with a fixed coupon under the announced or executed terms. | Whether financing is announced, committed, or closed; who provides it; which entity borrows; and what collateral or repayment protections apply. |
| Asset-backed securitization | Raise financing against a specified asset or cash-flow pool. Proceeds may refinance construction debt and fund development. | Assets and entities in the pool, cash-flow assumptions, debt priority, servicing and account arrangements, covenants, and treatment of future development spending. |
| Corporate facility | Borrow under a company-level arrangement rather than relying solely on one campus or phase. | Facility commitment versus drawn balance, eligible borrower entities, guarantees, conditions to draw, maturities, and how the company’s other debt affects capacity. |
| Sponsor equity plus long-term debt | Combine owner or sponsor capital with debt to fund a large campus, limiting reliance on a single debt source. | Equity contribution and timing, debt commitment and closing status, the borrower, debt terms, and any conditions to funding. |
These routes can overlap. A company might have corporate debt and mortgages while using a securitization for a defined portfolio. The appropriate comparison is between actual agreements and transaction terms, not product labels alone.

Named transactions illustrate different routes
EdgeCore Digital Infrastructure announced on July 24, 2025 that it had completed a $235 million asset-backed securitization. The company said proceeds were intended to refinance construction loans and fund future green data center development. The announcement describes a completed securitization, but the stated intended uses do not establish how much went to each use.
On April 24, 2026, Related Digital announced $16 billion in project financing for an Oracle-purpose-built campus in Saline Township. The announced structure included equity from Related Digital and Blackstone-affiliated funds, plus fixed-rate long-term debt anchored by funds and accounts managed by PIMCO. Bank of America acted as structuring agent and financial adviser, while Goldman Sachs and Wells Fargo also advised Related Digital. This was an announcement of a large campus financing structure; it should not be treated as evidence that every facility had already been funded or as a template for other projects.
In that announcement, Bank of America Co-President Jim DeMare said: “Strong investor demand for high-quality digital infrastructure continues to drive significant capital formation, particularly for projects of this scale and complexity,” The statement is an attributed comment made in the transaction announcement, not an independent market statistic.

What lenders may examine in the project
Leases, service contracts, and counterparty rights
Leases and service agreements can help establish expected revenue, but they do not guarantee a refinance. Lenders may examine contract duration, payment terms, defaults, termination rights, and the identity and credit profile of counterparties. They may also require legal rights relating to those agreements or to access the site and collateral after a default.
An SEC-filed credit agreement amendment provides a specific example: it requires collateral-access arrangements involving lease or license counterparties, the borrower, and the collateral agent. That makes tenant cooperation and enforceability appropriate diligence questions for that facility. It does not establish that tenants must consent to every data center loan or that every agreement contains the same condition.
Revenue accounts and debt-service coverage
A lender may assess projected net operating income against debt service and require control over accounts receiving project revenue. A filed 2026 credit-agreement excerpt defines projected debt-service coverage using projected NOI and debt service through maturity. It also includes conditions tied to revenue-account control and defaults under leases or services agreements. Those provisions show how an agreement can connect projected cash flow and contract status to financing conditions; they are examples of negotiated terms, not universal underwriting rules.

For a project that is not yet fully operating, completion status and remaining work can affect the lender’s view of execution and repayment risk. The collateral package may involve real estate, company interests, bank accounts, contracts, equipment, or assignments. The agreement determines which assets are actually pledged and whether the lender can enforce its rights in practice. For campus financing, it is also important to understand whether a lender’s rights extend to the relevant project entities and facilities or are limited to a narrower pool.
What disclosed deal figures do—and do not—tell you
Public disclosures can illustrate actual structures, but they do not establish a typical spread, leverage level, or refinance volume. For example, Iron Mountain’s 2025 Form 10-K lists three specifically identified Virginia project loan facilities at SOFR plus 2.50%, SOFR plus 2.75%, and a fixed 5.60%, with distinct obligors and maturities. Those contractual rates are reported as of December 31, 2025. They are borrower- and facility-specific terms, not current market guidance or an apples-to-apples rate comparison; the benchmark, dates, fees, and other terms matter.
S&P Global Market Intelligence reported that a December 2025 QTS loan was $6.92 billion and involved 11 lenders. That is a reported transaction example, not a market-wide census. The reporting also distinguishes maximum facility commitments from amounts drawn, an important distinction when assessing how much financing is actually outstanding or available.
The available deal examples do not establish a market-wide average for data center loan spreads, leverage, or refinance volume. A reader comparing an offer with a disclosed transaction should first match the date, currency, borrower, project stage, debt form, collateral, benchmark, commitment or drawn status, and extension and repayment terms.
Quick Recap
A practical refinancing sequence
- Map the existing debt. List each facility’s legal borrower, guarantors, drawn balance, undrawn commitment, collateral, lien priority, rate, maturity, amortization, covenants, and any extension notice date.
- Identify the payoff and timing. Calculate the amount and date needed to repay the existing debt, including applicable fees or other contractual obligations. Confirm whether any extension is available and what conditions and notice deadlines apply.
- Document the project’s repayment case. Assemble current operating information, construction or completion status, leases and service agreements, revenue assumptions, and projected debt service. Make clear which figures are actual and which are projections.
- Match financing options to the asset and borrower. Assess whether a project-level term loan, mortgage, corporate facility, securitization, or a combination fits the borrower structure, collateral, cash flows, and required repayment date.
- Test proceeds against the full payoff. Compare net proceeds available at closing with the outstanding debt and transaction costs. Identify an equity contribution or other repayment source if there is a shortfall.
- Check conditions before relying on a commitment. Review conditions to advance, collateral and account arrangements, contract-related requirements, syndication terms, and the distinction between a maximum commitment and drawn funds.
- Compare the entire risk profile. Evaluate interest exposure, fees, maturity, amortization, balloon risk, extension rights, covenants, guarantees, collateral and enforcement provisions—not just the headline coupon.
