Cross-listing can make a foreign company’s shares available to investors in another market, but it does not make every way of buying those shares equivalent. A U.S. investor might buy an American Depositary Receipt (ADR), a foreign share listed directly in the United States, or the company’s share on its home-market exchange through a broker. Each route can differ in custody, costs, disclosures, voting procedures, currency exposure, and practical access to legal remedies.
The first step is to identify the exact security and where it trades. Then check its current filings, deposit agreement if it is an ADR, and the broker’s terms. U.S. regulatory details below reflect SEC guidance; rights and protections also depend on the issuer, share class, market, and applicable law.

What does cross-listing mean for an investor?
Cross-listing generally means a company’s securities can be traded in more than one market. For an investor, the phrase describes access to a market, not necessarily a single type of security or a uniform set of rights. A foreign company may have an ADR traded in the United States, may list its foreign shares directly in a U.S. market, or may have shares available on its home exchange through a broker that handles foreign-market orders. These are distinct routes, and availability depends on the particular security and broker.

What are the differences between an ADR, a U.S.-listed foreign share, and a home-market share?
| Route | What the investor holds or trades | Practical considerations |
|---|---|---|
| American Depositary Receipt (ADR) | A negotiable receipt evidencing an interest in American Depositary Shares (ADSs), which in turn represent interests in foreign shares held through a depositary arrangement. In common usage, “ADR” and “ADS” are often used interchangeably. | Usually trades in U.S. dollars and clears through U.S. systems. The receipt-to-share ratio, depositary services, fees, voting process, and conversion route are specific to the program and should be checked in its deposit agreement. |
| Foreign share listed directly in the United States | The foreign company’s share, rather than an ADR representing deposited shares. | Do not assume that ADR terms or procedures apply. Confirm the share class, market, issuer filings, broker availability, and applicable trading and custody arrangements. SEC Investor.gov gives Canadian companies as an example of foreign companies that may list shares directly in U.S. markets. |
| Share traded on the home-market exchange | The foreign-market share, bought through a broker that can process orders on that market. | Broker access is not universal. Market hours, liquidity, currency conversion, disclosure language, settlement and custody arrangements, and potential legal remedies can differ from the U.S. route. |
The SEC’s Investor.gov guidance on International Investing explains that a U.S. broker may be able to process foreign-market orders, but it does not establish that every broker offers every venue or security. Check access and trading terms with the provider for the specific instrument.
How an ADR relates to the foreign shares
An ADR represents an interest in deposited foreign shares; it is not necessarily a foreign share registered directly in the investor’s own name. The program’s ratio can be one ADR for one underlying share, multiple shares for one ADR, or a fraction of a share for one ADR. The ratio helps explain the quoted price, but it does not by itself tell an investor what voting or conversion rights are available.
The SEC’s Investor Bulletin on American Depositary Receipts, published August 17, 2012, describes ADR holders as able to surrender receipts for the underlying shares through intermediaries active in the foreign market. Whether that is practical for a particular holder can depend on the deposit agreement, participating intermediaries, local-market procedures, and fees. Check the applicable agreement rather than assuming conversion is immediate or available through every broker.

Sponsored and unsponsored ADR programs
A sponsored ADR program is established by the foreign company with a depositary bank. It can provide services such as recordkeeping, forwarding shareholder communications, and paying dividends. An unsponsored ADR can be established without the issuer’s cooperation. The label alone is not enough to determine the investor’s rights or the issuer’s level of involvement: read the specific deposit agreement and current issuer materials.
ADR levels and U.S. reporting
The SEC’s 2012 bulletin describes three broad ADR program levels. Level 1 is an over-the-counter (OTC) trading presence that cannot raise capital and generally does not result in issuer reports being filed on EDGAR. Level 2 is exchange-listed, cannot raise capital through the program, and is subject to annual Form 20-F reporting as described in that bulletin. Level 3 is exchange-listed and can be used to raise capital, with offering registration and Form 20-F reporting. These are general descriptions from a dated bulletin, not a substitute for checking a particular issuer’s current filings and applicable rules.
Can a U.S. investor buy a foreign company through a U.S. broker?
Often there may be more than one possible route, but access is security- and broker-specific. A broker may offer an ADR or a foreign share listed in the United States, and some brokers may process orders on foreign exchanges. Do not infer that a security is available merely because the company is described as cross-listed. Ask the broker for the exact ticker or identifier, listing venue, instrument type, trading permissions, order handling, custody, and any restrictions that apply to the account.
Before placing an order, identify whether the quote is for an ADR or an underlying share. For an ADR, find the depositary ratio and confirm the currency and market. For a foreign-market order, establish which exchange will execute it, what currency will be used, and whether the broker handles any conversion. The same company name can appear in multiple listings or share classes; matching the name alone is not a reliable way to confirm that two securities are interchangeable.

How can cross-listing affect price, liquidity, and currency exposure?
The SEC’s Investor Bulletin on International Investing states that an ADR’s price generally corresponds to the foreign stock’s home-market price adjusted for the ADR-to-share ratio. That relationship does not promise identical prices at every moment. Different market hours can mean the underlying market is closed while the ADR trades, and trading volume, liquidity, and market conditions may differ between venues. The cited SEC guidance does not establish a universal liquidity ranking or a guaranteed arbitrage rule; comparisons require current, security-specific market data.
ADRs trade in U.S. dollars, which can simplify the mechanics of placing a U.S. order, but the company’s value and cash flows may still be exposed to movements in its home currency. Exchange-rate changes can increase or reduce an investor’s return when translated into dollars. Some countries may also restrict or delay currency movements. A broker or depositary may apply conversion charges in relevant transactions, so review the fee terms instead of treating a dollar-denominated quote as an absence of currency risk.
Foreign markets may have lower trading volumes, shorter trading hours, or market operations that differ from those familiar to a U.S. investor. A lower-volume security can make execution more difficult, while a difference in hours can affect when current information is reflected in a quote. These conditions are not uniform across companies or markets. Use up-to-date prices, spreads, trading-volume information, and broker execution terms for the specific venue rather than relying on the fact that a company has more than one listing.

Do ADR holders have voting rights?
There is no single answer for every ADR. An ADR holder’s interest sits within a depositary structure, so the holder may not be the shareholder of record for the underlying home-market share. A sponsored depositary arrangement can forward shareholder communications, and a depositary may charge for voting-related services. Neither point, on its own, proves that an ADR holder has a vote identical to a directly registered shareholder or that a vote can be cast in every circumstance.

For a specific company, examine the deposit agreement, proxy statement or voting materials, the issuer’s charter and share-class terms, and the broker’s instructions. Pay attention to how voting directions must be submitted, any deadlines, and whether the depositary or broker describes limits on forwarding or processing instructions. Rights can vary with the share class, jurisdiction, custody arrangements, and local law. The general SEC materials discussed here do not settle an individual issuer’s voting entitlement.

In the United States, the SEC says foreign companies listed on U.S. exchanges or publicly offering securities in the United States must file reports with the SEC. Its Division of Corporation Finance identifies Forms 20-F and 6-K among reporting forms used by foreign private issuers and notes that exemptions can apply in specified circumstances. Do not assume every cross-listed company follows every reporting requirement that applies to a domestic U.S. issuer.
OTC-traded foreign securities may have different reporting requirements. SEC guidance cautions that they may not be subject to the same reporting requirement as exchange-listed foreign companies or companies making public offerings in the United States. Information may also be less readily available in English for companies whose primary market is abroad. Check the issuer’s SEC filings, if any, and its primary disclosures; confirm whether the security trades on an exchange or OTC market rather than relying on a company description or quote page alone.
Best Value
Investor protections and remedies can also depend on the issuer’s home jurisdiction and the terms of the investment. SEC Investor.gov warns that a U.S. investor may be unable to seek certain remedies as a private plaintiff in U.S. courts or to collect a U.S. judgment against a non-U.S. company. This is a jurisdictional risk, not a claim that an investor has no remedy at all. The location, governing law, and practical enforceability of a claim must be assessed in the circumstances of the particular issuer and security.

The SEC’s January 9, 2023 investor bulletin on the Holding Foreign Companies Accountable Act (HFCAA) describes a U.S. trading prohibition following identification of an issuer for two consecutive years under the process described at that time. The bulletin warns that a prohibition can severely limit opportunities to sell. Issuer status and relevant SEC, PCAOB, and exchange information are time-sensitive; check current official materials for the specific company before relying on an assumption that trading will remain available. The general bulletin does not establish the current status of any particular issuer.
What fees should investors check?
For an ADR, the depositary bank may charge a custody fee under the deposit agreement and may charge other fees connected with dividends, currency exchange, voting, or other services. Depending on the arrangement, a fee may be deducted from dividends or passed through the custody chain. The SEC advises investors to ask their broker about applicable charges and review the specific Form F-6 deposit agreement.
Other possible costs depend on the broker, security, and market. Check for broker commissions, foreign-exchange charges, taxes, conversion costs, and exchange or market charges. These are not universal rates, and the relevant schedule can change. The SEC’s 2012 bulletin gave an example of a $20–$50 fee for 1,000 ADRs; that historical illustration is not a current quote or standard fee schedule and should not be used to estimate a present transaction.
How to evaluate a specific cross-listed security
- Identify the instrument and venue. Confirm whether the security is an ADR, a foreign share listed directly in the United States, or a home-market share. Verify the exchange or OTC venue and the exact share class, not just the issuer name.
- For an ADR, read the deposit agreement. Find its ADS-to-share ratio, applicable fees, dividend and currency handling, voting procedures, and terms for surrendering receipts for underlying shares. Confirm whether the practical conversion route is available to you.
- Review current issuer disclosures. Search the issuer’s applicable SEC filings and its primary disclosures. Note the reporting forms and any stated exemptions; do not infer reporting status solely from an ADR level or the existence of a U.S. quote.
- Confirm account access and execution details. Ask the broker whether it accepts orders for the specific security and market, and check commissions, foreign-exchange terms, settlement and custody arrangements, order restrictions, and any relevant trading deadlines.
- Assess market and currency conditions. Compare current trading hours, volume, spreads, and prices across the relevant venues. Account for the underlying currency exposure and any currency conversion or movement constraints that may apply.
- Check voting and corporate-action instructions. Review the relevant proxy or voting materials and broker deadlines. For ADRs, determine how instructions are transmitted through the depositary and whether a related fee applies.
- Verify current trading status. If a trading restriction or delisting risk is relevant, consult current SEC, PCAOB, and exchange information for the issuer rather than relying on an old general notice.
These checks separate the questions that the word “cross-listed” can obscure: what instrument is being purchased, where and how it trades, what information is filed, what shareholder procedures are available, and which costs and legal arrangements apply. No one feature—such as a U.S.-dollar quote or a U.S. trading venue—answers all of them.
