How Bitcoin ETF Shares Track Bitcoin—and Why They Can Diverge

Bitcoin ETF shares reflect a fund’s bitcoin exposure, but share price, NAV, and a live bitcoin quote are not the same measure. Here’s why they can diverge.

A Bitcoin ETF share can give you exposure to bitcoin without matching every bitcoin quote or trading at exactly the fund’s net asset value (NAV). The key is to distinguish three prices: bitcoin’s market price, the fund’s NAV per share, and the share’s exchange price. U.S. spot bitcoin products use bitcoin holdings and a stated reference rate to calculate NAV, while investors buy and sell shares at market prices that can be higher or lower.

“Bitcoin ETF” is common shorthand. The U.S. spot products discussed here are exchange-traded products whose shares are registered under the Securities Act; they are not registered investment companies under the Investment Company Act of 1940, as described in an SEC filing from January 2026.

How does a Bitcoin ETF track Bitcoin?

A U.S. spot bitcoin exchange-traded product (ETP) holds bitcoin in custody and issues exchange-listed shares representing a fractional beneficial interest in the fund’s net assets. Its goal is generally to reflect a bitcoin reference rate, less expenses and liabilities—not to make each share transaction occur at the exact price of bitcoin.

  1. A reference rate is calculated. A provider uses eligible spot-market data and a defined methodology, which can specify the venues, aggregation method, observation period, and calculation time.
  2. The fund values its assets. The fund applies its stated reference rate to its bitcoin holdings, then accounts for other assets, expenses, and liabilities to calculate NAV per share. An SEC filing from January 2026 describes this structure and says the shares are valued daily using the reference-rate methodology.
  3. Shares trade on an exchange. Investors trade shares with one another at the current market price during market hours. That price is determined by supply and demand and may differ from NAV.

For example, the iShares Bitcoin Trust identifies the CME CF Bitcoin Reference Rate – New York Variant as its benchmark on its product page. Other products can use different benchmarks and calculation times, so a fund’s NAV need not equal the quote displayed by a particular bitcoin exchange.

Which three prices should you keep separate?

Measure What it means Why it may differ
Bitcoin market price A quote from a particular exchange or composite source at a particular time. There is no single universal live bitcoin price that every fund must use.
Fund NAV per share The value attributed to each share using the fund’s holdings, reference rate, expenses, and liabilities. The benchmark and valuation time may not match the quote or timestamp you are checking.
Exchange share price The price at which shares are bought and sold on the stock exchange. Supply and demand can push it above or below NAV, and bid/ask spreads affect the price available to a buyer or seller.

When someone says a fund “tracks bitcoin,” they usually mean that its NAV is designed to reflect a bitcoin benchmark, after costs. That does not promise that the share price will equal NAV at every moment or that its intraday move will match a live BTC quote exactly. SEC-filed prospectuses warn that share market prices may differ from NAV; see the iShares Bitcoin Trust prospectus filed in July 2025 and the Bitwise Bitcoin ETF prospectus filed in January 2024.

Why does a Bitcoin ETF trade at a premium or discount to NAV?

A premium means the exchange share price is above NAV; a discount means it is below. Large basket creations and redemptions connect the primary market, where authorized participants transact with the fund, to the exchange market. When shares are meaningfully mispriced, market participants may have an incentive to buy the cheaper side and sell the more expensive side. That arbitrage pressure can help bring the share price and NAV closer together.

It is not a guarantee. Creating or redeeming baskets depends on authorized participants being willing and able to act and on the operational process working. The iShares prospectus warns that interruptions or difficulties in creations and redemptions can impair arbitrage and widen premiums or discounts. BlackRock’s annual filing also warns that ineffective arbitrage or a lack of authorized-participant participation can leave investors buying above or selling below NAV.

Why doesn’t my ETF match the Bitcoin price?

The exchange price and NAV are different measures

A share quote is an exchange price; NAV is calculated using the fund’s valuation process. If you compare an intraday share quote with a daily NAV, or compare either one with a bitcoin price from a different time or venue, the figures can appear out of step even when the fund is operating as described.

Creation, redemption, or arbitrage can face friction

The alignment mechanism depends on basket transactions and functioning operations between shares, cash, and bitcoin. If an authorized participant does not take part or the process is interrupted, arbitrage pressure may weaken and a premium or discount may persist.

Fees and transaction costs reduce returns

Sponsor fees and other fund expenses or liabilities reduce the bitcoin value attributable to a share over time. Trading bitcoin in connection with basket activity can also create transaction costs. A SEC-filed BITB disclosure from 2025 says transaction costs associated with basket creations and redemptions affect performance. BlackRock’s IBIT product page listed a 0.25% sponsor fee as of October 7, 2026; that is an issuer- and product-specific example, not a standard fee for all bitcoin ETPs, and current fees should be checked against the product’s latest disclosures.

Benchmarks and timing can differ

Funds may use different eligible trading venues, aggregation methods, observation windows, and calculation times. For example, an SEC filing from 2025 describes a benchmark observation window from 3 p.m. to 4 p.m. ET. A reference rate built from that window may not match a quote taken at another time or from one exchange.

Why is my Bitcoin ETF down when Bitcoin is up?

First check whether you are comparing the same time period and the same kind of price. Bitcoin may be up versus one exchange quote while the fund share is down versus a prior closing price because of a different benchmark window, a change in the share’s premium or discount, or a comparison that crosses market hours. Over longer periods, fees, other expenses, liabilities, and transaction costs can also cause the fund’s NAV return to trail its reference rate. Those explanations do not by themselves establish that a fund has failed to track its stated benchmark.

How to check a reported tracking difference

  1. Define the comparison. Decide whether you are checking the share’s market price, NAV, or return over a period.
  2. Match dates and times. Compare like with like, including the same trading dates and relevant timestamps. Note whether the share figure is a closing price, bid/ask midpoint, or another measure.
  3. Use the fund’s own benchmark. Find the benchmark and valuation method in its current prospectus, then compare NAV with that reference rather than with an unrelated live quote.
  4. Account for costs. Review the applicable sponsor fee, other expenses or liabilities, and any disclosed transaction costs over the period being assessed.
  5. Check for market frictions. Look at the measured premium or discount and bid/ask spread, and check whether the fund has disclosed a creation or redemption disruption.

For comparisons between funds, examine their benchmark and calculation timing, fees and expenses, basket mechanics and transaction costs, premium/discount measurement, bid/ask spreads, and custody disclosures. A one-day premium or discount alone is not a sound basis for ranking funds; the cited filings do not establish a universal threshold for when a divergence is abnormal.

What a spot bitcoin ETP does—and does not—give you

A spot bitcoin ETP provides exchange-traded exposure through shares in a fund that holds bitcoin. It is not the same as directly holding bitcoin: share investors own securities representing an interest in fund assets, rather than bitcoin in a personal wallet. The product’s benchmark, fee, custody arrangements, and creation/redemption procedures are specific to that fund, so its current prospectus and issuer disclosures are the right places to check those terms.
