A fund organized as a regulated investment company (RIC) may instead report taxable distributions. Check the specific fund’s prospectus and tax documents for the year in question.
Why the fund’s structure matters
“Cryptocurrency ETF” is often used as a catch-all, but exchange-traded products with crypto exposure can have different legal structures and tax reporting. The SEC’s September 2024 Investor Bulletin explains that spot bitcoin and ether exchange-traded products are commodity trusts, not registered investment companies under the Investment Company Act of 1940, despite their common description as ETFs. That distinction means investors should not assume the usual mutual-fund tax model applies.

| Structure | Potential federal tax treatment | What to check |
|---|---|---|
| Spot commodity trust treated as a grantor trust | Under the issuer’s stated grantor-trust position, investors are treated as owning a pro rata share of trust assets and may be allocated trust income and expenses. | The fund’s prospectus tax section and annual tax statement. The iShares Bitcoin Trust prospectus states this position for that trust; its tax opinion is not binding on the IRS. |
| RIC | Distributions may be categorized as ordinary income, capital-gain dividends, or return of capital. In one SEC-filed prospectus, capital-gain dividends are generally treated as long-term capital gains, while return of capital generally reduces basis. | The particular fund’s distribution notices and annual tax forms. The cited prospectus is an example, not a rule for all funds or years. |
| Partnership or another structure | Not stated in the reviewed IRS, SEC, and fund materials for a specific product. | Use that product’s prospectus and tax reporting; do not infer its treatment from a spot trust or RIC. |
The iShares prospectus describes its sponsor’s intended treatment of that trust. It also cautions that the IRS is not bound by the tax opinion and may disagree. That is an issuer’s stated position, not a blanket IRS ruling for every crypto-linked product.

What happens when you sell ETF or ETP shares
If you hold shares as a capital asset, calculate the difference between the amount realized from the sale and your adjusted basis in the shares. The IRS’s general capital-asset guidance treats a holding period of one year or less as short-term and a period of more than one year as long-term. The applicable tax outcome depends on your full circumstances; there is no single rate that applies to every investor.
#1 Best Overall
- Establish basis. Keep purchase confirmations and records of any basis adjustments, including any return-of-capital distributions reported by a RIC.
- Determine proceeds and holding period. Use the sale records and the dates you acquired and disposed of the shares.
- Report the disposition. IRS instructions generally direct taxpayers to report capital-asset dispositions on Form 8949 and Schedule D. Use the current-year form instructions and reconcile broker reporting with fund tax information.
These steps address your sale of shares, not necessarily every tax item connected with the fund. For grantor trusts, trust-level transactions may also matter.
Why tax items may arise even if you did not sell shares
Under a fund’s grantor-trust position, shareholders may be treated as directly owning their share of the underlying assets and as receiving their share of trust income, if any, and incurring their share of expenses. If the trust sells crypto to pay expenses, that activity may produce tax items allocated to shareholders even when an investor has not sold shares. The exact treatment and documents depend on the fund and tax year.

Review the fund’s tax statement as well as your broker’s forms. Do not assume that a consolidated broker Form 1099 captures every relevant trust-level item unless the fund’s reporting materials support that conclusion. If the documents appear inconsistent, resolve the difference using the fund’s tax information and, when needed, advice based on your circumstances.
How distributions from a RIC can affect your return
A crypto-related RIC may report distributions in more than one tax category. In the SEC-filed prospectus cited here, capital-gain dividends are generally treated as long-term capital gains, and return-of-capital distributions generally are not taxable when received but may reduce the investor’s share basis. That treatment is specific to the fund’s disclosures and applicable tax year; use the annual forms and distribution notices for the fund you own rather than applying the example to another product.
Does owning a crypto ETF make the digital-asset checkbox “Yes”?
Not automatically on the evidence available here. IRS materials describe the digital-asset question in terms of receiving digital assets or selling, exchanging, or otherwise disposing of a digital asset or a financial interest in one. They do not conclusively settle whether every sale of an ETF or ETP share requires a “Yes” answer. Apply the wording of the relevant year’s tax form to the specific transaction and facts; seek qualified tax advice if the answer is unclear. Do not assume that merely owning a crypto-themed fund share necessarily makes the answer either “Yes” or “No.”
What the staking safe harbor does—and does not—say
IRS Revenue Procedure 2025-31, published in Internal Revenue Bulletin 2025-48 on November 24, 2025, provides a safe harbor for certain trusts that otherwise qualify as investment trusts and grantor trusts to stake digital assets without jeopardizing that treatment, if the stated conditions are met. It also allows a limited period for an existing trust to amend its agreement to adopt the requirements. This does not establish that every spot trust stakes assets or that every staking arrangement qualifies.
