Fintech governance is the system for deciding who is accountable, how risks are controlled, and how a technology-enabled financial service complies with applicable law and treats customers. In the United States, responsibility depends on the organization, the activity, and the relationships involved—not simply on whether a company calls itself a fintech. What does governance in fintech mean for consumers and businesses in the USA? For consumers, it can shape clear terms, complaint handling, and the use of personal information. For businesses, especially banks working with vendors, it means assessing and overseeing those relationships throughout their lifecycle.
What fintech governance covers
“Fintech” describes technology used to provide financial products and services. Governance is the arrangement of people, policies, controls, and oversight that determines how those services are designed and operated, who monitors their risks, and who responds when something goes wrong.

It can include internal decision-making and oversight of outside providers. Depending on the service, relevant concerns may include compliance, operational continuity, information security, customer treatment, and whether product terms and communications are understandable. Governance is not a single certification or one federal rule that applies identically to every fintech company.

Who is responsible when a bank uses a fintech company?
A bank does not shed its own responsibilities by outsourcing work. The Federal Reserve, FDIC, and OCC stated in their June 2023 Interagency Guidance on Third-Party Relationships: Risk Management: “A banking organization’s use of third parties does not diminish its responsibility to meet these requirements to the same extent as if its activities were performed by the banking organization in-house.”

That principle applies to the bank’s obligations; it does not mean every fintech firm has the same legal duties as a bank. A fintech’s obligations depend on what it does and which federal and state laws apply. The relevant oversight can vary with an institution’s charter and regulator, the product or activity, and how the parties divide the work. The Federal Reserve’s SR 23-4 letter notes that fintech relationships can have novel structures and varying degrees of interaction with bank customers.
How banks oversee fintech vendors
The 2023 interagency guidance describes third-party risk management as a lifecycle rather than a one-time onboarding check. The bank should tailor its approach to the risks of the relationship and its own size, complexity, and risk profile.

- Plan the relationship. Define the business purpose, structure, customer touchpoints, and risks before selecting a provider. Consider how important the service is to the institution and what could happen to customers or operations if it fails.
- Conduct due diligence and select the provider. Assess the vendor’s ownership, legal authority, relevant expertise, controls, and capacity to meet applicable requirements. Consider its access to customer information or bank systems, its customer-facing role, and its use of subcontractors.
- Set expectations in the contract. Make responsibilities, service standards, reporting and information access, audit arrangements, and remediation duties clear. Contract terms should support the bank’s ability to oversee the service and address problems.
- Monitor the relationship. Track service performance, compliance, complaints, security, and operational risks while the arrangement is active. Due diligence at the start does not replace ongoing monitoring.
- Escalate, remediate, and plan an exit. Route significant issues to appropriate management and board oversight, require corrective action where needed, and plan for transition or termination if the relationship fails or no longer fits the institution’s risk appetite.
The guidance assigns a bank’s board ultimate responsibility for oversight of third-party risk management and for holding management accountable. Management implements the policies and practices. Oversight should be proportionate: a critical service with substantial customer impact or access to sensitive systems may warrant more rigorous controls than a lower-risk arrangement.
What consumers may notice
Consumers do not need to manage a bank’s vendor inventory to feel the effects of governance. It can influence whether fees and terms are understandable, whether complaints are tracked and addressed, how customer information is handled, and whether a company remains accountable when a partner delivers part of a service.

The CFPB’s UDAAP examination procedures direct examiners to consider risks of harm specific to products such as deposits and lending. They also address product features that can make overall costs or risks difficult for consumers to understand. That makes customer impact and clarity relevant governance questions, not just back-office concerns.
A more specific example concerns contract language. In Circular 2024-03, the CFPB said covered persons and service providers may violate the Consumer Financial Protection Act’s prohibition on deception by including consumer financial contract terms that applicable law makes unlawful or unenforceable. The point is not that every disputed term or fintech contract violates the law; it is that reviewing terms for legality and for the impression they give consumers is part of responsible oversight.

What businesses can use as a governance checklist
For a bank or other business evaluating a fintech or vendor relationship, the following questions translate the interagency guidance into practical checks. They are not a complete compliance program or legal advice.
The Tool Desk
Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →- Is the purpose, structure, customer role, and risk of the arrangement understood before it begins?
- Has the provider’s ownership, authority, expertise, control environment, and compliance capability been assessed?
- Does the contract clearly address responsibilities, performance, information access, reporting or audit needs, and remediation?
- Are service performance, compliance, customer complaints, security, and operational risks monitored throughout the relationship?
- Are significant problems escalated to the right managers and board oversight, with a workable continuity, transition, or termination plan?
When comparing relationships, consider their criticality, customer impact, access to systems and information, subcontracting, vendor capability, contract rights, and exit options. The guidance calls for tailoring controls to the relationship; it does not prescribe an identical checklist or level of oversight for every provider.

What has changed in U.S. guidance
The Federal Reserve, FDIC, and OCC issued the interagency third-party risk management guidance in June 2023. The Federal Reserve’s 2023 SR 23-4 letter provides additional context on fintech relationships. In 2024, the Federal Reserve also published a voluntary community-bank guide; its letter notes that the guide may be useful beyond community banks.
On September 11, 2026, the Federal Reserve, FDIC, NCUA, and OCC requested comment on proposed revisions that would revise and replace the existing third-party risk management guidance. The revisions were a proposal, not final guidance, in the official materials available through October 7, 2026.
Also on September 11, Federal Reserve Governor Lisa D. Cook welcomed a fresh look at the framework. She raised possible needs for greater specificity on cybersecurity and on the allocation of responsibilities for consumer protection, records management, and anti-money-laundering in bank-fintech partnerships. Those were her views in a statement, not adopted requirements.

The applicable rules and oversight depend on the entity and activity, as well as relevant state and federal law.
