Companies may need a digital-asset license when their activities fall under financial-services rules in the places where they operate or serve customers. There is no single worldwide license triggered simply by calling a business a crypto company: regulators look at the assets involved, what the company does, its relationship with customers, and any existing authorization or exemption.
Which types of companies should assess licensing?
The relevant question is not whether a company uses blockchain technology, but whether it performs a regulated activity involving a particular asset in a particular jurisdiction. These business models merit specific review:

| Business activity | Why licensing may be relevant | Important boundary |
|---|---|---|
| Operating a crypto-asset trading platform | In the EU, operating a platform for crypto-asset trading is a distinct service covered by MiCA’s crypto-asset service provider (CASP) framework. An applicant intending to provide it must address platform operating rules and systems to detect market abuse. | Whether a particular service is covered depends on its actual design and the assets involved. |
| Brokerage, dealing, or exchange | MiCA’s application framework addresses exchange of crypto-assets for funds or for other crypto-assets. | An intermediary’s role and relationship with customers matter; a business label alone does not establish which service it provides. |
| Custody or wallet services | A company that safeguards or controls clients’ crypto-assets, or the means of access to them, should assess whether it provides custody and administration for clients. Under MiCA, an applicant proposing custody must provide a custody policy. | Calling a product “non-custodial” does not settle whether the company actually controls assets or access. |
| Transfers for clients | A business arranging or carrying out crypto-asset transfers on behalf of clients should assess whether that activity is a covered service. | Not every blockchain transaction is a service performed by a company on behalf of another person. |
| Issuing certain tokens | Under MiCA Article 18, an undertaking intending to offer asset-referenced tokens to the public or seek their admission to trading must submit an authorization application, subject to the regulation’s scope and exceptions. | This is a specific rule for asset-referenced tokens, not a blanket authorization requirement for every token issuer. |
| Providing an interface for crypto-asset securities transactions in the United States | A user interface that prepares transactions in crypto-asset securities may raise broker-dealer registration questions under U.S. securities law. | The SEC Division of Trading and Markets’ April 13, 2026 statement is an interim staff view concerning certain interfaces; it is not a comprehensive licensing rule for all digital-asset businesses. |
MiCA is the clearest framework addressed here, but it is an EU framework, not a global rulebook. Its CASP regime applies to covered crypto-asset services not covered by other EU financial-services legislation. A business already regulated under another listed EU regime may be able to provide certain crypto-asset services through a route specified in MiCA, subject to the applicable conditions.

The phrase is often used as shorthand, not as the name of one universal permit. A company may need authorization for one activity, registration or approval under another financial-services regime, or no license for a particular activity—depending on local law and the facts. One company can also perform several services that require separate analysis.

In the EU, MiCA Article 59 says a person generally must not provide covered crypto-asset services within the Union unless it is an authorized CASP or qualifies through one of the specified routes for certain already regulated entities. That rule is bounded by MiCA’s scope and its conditions; it should not be read as requiring identical authorization from every business that touches a digital asset.
How to assess a company’s activities before choosing a licensing route
- Map the jurisdictions. Identify where the company is established, where its staff and operations are located, and where it serves or solicits customers. Requirements can differ across borders.
- Classify the asset. Determine whether the asset falls within a crypto-asset regime or may instead be a security, e-money token, payment instrument, or another regulated financial product. The classification must be assessed under the relevant jurisdiction’s rules; the name or technical format of a token does not settle it.
- Describe each service in operational terms. Record whether the company issues, offers, lists, matches, executes, exchanges, arranges, holds, controls, transfers, or advises on assets. Do this for each product and customer journey rather than relying on the company’s marketing description.
- Establish the company’s role and control. Determine whether it acts on behalf of clients, possesses or controls private keys or other access methods, or provides software or infrastructure without performing the customer-facing activity. The practical arrangement matters more than a “custodial” or “non-custodial” label.
- Check existing authorizations and exceptions. Identify any relevant financial-services authorization, statutory exemption, or transition provision and confirm whether it covers the specific activity, jurisdiction, and customers. In the EU, certain already regulated entities may use a route under MiCA, but only subject to its conditions.
Does an issuer need a license just to deliver newly issued tokens?
Not necessarily for custody or transfer. In an answer published on June 18, 2026, the European Securities and Markets Authority said that when an issuer sends newly issued tokens directly from primary issuance to purchasers’ wallets, that delivery alone does not make the issuer a provider of custody or transfer services on behalf of another person.

This is a narrow point about direct delivery. It does not determine whether the issuer needs authorization for another activity, nor does it resolve the status of an exchange, a custodial wallet, brokerage, or a post-issuance transfer service.
What does EU authorization involve?
MiCA’s CASP application is tied to the services the applicant intends to provide. Applicants must describe intended services and business operations and provide information on prudential safeguards and governance. Some requirements are service-specific: a custody applicant needs a custody policy, while an applicant seeking to operate a trading platform must address its operating rules and arrangements to detect market abuse.

That makes the business-model assessment consequential: the company needs to identify its activities accurately before it can determine which application materials apply. An existing authorization may offer a permitted route for some entities, but it is not a blanket substitute for checking MiCA’s requirements.
What the U.S. example does—and does not—establish
The SEC Division of Trading and Markets’ April 13, 2026 interim staff statement addresses broker-dealer registration under Section 15(a) of the Securities Exchange Act for certain interfaces used to prepare transactions in crypto-asset securities. It illustrates why an interface provider cannot assume that being a software business ends the analysis when its product is involved in securities transactions.

The statement is an interim staff view while the Commission considers regulatory issues. It does not establish a single federal “digital asset license” for U.S. crypto businesses, and it does not resolve state money-transmission or money-services rules, banking, commodities, or other federal and state requirements. The applicable analysis depends on the asset, the service, and the jurisdictions involved.
