Cookie Consent Banners: When Missing Consent Creates GDPR Risk

A cookie banner is not mandatory for every website, and its absence does not automatically mean a €20 million fine. The real risk is using consent-requiring tracking without valid consent.

Not having a cookie banner does not automatically trigger a €20 million fine. The risk arises when a site uses cookies or similar tracking that require consent without obtaining valid consent. Under the GDPR, €20 million is one statutory maximum—not a routine penalty—and for an undertaking the alternative ceiling is 4% of its total worldwide annual turnover in the preceding financial year, whichever is higher.

What the €20 million figure actually means

GDPR Article 83(5) sets that maximum for specified infringements, including breaches of basic processing principles and consent conditions. It does not prescribe an automatic fine for omitting a banner. Regulators must assess each case and impose measures that are effective, proportionate and dissuasive. The European Data Protection Board’s fines guidance summarizes the ceiling; the GDPR text specifies the applicable infringements and turnover calculation.

Enforcement can also involve warnings, reprimands or orders to change processing, rather than a fine. The European Commission says authorities consider the circumstances, including an infringement’s gravity and duration, whether it was intentional or negligent, steps taken to mitigate harm and cooperation with regulators. See the Commission’s overview of enforcement and sanctions. The euro amount is a statutory ceiling; it should not be converted into a fixed dollar figure without specifying an exchange rate and date.

Does every website need a cookie banner?

No. Cookie rules do not amount to a universal requirement that every site display a banner. Article 5(3) of the ePrivacy Directive, as implemented in national law, addresses storing information on or accessing information from a user’s device. GDPR applies to personal-data processing and governs consent conditions when relevant. The precise obligations depend on the technology, its purpose, the jurisdiction and national implementation.

Ireland’s Data Protection Commission (DPC) says a site using only cookies that do not require consent may not need a banner or consent-management tool. It still recommends making information clear before cookies or tracking are used, and disclosing strictly necessary cookies in a cookie policy or privacy notice. Its guidance answers whether a website has to have a banner.

The practical question is therefore not simply whether a banner exists. It is whether each technology requires consent, whether the site has obtained that consent before using it, and whether the visitor receives a real, understandable choice.

What makes consent meaningful in a banner?

Where consent is required, a visitor should be able to understand the purposes and refuse as easily as they can accept. France’s data protection authority, CNIL, says the banner should clearly identify purposes and explain how to reject cookies; rejecting should be as easy as accepting. This is guidance from a national regulator, not a universal design specification for every country.

  • Explain the relevant purposes in plain language before consent-requiring cookies or tracking are set.
  • Make the reject option apparent and comparably easy to find and use as the accept option.
  • Do not bury refusal in dense text, make it visually subordinate, or repeatedly foreground acceptance in a way that undermines a genuine choice.
  • Assess appearance in context. CNIL says it does not impose one universal color or contrast standard, but a design must not mislead visitors.

In a notice dated 12 December 2024, CNIL described France-specific cases involving reject links deemphasized by color, size or style; refusal options that were not readily apparent; insufficient visual separation; and multiple accept options paired with one ambiguous refusal. CNIL ordered the publishers to change their banners so consent would be valid, giving them one month. These were corrective orders concerning particular designs—not findings that every missing banner results in the GDPR maximum.

A practical way to assess your site

  1. Inventory the technologies. Identify cookies, pixels, SDKs and other means of storing information on or accessing information from a user’s device. Record their purposes and when they operate.
  2. Separate necessary from consent-requiring uses. Do not assume a technology is exempt merely because it is common or supplied by a third party. Assess the purpose and applicable national rules.
  3. Give information before relevant use. Explain purposes and how to refuse before consent-requiring storage or access occurs.
  4. Check the choices in the actual interface. Confirm that accepting and rejecting are both clear and that refusal is not hidden, ambiguous or made harder to select.
  5. Keep a record of how consent and configuration work. This is a sensible compliance practice; the cited guidance does not prescribe a particular log format or retention period.
  6. Get jurisdiction-specific advice where the stakes warrant it. A qualified privacy professional or counsel can assess national implementation, audience geography and the technologies in use.

How widespread banner enforcement has been

CNIL’s 2023 summary of the EDPB Cookie Banner Task Force says 18 EU/EEA data protection authorities received several hundred NOYB complaints about banner design between May 2021 and August 2022. It also reports that a vast majority considered the absence of a reject or refuse option at the same level as accept contrary to ePrivacy requirements. The task force’s work included 13 working meetings. These figures describe that historical, coordinated review; they are not a current complaint count, a survey of all websites or a forecast of penalties.

Because ePrivacy rules are implemented nationally and GDPR obligations depend on the processing involved, one regulator’s enforcement position should not be treated as a complete checklist for every country. Review the rules that apply where your site operates and where its audience is located.
