Possibly—but a spinoff is not, by itself, a fix for the performance problems Johnson & Johnson has identified. The proposed separation would remove Orthopaedics from J&J’s MedTech portfolio and give DePuy Synthes a more focused agenda. But J&J says the areas needing improvement are Cardiovascular and Surgery outside the U.S., which would remain in the company. As of October 13, 2026, J&J was leaning toward a spin and remained on track for a mid-2027 separation; neither the transaction nor its final terms were settled.
What J&J means by a MedTech performance problem
J&J has not said that all of MedTech is failing. In prepared remarks on October 13, 2026, Executive Vice President and CFO Joe Wolk said: “We are clear on where MedTech performance needs to improve, specifically Cardiovascular and Surgery outside the U.S., and are taking action to strengthen results.” He also described the segment’s underlying fundamentals as strong. A separate financial measure shows pressure, but needs context. J&J’s fiscal Q2 2026 Form 10-Q reported MedTech income before tax at 13.2% of sales, down from 14.1% in the same period a year earlier. The filing attributed the decline primarily to $0.3 billion in Orthopaedics separation-related costs, higher research and development and commercial investment, and tariffs; operational drivers and favorable currency in cost of products sold partly offset those factors. J&J announced its intent to separate Orthopaedics in October 2025. The business would operate as DePuy Synthes. The company said it wanted to give the orthopaedics business and the remaining portfolio greater strategic and operational focus, while shifting the continuing MedTech mix toward higher-growth and higher-margin markets. J&J’s planned remaining MedTech businesses are Cardiovascular, Surgery, and Vision, alongside its Innovative Medicine segment. Orthopaedics generated approximately $9.2 billion in sales in fiscal 2024, making the proposed portfolio change substantial. By October 13, 2026, J&J said it was evaluating separation vehicles, leaning toward a spin, and remained on track for mid-2027. Chairman and CEO Joaquin Duato said the company was leaning toward a spin as the best option to create long-term value for shareholders, citing DePuy Synthes’ performance and the momentum of its leadership team. How a spin could help—and what it cannot do on its own
Potential benefit: sharper focus
A standalone DePuy Synthes could direct leadership attention and capital toward orthopaedics, while J&J could focus its remaining MedTech portfolio on Cardiovascular, Surgery, and Vision. That separation of agendas may make priorities and accountability clearer. It is a plausible strategic benefit, not a demonstrated financial result: the available company disclosures do not quantify how much a spin would change growth or margins.

Limit: the named performance challenges stay with J&J
J&J’s specifically identified improvement areas—Cardiovascular and Surgery outside the U.S.—are not part of the Orthopaedics separation. Improving them still depends on execution in the continuing businesses, including product adoption, commercial performance, regional results, and returns on investment. A change in portfolio boundaries cannot substitute for those operating improvements.
Management has described corrective action for Abiomed and continued investment in clinical evidence. It has also presented OTTAVA commercialization as a longer-term opportunity. These are forward-looking plans and opportunities, not proof that results have improved. J&J’s October 13, 2026 remarks

Costs and execution matter to the verdict
The separation itself has costs: J&J cited $0.3 billion in Orthopaedics separation-related costs among the factors weighing on the fiscal Q2 2026 MedTech income-before-tax margin. The company was also restructuring Surgery, simplifying and focusing operations by exiting non-strategic product lines and optimizing selected sites. Its 2025 annual report estimated total program costs of $0.9 billion to $1.0 billion and expected substantial completion by fiscal year-end 2026. J&J had not disclosed final transaction terms, a distribution ratio, debt allocation, or a standalone financial profile in the cited updates. Without those details, investors cannot yet assess precisely how much overhead DePuy Synthes would carry independently or how the separation would affect the finances of either company.

What evidence would show whether it worked?
The strongest test is operating performance after the separation, not the announcement or the change in portfolio mix. Readers should distinguish performance of the continuing J&J MedTech businesses from DePuy Synthes’ independent results, and assess each against its own starting point.

- Transaction disclosure: Evaluate the final structure and financial details once J&J announces them; they are not settled in the October 13, 2026 update.

Whether the move succeeds will depend on execution in those franchises as well as on the performance of DePuy Synthes as an independent company.
