AI Investment Advice Isn’t Automatically Regulated: How to Check

An AI label is not a regulatory status. Learn how to check a provider’s registration, understand which duties may apply, and see what registration and SIPC do—and do not—protect.

An “AI-powered” label does not tell you whether a service is legally acting as an investment adviser, a broker-dealer, or neither. In the United States, the provider’s actual role and registration matter. Some online automated advisers are registered investment advisers and have legal obligations; that does not mean every chatbot or investing tool is regulated the same way—or that registration protects you from losses.

Is an AI investment advisor regulated?

Sometimes. The SEC describes robo-advisers as investment advisers that provide services online using computer algorithms, often with limited human interaction. A robo-adviser registered as an investment adviser is subject to the Investment Advisers Act and its obligations. The fact that a service uses AI, however, does not by itself establish that it is an investment adviser, that it must register, or what standard applies.

Look at what the provider actually does: Does it recommend or manage investments for you, execute trades, or provide software or general information without personalized advice? Also identify the legal entity providing the service, not just the app or product name. This article covers the U.S. federal framework described in SEC materials; a provider’s status and any state or non-U.S. requirements require a case-specific check.

Provider role Relevant federal framework What the label does not establish
Registered investment adviser, including a registered robo-adviser Investment Advisers Act obligations, including fiduciary duties Registration does not guarantee good advice, returns, or protection from losses.
Broker-dealer making a covered recommendation to a retail customer Regulation Best Interest applies to covered recommendations The use of an AI feature does not by itself determine whether the firm is acting as a broker or adviser.
Chatbot, software tool, or other service whose role is unclear Cannot be determined from the “AI” description alone Do not assume it is registered, exempt, or subject to the same rules as a registered adviser.

SEC amendments issued in 2024 address the exemption for certain internet investment advisers and Form ADV. Online delivery is not, by itself, proof that a provider qualifies for an exemption. Check the actual firm and its current disclosures rather than inferring its status from how the service works.

What duties apply to a registered investment adviser?

SEC staff describes an investment adviser’s fiduciary duty as including duties of care and loyalty. The duty of care includes giving advice in the client’s best interest, based on a reasonable understanding of the client’s objectives. The duty of loyalty requires the adviser to eliminate conflicts or disclose them fully and fairly so the client can give informed consent. Advisers must also adopt and implement compliance policies and procedures reasonably designed to prevent violations.

Those duties apply to the adviser’s conduct; they do not certify that an algorithm is accurate or make every investment outcome favorable. The applicable standard also depends on the provider’s role. SEC staff says Regulation Best Interest applies to broker-dealers when they make covered recommendations to retail customers, while the Advisers Act fiduciary standard applies to investment advisers.

How can I check whether an investment adviser is registered?

  1. Identify the legal name. Find the entity named in the service’s account agreement, disclosures, or Form ADV. A product or app name may differ from the firm’s legal name.
  2. Search the SEC’s Investment Adviser Public Disclosure database. Look up the firm or individual in IAPD. The SEC identifies IAPD as a resource for checking registration or licensing status and disciplinary history, including for robo-advisers.
  3. Check that the record matches. Compare the legal name and the services described in the record with the service you are considering. Do not treat an AI claim, website, or app listing as a substitute for checking the provider.
  4. Read the current Form ADV and service disclosures. Review what the firm says it does, how it charges, and what conflicts and risks it discloses. A database record is a starting point, not an endorsement of the provider or its algorithm.

What should you inspect before trusting automated advice?

SEC investor guidance and staff materials point to practical questions about the service’s business model, algorithm, information inputs, human involvement, investment approach, costs, and conflicts. Use the answers to judge whether the service is understandable and suitable for your needs—not as a guarantee that a disclosure format is identical for every firm.

How the algorithm works and where it can fail

  • Does the algorithm manage your individual account? Does it create a portfolio, invest the account, rebalance it, or perform other functions?
  • What assumptions and limitations shape its recommendations?
  • What risks are specific to automated management? For example, could it rebalance without regard to market conditions or fail to respond appropriately to prolonged changes?
  • When can the firm override the algorithm or halt trading, and who makes that decision?

What information and human help are involved

  • What information feeds the recommendations, and how is your information used?
  • What can the questionnaire fail to capture? When should you update your answers, such as after a change in goals or financial circumstances?
  • How much human oversight exists? Do staff monitor each account, and can you reach a person when you need help?

What it costs and who benefits

  • Look beyond the stated advisory fee. Ask about brokerage, custody, transaction, and fund expenses, along with other costs that may apply.
  • Does a third party develop, manage, or own the algorithm? What incentives or conflicts could that create?
  • Could the provider, an affiliate, or another party benefit from the cash allocation, products, or transactions the algorithm selects?

For a comparison between services, use the same questions for each: registration and disciplinary history; service scope; human availability; information used; investment approach and algorithm limits; total direct and indirect costs; conflicts and product incentives; and how to correct information or contact a person. Similar marketing language does not mean the services have the same protections or costs.

Who is responsible if an AI recommendation loses money?

A loss alone does not answer whether anyone violated a legal duty. The relevant questions include which entity provided the advice, whether it acted as an adviser or broker in that interaction, what it disclosed, and whether its conduct met the obligations applicable to that role. The SEC materials summarized here do not establish an automatic rule that every loss caused by an AI recommendation makes the provider liable. Registration and fiduciary duties are not insurance against market declines, fraud, or a bad outcome.

Does SIPC cover investment losses?

No. SEC investor guidance says the Securities Investor Protection Corporation (SIPC) provides limited customer protection if a brokerage firm becomes insolvent. It does not insure losses attributable to a decline in the market value of securities. SIPC protection is not a guarantee of investment performance and does not validate an adviser’s recommendations or algorithm.

What recent SEC action shows about disclosure?

On March 23, 2026, the SEC announced a settled order involving Ally Invest Advisors Inc. and its Cash-Enhanced robo-adviser accounts. The SEC said that from September 2019 through August 2025, the accounts allocated 30% of client assets to cash and that the firm did not fully and fairly disclose that this percentage was selected in part to make up for revenue lost by not charging an advisory fee. This is a case-specific example of a conflict the SEC said was not fully disclosed; it is not evidence that all robo-advisers or AI systems have the same incentive.

What changed with the SEC’s proposed AI-conflicts rules?

The SEC withdrew its proposed predictive-data-analytics conflicts rules in June 2025 and said it did not intend to finalize those proposals. The proposal therefore did not become a final rule. That withdrawal does not mean existing adviser fiduciary or antifraud duties, or broker-dealer obligations, disappeared.
