Adobe Stock Buybacks vs. Dividends: What Investors Should Compare

Adobe has returned capital through substantial share repurchases. Here is how investors can compare buybacks with dividends, including execution, dilution, price and competing uses for cash.

Adobe’s recent filings report large stock repurchases, not a regular cash dividend. For investors comparing the two, the key question is not which method is automatically better: it is how much cash reaches shareholders, how many shares are actually removed, what price Adobe pays, and what the cash could otherwise fund. Adobe’s latest filing reviewed here is its Form 10-Q for the quarter ended August 28, 2026, filed in September 2026; figures tied to that filing are dated accordingly.

Does Adobe pay a dividend or buy back shares?

Adobe’s FY2025 annual report and its September 2026 quarterly filing disclose stock repurchases. The reviewed filings do not report a regular cash dividend or announce a dividend policy. That describes the documents reviewed, not a guarantee about future board decisions.

Instead, Adobe has used repurchases as a way to return capital to stockholders and, as the company says, to minimize dilution from stock issuances. A repurchase authorization gives the company permission to buy shares up to a stated ceiling; it does not require Adobe to spend the full amount.

How Adobe’s repurchases have changed

Adobe reported the following common-stock repurchases in its FY2025 Form 10-K. The fiscal years ended November 28, 2025, November 29, 2024, and December 1, 2023, respectively.

Fiscal year Shares reported Repurchase amount
FY2025 30.8 million $11.281 billion
FY2024 17.5 million $9.5 billion
FY2023 11.5 million $4.4 billion

In FY2025, 16.8 million shares were associated with accelerated share repurchase agreements for $6.250 billion, and 14.0 million shares were bought in the open market for $5.031 billion. Those components total the 30.8 million shares and $11.281 billion reported for the year. They are measures of company activity, not evidence by themselves that the purchases improved total shareholder returns.

Adobe’s current authorization: capacity, not a commitment

Adobe’s March 2024 authorization allowed up to $25 billion in repurchases through March 14, 2028. The company’s Form 10-Q for the quarter ended August 28, 2026, says that authorization was fully used during the first nine months of FY2026.

In April 2026, Adobe’s board approved a separate authorization of up to $25 billion through April 30, 2030. Adobe reported that $24.55 billion remained under this authorization as of August 28, 2026. That balance is a dated snapshot, not a forecast of future purchases; execution and remaining capacity can change. Adobe says purchases may take place in open markets or through structured agreements.

Adobe CFO Dan Durn described the April 2026 authorization as “a direct expression of confidence in our robust cash flow and the long-term value we are delivering to investors.” That is management’s rationale, not independent evidence that Adobe’s shares were undervalued or that the timing of the purchases will prove advantageous.

How buybacks and dividends affect shareholders differently

What to compare Buyback Cash dividend
Who receives cash Shareholders who sell shares into the repurchase market receive proceeds. A holder who does not sell receives no direct payment. Shareholders receive cash according to the company’s declared terms and relevant dates.
Choice and timing A holder can decide whether and when to sell, but cannot assume a particular price or that every holder will benefit equally. The company declares the payment; eligible holders receive it under the declared terms rather than choosing a sale.
Ownership fraction If shares are actually removed from circulation and the holder keeps their shares, that holder’s fraction of the company can rise. A dividend does not itself reduce the number of shares outstanding.
Share-count effects Gross dollars spent are not the same as net share-count reduction. Employee equity issuance and the timing of share delivery also matter. A dividend distributes cash without directly changing the share count.
Tax outcome Tax may arise when a shareholder sells at a gain; treatment depends on jurisdiction, account, holding period and circumstances. Dividend taxation depends on jurisdiction, account type and circumstances.

A buyback can counter dilution, but the relevant measure is not simply dollars spent. Investors should distinguish shares purchased from net shares reduced after new equity issuance, and from shares physically delivered under structured contracts. Adobe says its program is intended in part to minimize dilution.

Tax treatment is personal and jurisdiction-specific. Adobe’s cited filings do not determine an individual investor’s tax result; consult current official tax guidance or a qualified adviser for your circumstances.

Why share delivery and price paid matter

Adobe uses both open-market purchases and accelerated share repurchase agreements. Under the accelerated agreements described in its FY2025 Form 10-K, a financial institution delivers some shares when the contract begins and the remainder at settlement. The final share total and average price are determined at settlement using the volume-weighted average price over the contract term, less an agreed discount.

Adobe classifies prepayments for these agreements as treasury stock when paid, but only shares physically delivered by period end are excluded from the net-income-per-share computation. That timing distinction helps explain why cash paid, shares delivered and the reported share count or EPS calculation may not line up neatly at a single reporting date.

Repurchasing shares is not automatically beneficial at any price. A company can overpay for its own stock. Investors evaluating the decision need a reasoned view of value and the price paid, alongside the number of shares actually acquired and the effect of new share issuance. Neither the authorization nor a change in earnings per share alone proves value creation.

What the cash could otherwise support

Repurchases compete with other uses of capital, including operating needs, investment, acquisitions, debt obligations, liquidity and resilience. In its Form 10-Q for the nine months ended August 28, 2026, Adobe reported $7.646 billion in net cash provided by operating activities and $6.814 billion in net cash used for financing activities; repurchases were the primary reason for the financing outflow. These are historical cash-flow figures for that nine-month period, not a forecast or a measure of free cash flow.

At August 28, 2026, Adobe reported $4.359 billion in cash and cash equivalents, $1.280 billion in short-term investments and negative working capital of $2.730 billion. The same filing identifies acquisition spending, capital expenditures and ordinary operating needs among uses of capital. These dated balance-sheet amounts provide context, but do not alone establish how much cash Adobe should return or retain.

Adobe’s Q3 FY2026 filing says its revolving credit agreement does not prohibit cash dividends unless a payment would trigger a default or a default already exists. This covenant statement is not evidence that Adobe plans to declare a dividend.

A practical framework for comparing Adobe’s capital returns

  1. Separate authorization from execution. Check how much of an approved repurchase ceiling has actually been used and the date of the reported remaining amount.
  2. Look at net share reduction. Compare shares repurchased with shares issued through employee equity and account for whether shares have been physically delivered.
  3. Assess price against value. Consider whether the company appears to be buying below or above a defensible estimate of intrinsic value; repurchasing at a high price can destroy value.
  4. Compare the alternatives. Ask whether the same cash might better support innovation, acquisitions, debt management, liquidity or a dividend, given the company’s needs and opportunities.
  5. Keep shareholder-level effects separate. A dividend delivers cash to eligible holders; a buyback gives cash to sellers and may increase continuing holders’ ownership fraction if shares are retired. Consider the tax consequences for your own situation.

The filings establish Adobe’s repurchase activity, authorizations, mechanics and reported cash flows. They do not establish that a hypothetical dividend would have produced better returns, determine the intrinsic value of ADBE shares, or prove that buybacks caused a particular share-price or EPS outcome. For long-term investors, the comparison therefore turns on execution, price, net share-count change and the quality of the company’s other uses for cash—not on the label alone.
