How many shares did Adagio Medical issue?
Investing.com reported on October 1, 2026, that Adagio Medical issued 4,978,869 common shares in exchange for $776,111 of note principal. The conversions took place between September 25 and September 30, 2026, according to the report. These completed-issuance figures are attributed to Investing.com; the company’s September 23 SEC filing establishes the note framework and conversion mechanism, but does not independently verify these specific totals. Investing.com said the shares were issued under Section 3(a)(9) of the Securities Act of 1933, an exemption from registration, without additional consideration to the company and without commissions or other remuneration for soliciting the exchange. Those details, too, are from its account of the company’s press release and filing.
What conversion price was used?
Investing.com reported alternate conversion prices ranging from $0.1265 to $0.1618 per share. That is different from the $10.00 original conversion price described in an earlier prospectus supplement: the old price is historical context, not the price reported for these 2026 conversions. Adagio’s September 23, 2026 Form 8-K describes an “Alternate Conversion Price” equal to the lower of the note’s then-current conversion price and 85% of the lowest VWAP over the five consecutive trading days ending on the trading day immediately before the conversion notice is delivered or deemed delivered. Why did the conversion happen during a strategic review?
On September 23, 2026, Adagio said it had started a formal process to explore strategic alternatives focused on shareholder value. The company listed a possible acquisition, merger, business combination, or another transaction. It also warned that it might not pursue a transaction and that any transaction might not be completed on attractive terms, if at all. Adagio’s September 23 press release

The same-day 8-K says the company adopted a plan to extend its capital resources while it evaluates those alternatives. The conversion mechanism forms part of that financing context, but the share issuance itself does not establish what, if anything, will result from the strategic review.

Issuing common shares increases the number of shares outstanding and can dilute existing shareholders’ ownership percentage. The reported 4,978,869 shares therefore matter to investors tracking dilution. A percentage cannot be calculated from the reported issuance alone: it requires a contemporaneous share-count denominator, and potentially information about other issuances.
