DigitalBridge expects its Series H, Series I and Series J preferred shares to stop trading on the NYSE before the market opens on October 5, 2026. That ends NYSE trading; it does not by itself cancel the shares or automatically pay holders. The company says the preferred-stock terms will remain unchanged after delisting, and it has not arranged another national-exchange listing or quotation venue. Holders should check the notice for their specific series and contact their broker, bank or nominee promptly if they are considering the conversion right.
What is happening to DigitalBridge preferred stock?
DigitalBridge Group said it planned to voluntarily delist its 7.125% Series H, 7.15% Series I and 7.125% Series J cumulative redeemable perpetual preferred stock. In its September 30, 2026 Form 8-K, the company reported that it had filed Form 25s for the three series and expected NYSE trading to end before the market opened on October 5. As of October 3, that date was still ahead; the delisting should not be described as already completed.
The company said it had not arranged a listing on another national securities exchange or a quotation medium. That means holders should not assume they will be able to trade the shares elsewhere once NYSE trading stops.
Does delisting cancel the shares or force a conversion?
No. Delisting ends exchange trading, but it does not, on its own, cancel preferred shares or require holders to convert. DigitalBridge said the preferred-stock terms and conditions would remain unchanged after delisting. Shares not converted or redeemed remain outstanding under the surviving corporation’s charter.

The company merger with a SoftBank Group affiliate closed on September 30, 2026, triggering a change-of-control conversion right for each preferred series, subject to the terms applicable to that series. The right is an election—not an automatic payment. A separate provision allows the surviving corporation, at its option, to redeem shares before a series’ conversion date. Shares selected for redemption would not be convertible under the described change-of-control right.
Conversion amounts and timing differ by series
DigitalBridge disclosed the following cash amounts per share in its September 30 Form 8-K. These are conversion amounts, not current market prices and not a promise that every holder will automatically receive cash. The series notices set the applicable procedures and deadlines.

|---|---|---|
| H (7.125%) | $11.28 | DigitalBridge intended to send the series notice on October 7, 2026. A specific conversion deadline was not stated in the notices available as of October 3. |
| I (7.15%) | $14.43 | DigitalBridge said holders could exercise the right through close of business October 22, 2026. |
| J (7.125%) | $15.16 | DigitalBridge intended to send the series notice on October 14, 2026. A specific conversion deadline was not stated in the notices available as of October 3. |
DigitalBridge’s September 1 announcement said each series’ conversion date would be identified in its notice and would fall on a business day no fewer than 20 and no more than 35 days after the notice date. The issuer’s notice for a given series—not a date inferred from another series—governs that series’ process.
Series I holders: the announced deadline is October 22
In its October 1 announcement, DigitalBridge said Series I holders could convert each share for $14.43 in cash through close of business October 22, 2026. The company named Equiniti Trust Company as conversion agent and instructed holders who wish to convert to contact their broker, bank or other nominee. Follow the actual notice’s instructions and allow time for the intermediary to process any election; do not treat the cash amount as an automatic distribution.

What Series H and J holders should check
The September 30 filing said Series H notice was intended for October 7 and Series J notice for October 14. As of October 3, those notices and their detailed series-specific deadlines had not yet been released in the issuer materials available for this article. Do not apply Series I’s October 22 deadline to H or J. When the relevant notice arrives, check its date, the deadline, delivery method, eligibility terms and whether the shares have been selected for redemption.
What holders should do now
- Identify your series. Confirm whether your holding is Series H, I or J in your brokerage or custody records; the disclosed amounts and timing are not interchangeable.
- Read the issuer’s notice for that series. The notice contains the election process and controlling deadline. Use it rather than an estimated date or another series’ instructions.
- Contact your broker, bank or nominee promptly. DigitalBridge directs holders wishing to convert to work through their intermediary. Ask what forms or instructions are required and how early they must be submitted.
- Confirm the status of your shares. Ask whether your shares are eligible for the election or have been selected for redemption, since shares selected for redemption would not be convertible under the described right.
- Do not assume trading or payment arrangements. DigitalBridge said it had not arranged another national-exchange listing or quotation venue, and conversion requires action under the applicable notice rather than happening automatically.
Issuer documents behind the dates and amounts
The key disclosures are DigitalBridge Group’s September 1, 2026 delisting announcement, September 30, 2026 Form 8-K, and October 1, 2026 Series I announcement. The Form 8-K provides the three disclosed conversion amounts and planned notice dates for H and J; the October 1 announcement specifies the Series I deadline and conversion agent. Check the latest issuer notices and your intermediary’s instructions, because the H and J deadlines were not yet stated in the materials available as of October 3.
