Chewy shares fell around the company’s September 9, 2026 fiscal second-quarter report even though sales grew and management raised its full-year outlook. The market reaction reflected doubts about the quality and durability of that growth: expansion was slower excluding recent acquisitions, gross margin was unchanged, and free cash flow declined from the prior-year quarter. A September 11 JPMorgan downgrade, citing macroeconomic pressure and weaker discretionary and premiumization trends in pet retail, added pressure. Those facts explain the reported September reaction, but they do not establish one definitive cause for every move in CHWY or identify a verified October 13 price and catalyst.
Before buying, separate three questions: how the operating business performed, whether management’s outlook is being delivered, and what valuation the current share price implies. The checklist below uses Chewy’s latest reported quarter—fiscal Q2 2026, ended August 2, 2026—and shows how to update the analysis when newer filings arrive.

What happened when Chewy stock fell?
Chewy released its fiscal second-quarter results on September 9, 2026. The report showed year-over-year sales growth, customer growth and a raised full-year revenue and profitability outlook. Nevertheless, the shares sold off. The Motley Fool reported that CHWY was down 7.7% intraday at 11 a.m. Eastern Time that day, describing the results as solid but not compelling enough to trigger buying.

Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →The immediate issue was not that revenue declined. Investors appeared to question whether the pace of underlying growth was strong enough to justify the prevailing valuation and whether consumers were returning to higher-margin discretionary and premium pet products. Reported growth also benefited from the SmartPak and Modern Animal businesses; growth excluding those contributions was lower.

On September 11, Investing.com reported that JPMorgan downgraded Chewy from Overweight to Neutral and cut its price target from $29 to $24. The analyst cited continuing organic-growth pressure from macroeconomic headwinds and weakening discretionary and premiumization trends in pet retail. That is an analyst interpretation relayed by a news outlet, not company guidance and not proof that the downgrade caused every subsequent decline.
Share prices incorporate expectations, not just whether a company beats or misses a simple revenue number. A quarter can look healthy in isolation while disappointing investors who expected faster organic growth, expanding margins or stronger cash generation. Conversely, a weak trading day does not by itself prove that Chewy’s business has structurally deteriorated.
What Chewy reported in fiscal Q2 2026
The following figures come from Chewy’s September 9 earnings release and its fiscal Q2 2026 Form 10-Q. The quarter ended August 2, 2026. Adjusted EPS is non-GAAP; free cash flow is defined by Chewy as operating cash flow minus capital expenditures.

| Measure | Q2 FY2026 result | How an investor should read it |
|---|---|---|
| Net sales | $3.330 billion | Scale increased year over year, but sales growth must be separated into organic growth and acquisition contributions. |
| Net-sales growth | 7.3% year over year | Positive headline growth; compare it with the rate excluding acquired businesses and with the company’s guidance. |
| Growth excluding SmartPak and Modern Animal contributions | 5.7% year over year | A closer indicator of the pre-acquisition base business, although it is still a company-defined measure. |
| Active customers | 21.7 million, up 3.8% year over year | Shows whether the customer base is expanding rather than relying only on existing customers spending more. |
| Net sales per active customer | $602, versus $591 a year earlier | Higher spending per customer can reflect frequency, mix and price; it should be checked alongside retention and acquisition costs. |
| Gross margin | 30.4%, unchanged year over year | No year-over-year expansion in the gross profit rate, so future earnings growth must come from volume, mix, operating leverage or other factors. |
| Autoship customer sales | $2.817 billion | Recurring-order sales are central to Chewy’s model and should be tracked for durability, not assumed to be permanent. |
| Autoship share of net sales | 84.6% | A high recurring-sales mix can support visibility, while concentration makes retention and service reliability especially important. |
| Net income and diluted GAAP EPS | $80.5 million and $0.20 | The GAAP result is the accounting baseline for profitability. |
| Adjusted diluted EPS | $0.36 | Use only with Chewy’s reconciliation to GAAP, including the adjustments and their recurrence. |
| Free cash flow | $89.5 million, versus $105.9 million in the prior-year quarter | Cash generation declined year over year even as sales rose; examine capital spending, working capital and the multi-quarter trend. |
Chewy says Autoship is a subscription program for automatic ordering, payment and delivery. It considers the program a key driver of recurring sales and retention. Recurring orders can make demand more predictable, but they do not eliminate cancellations, price sensitivity, fulfillment problems or competition.

Why a good-looking quarter could still disappoint investors
Headline growth was stronger than underlying growth
Acquisitions can add revenue immediately, while organic growth shows whether the existing operation is winning more customers, increasing purchase frequency or taking share. The gap between reported growth and growth excluding SmartPak and Modern Animal gave investors a reason to focus on the underlying base. Follow both measures in every subsequent quarter and ask whether acquired businesses are adding profitable, retained customers or merely enlarging the top line.
Margins did not expand
Chewy’s gross-margin rate was flat year over year in Q2. If sales rise without gross-margin improvement, the company has less gross profit available to absorb fulfillment, technology, marketing, labor and other operating costs. A flat rate is not automatically bad—stable margins can be valuable in a difficult consumer environment—but it reduces evidence of operating leverage. Review operating income, selling and marketing expense, stock-based compensation and GAAP earnings rather than relying on adjusted EPS alone.
Cash flow moved in the wrong direction
Free cash flow was lower than in the comparable quarter despite higher sales. Chewy cautions that free cash flow varies with the timing of investments and working-capital movements. Capital spending can rise when the company invests in fulfillment, pharmacy, veterinary clinics or technology; inventory purchases and vendor-payment timing can also shift cash between quarters. The correct question is whether the decline is a temporary investment cycle or a recurring sign that reported profits are not converting into cash.
Consumer spending remained an uncertainty
The market reaction and the JPMorgan downgrade both reflected concern about macroeconomic conditions and softer discretionary and premium pet-retail trends. Essentials such as food and medicine may be more resilient than premium products, services or add-on purchases. Break out performance by category where Chewy reports it, and look for changes in purchase frequency, average order value, cancellations and promotional intensity.

What management’s raised outlook does—and does not—tell you
Chewy said Q2 sales were at the high end of its guidance and raised its full-year revenue and profitability outlook. Chief executive Sumit Singh said, “The durability of our recurring revenue base, continued customer growth, and disciplined execution give us confidence to raise our full-year revenue and profitability outlook, while continuing to invest in compelling opportunities that deepen customer engagement and create long-term shareholder value.”
This is management’s assessment, not an independent forecast. A raised outlook matters only if later results meet or exceed it and the improvement comes from sustainable operating drivers. Compare the next earnings release with the exact guidance range, identify how much of the change came from acquisitions, and check whether margins and cash flow support the profit assumptions.
Checks to complete before buying Chewy stock
1. Test the quality of growth
Start with reported sales, then remove acquisition contributions using Chewy’s disclosed measure. Track active customers, sales per active customer and purchase frequency across several quarters. Customer growth accompanied by stable or rising order frequency is generally more informative than a single quarter of higher revenue. Also examine whether customer acquisition costs are rising and whether newly acquired customers remain active.
2. Measure recurring-sales durability
Autoship provides a large recurring component, but a recurring order is not an irrevocable contract. Monitor Autoship dollar sales, its percentage of total sales, customer retention, cancellation rates and any changes in promotional incentives. Compare growth in Autoship with non-Autoship sales: a healthy model can retain subscribers while still attracting profitable new demand. If recurring sales grow only because prices rise while units or customers stagnate, the headline may overstate underlying health.

3. Examine margins and earnings quality
Read the GAAP income statement first. Then reconcile adjusted EPS to GAAP and identify stock-based compensation, acquisition costs, restructuring charges and any other adjustments. Compare gross margin, operating margin and net margin over multiple quarters. Determine whether improvements come from repeatable cost control or from one-time items, favorable mix or unusually low marketing. A valuation based on adjusted earnings should be stress-tested against GAAP results and dilution.
4. Follow cash after capital investment
Build a simple cash-flow bridge: operating cash flow, capital expenditures, free cash flow and working-capital changes. Check whether fulfillment, pharmacy, veterinary-clinic and technology investments are producing measurable customer or margin benefits. A single quarter can be distorted by inventory receipts or vendor-payment timing, so use trailing four-quarter totals and compare free cash flow with net income. Also review debt, lease obligations and other commitments that may compete with growth investment.
5. Hold guidance accountable
Record the full-year sales and profitability outlook issued after Q2, including the date and any ranges. At each subsequent report, calculate the portion of the year completed, compare actual results with the implied remaining-quarter requirements and note whether management raises, maintains or cuts guidance. Separate operational performance from changes caused by acquisitions, accounting presentation or foreign-exchange effects if Chewy discloses them.

6. Use a valuation method that matches your assumptions
No verified October 13, 2026 share price is established here, so a current price-to-sales, price-to-earnings or free-cash-flow yield cannot be quoted responsibly. Obtain a live quote from a regulated market-data source and record the timestamp. Then choose a method suited to the business and your holding period:

- Price-to-sales: useful when margins are changing, but sensitive to the assumption that sales will eventually convert into profit.
- Forward price-to-earnings: appropriate only when normalized GAAP earnings are reasonably predictable; test the result against lower margins and slower growth.
- Enterprise value to operating cash flow or EBITDA: useful for comparing capital structures, but ensure EBITDA adjustments are consistent and do not ignore capital spending.
- Discounted cash flow: requires explicit assumptions for customer growth, retention, margin, capital expenditures, working capital, tax and discount rate. Small changes can produce large valuation swings.
Do not treat an analyst price target as fair value. JPMorgan’s September target reduction described one analyst’s view at that date; it is not a guarantee, a company forecast or a substitute for your own assumptions.
7. Read the current filings and risk disclosures
Before committing money, read the newest Form 10-Q, Form 10-K and material investor-relations announcements, not only an earnings headline. Chewy’s FY2025 Form 10-K identifies risks involving sustainable growth, customer acquisition and retention, operating expenses, suppliers, shipping, fulfillment, cybersecurity, product safety, regulation, economic conditions and intense competition. Map each risk to a measurable indicator and decide what evidence would invalidate your thesis.

- Set the information date. Write down the latest filing period, earnings-release date and market-price timestamp. Do not mix a current quote with stale financial statements without labeling the mismatch.
- Rebuild the operating trend. Enter at least eight quarters of sales, active customers, sales per active customer, gross margin, GAAP operating income, net income, capital expenditures and free cash flow. Mark quarters affected by acquisitions or unusual working-capital movements.
- Split organic and acquired performance. Use Chewy’s disclosed definition consistently. If a metric is not disclosed on the same basis for peers, mark it as not comparable rather than estimating it.
- Check recurring revenue. Compare Autoship growth and retention with total sales and customer growth. Investigate any widening gap between subscription activity and overall engagement.
- Translate guidance into required performance. Calculate the sales and profit the remaining quarters must deliver to reach the midpoint or stated target. Test a downside case with slower customer growth and no margin expansion.
- Reconcile earnings to cash. Explain every major difference between net income, operating cash flow and free cash flow. Review capex and working capital before calling a cash-flow decline temporary.
- Value the shares under several cases. Use conservative, base and optimistic assumptions. Include dilution, taxes, capital spending and a terminal or exit valuation appropriate to your method.
- Write a decision rule. Specify the price, growth, margin and cash-flow conditions under which you would buy, wait or sell. This prevents a dramatic trading day from replacing analysis.
Risks that can change the investment case
- Demand and retention: Customers can reduce order frequency, cancel Autoship or switch to competing retailers.
- Acquisition integration: SmartPak and Modern Animal may not deliver the expected growth, retention or profitability, and integration can increase costs.
- Margin pressure: Discounts, shipping expense, product mix, supplier terms or service investments can hold down gross and operating margins.
- Fulfillment and suppliers: Distribution interruptions, shortages, transportation costs or dependence on key suppliers can affect availability and customer experience.
- Technology and cybersecurity: An outage or data-security incident could interrupt ordering, damage trust and create remediation or regulatory costs.
- Product safety and regulation: Pet food, medicine and veterinary services carry compliance, recall and liability exposure.
- Investment intensity: Fulfillment, pharmacy, clinics and technology require capital that may reduce near-term free cash flow.
- Competition and macroeconomics: Large retailers, specialist providers and new digital offerings can pressure price, selection and customer-acquisition economics, especially when consumers trade down.
How to read the next earnings report
Look first for organic sales and active-customer trends, then test whether sales per customer and purchase frequency support the change. Next inspect gross margin and operating expenses for evidence of leverage or renewed pressure. Reconcile GAAP earnings with adjusted figures, and compare operating cash flow and capital expenditures with net income. Finally, check whether management’s full-year outlook changed and whether the change reflects actual operating momentum or merely acquisition timing.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesA more convincing recovery would combine accelerating organic customer growth, stable or improving retention, disciplined acquisition spending, durable margins and free cash flow that rises with earnings. A warning pattern would be acquisition-led sales, falling active customers, heavier promotions, flat or lower margins and repeated guidance reductions. These are analytical signals, not automatic trading rules.
Common mistakes to avoid
- Assuming a selloff proves a bad business: Market expectations may have been higher than the reported results.
- Assuming revenue growth proves a cheap stock: Growth does not establish fair value without margins, cash flow and a current price.
- Using adjusted EPS without the reconciliation: Non-GAAP measures can exclude real recurring costs.
- Counting Autoship as guaranteed revenue: Subscribers can cancel, reduce orders or respond to price changes.
- Projecting one quarter indefinitely: Working capital and investment timing can distort both earnings and cash flow.
- Following a single analyst target: Targets change with assumptions and are not promises.
- Ignoring the date: The September reaction and a later October move may have different causes; do not claim the September explanation covers an unverified later decline.
Bottom line
The September 2026 drop followed a report that was positive on sales and guidance but less reassuring on organic growth, margins and cash generation. The JPMorgan downgrade reinforced concerns about macroeconomic and discretionary-pet trends. For a potential buyer, the important work is not guessing the next price move; it is verifying whether customer growth, Autoship retention, GAAP profitability, free cash flow and the raised outlook improve together, then comparing that operating picture with a valuation built from a dated market price and explicit assumptions.
