Once shares trade publicly, buyers and sellers set the market price. An early rush of demand can push it up while relatively few shares are available; when that rush fades, the price can retreat. Underwriter support may also end, new shares may become eligible for sale, or investors may revise their expectations about the company. These are possible explanations, not proof of what caused any one stock to fall.
Why the offer price does not anchor the market price
In a traditional IPO, the issuer and underwriters set an offer price through a process that considers investor demand and the company’s estimated value. That number applies to the offering; it does not promise what the stock will be worth once public trading begins. After the listing, the price changes as buyers and sellers place orders and trade shares.

The SEC describes the offering price as a negotiated estimate that may bear little relationship to the trading price soon afterward. It says a stock’s closing price after an IPO can be well above or below the offer price. That difference does not, by itself, establish that the company has improved, deteriorated, or was incorrectly valued. It shows that the price investors are willing to trade at has changed.
This distinction matters when a chart starts with a sharp jump. The offer price is a reference point, but the first public market price reflects a different setting: shares are changing hands among investors, and the amount available to trade may be limited. A later decline can simply mean that buyers are no longer willing to pay the earlier market price.

SEC Investor Bulletin: Investing in an IPO and the SEC’s Initial Public Offerings: Price Differences explain why the offer price and subsequent trading price can diverge.
How an early demand surge can fade
A sought-after IPO can attract more interest than the number of shares initially available for public trading. When demand substantially exceeds that supply, the imbalance can lift the price during the first hours or days. If that burst of buying subsides, the price may fall from its early high—even if there has been no new company announcement.
The key is the difference between a stock’s total shares and its tradable supply. Founders, employees, and early investors may hold shares that are restricted or subject to lockups, so the public float can be relatively small at first. In that setting, a modest change in buying or selling interest can have an outsized effect on the price. The early price is being set by trades in the shares available then, not by every share the company has issued.

The SEC’s investor guidance says that in a “hot” IPO, demand can far exceed supply and lift the price; it also notes that the price often falls after the initial flurry of trading subsides. This describes a possible market mechanism, not a measured rule about how often IPOs fall or how large any decline will be. The SEC materials cited here do not quantify either frequency or average decline.
When underwriter support may stop
In a traditional underwritten offering, underwriters may conduct permitted stabilizing activity, including buying shares, to help keep the price from falling too far below the offer price. Such activity is not a promise that the stock will stay at or above its offering price, and it should not be assumed to occur in every IPO.
If this support ends, the stock may be more exposed to the balance of ordinary buy and sell orders. The SEC warns that a stock may decline significantly below the offering price after support ends. That makes the end of support one possible factor to investigate when a stock weakens after its first days; it does not establish that support was in place, when it ended, or that it caused a particular decline.

How a lockup or future share sale can affect supply
Restrictions and lockup agreements can keep insiders’ shares from being sold for a period after an IPO. When a restriction expires or is waived, more shares may become eligible for sale. The prospect of that added supply can weigh on sentiment before the date arrives, particularly if investors expect holders to sell. Eligibility is not the same as an actual sale: a shareholder may keep the shares, and an increase in available supply does not guarantee a price drop.
The SEC says many lockups prevent insiders from selling for 180 days, but it also stresses that terms vary by issuer. The SEC lockup page was modified in 2011, so treat 180 days as general background, not as the deadline for a current company. An offering may use a different period, include exceptions, or allow an early release. Confirm the actual terms in the company’s filings rather than projecting a standard date onto every listing.
Investors can look for the number of shares held by insiders, the number potentially eligible for resale, and the terms governing when those shares can enter the market. The potential supply overhang is only one part of the picture: who owns those shares, whether they sell, and how much demand exists at the time all affect the market’s response.

Company news, expectations, and market conditions also matter
A price decline can coincide with changes in the company’s results or outlook, analyst coverage or estimates, management, trading volume, new share issuance, or broader market conditions. These are categories to check for the specific issuer, not a checklist that diagnoses every decline. A falling price alone does not reveal which factor mattered, or whether there was one principal cause.
Expectations are especially important. The market price reflects what buyers and sellers are willing to pay in light of the information and outlook they consider relevant. A company can remain operationally sound while investors reassess how much they will pay for its shares; conversely, an early rise does not prove that the company’s prospects justify that price. To distinguish a market-wide move from issuer-specific news, examine the company’s disclosures and the timing of relevant announcements alongside the trading history.
Issuer filings themselves describe risks that can affect prices, but those disclosures are not evidence that a listed risk caused a particular move. For example, one SEC-filed registration statement for a direct listing discusses uncertainty about supply and demand, limited price discovery, and the absence of an underwriter as risks for that issuer. It is an example of issuer-specific disclosure, not a market-wide finding.

Why the type of listing changes the context
“Newly listed” does not always mean the same sale process. A conventional underwritten IPO and a direct listing can differ in how shares reach the market and how price discovery occurs. Those differences can change the factors worth checking, but the details depend on the particular issuer and offering.
| Question | Underwritten IPO | Direct listing |
|---|---|---|
| Is there a stated offer price set for an offering? | Typically, the issuer and underwriters set an offer price for the IPO. The SEC describes it as a negotiated estimate, not a guarantee of the later trading price. | A direct listing may not have the same underwritten offer price. Check the issuer’s registration statement for the specific structure. |
| Could an underwriter support trading? | Underwriters may conduct permitted stabilizing activity, including purchases, in the first days. Whether it occurs and when it ends depend on the offering. | A direct listing may lack an underwriter and the associated support mechanisms. One SEC-filed direct-listing registration statement identifies this as a risk for that issuer. |
| How is initial supply determined? | The number offered and any shares sold by existing holders are disclosed in the prospectus; restrictions may limit other shares initially available. | Supply and demand may be less certain at the outset. The cited SEC-filed example warns of uncertainty for that issuer; other listings require their own filing review. |
| Are existing holders restricted by lockups? | Lockups may limit resales, but duration, exceptions, and early-release provisions vary. Read the offering’s terms. | Traditional lockups may be absent in some direct listings, but do not infer terms from the listing label. Verify the issuer’s disclosures. |
| How much price discovery happens before trading? | The offer price is set before public trading, but the SEC cautions that it can differ substantially from the subsequent market price. | Price discovery may be more uncertain before the first trade; the cited registration statement identifies limited price discovery as a risk for that issuer. |
The table describes features to investigate, not universal rules. The SEC’s general IPO investor bulletin and the issuer-specific direct-listing registration statement provide context for the distinctions.
How to investigate a particular stock’s decline
Use the issuer’s prospectus and later filings to identify plausible supply and information changes. The SEC points investors to prospectuses and EDGAR for these disclosures. A filing explains what could happen; it does not prove that a risk materialized or caused the price movement.

Pick the symptom - the matching free tool is one click away.
- Start with the prospectus cover. Note the offer price, the number of shares offered, and whether the offering includes shares sold by existing shareholders. These details help distinguish new shares issued by the company from shares sold by holders.
- Read “Principal and Selling Shareholders.” Check who is selling in the offering, how many shares they retain, and the relationships of the selling holders to the company. This establishes who may have an economic interest in the shares, not whether they will sell later.
- Find “Shares Eligible for Future Sale” or the comparable section. Look for restricted shares, the number and timing of shares that could become eligible for resale, and any stated market-overhang risks. Compare those terms with the dates relevant to the decline.
- Review “Underwriting” or “Plan of Distribution.” Look for lockup length, exceptions, possible early release, and any relevant information about the offering’s distribution. Do not assume that a commonly cited lockup period applies to this issuer.
- Check “Description of Capital Stock.” Look for voting differences, including dual-class stock. Voting rights do not determine the day-to-day trading price, but they help explain how ownership and control are structured.
- Read later filings and company announcements. Check reported results and operating metrics, new share issuance, management changes, and material news. Compare the timing of disclosures with the stock’s move before treating any item as a possible catalyst.
Commercial lockup trackers can be convenient, but the SEC says it does not endorse them. Confirm dates and exceptions in the issuer’s actual filings. The SEC’s Lockup Agreements guidance explains why terms vary.
What a decline does—and does not—tell you
A lower price after the first few trading days establishes that the market is now valuing the shares below an earlier trading level. By itself, it does not establish that the business is failing, that the IPO was mispriced, that insiders are selling, or that an underwriter stopped supporting the stock. Each explanation needs evidence specific to the issuer and the period in question.
When examining a chart, separate the offer price, the first public trading price, any early high, and the later price. Then compare the timing of the decline with known changes in supply, company disclosures, and broader market conditions. This keeps a visible price move from being mistaken for an explanation: the filing terms and company news can identify plausible mechanisms, while the trading record alone cannot prove which one drove the move.
