After an ERP subscription ends, the answer depends on the signed agreement stack, service and deployment model, purchase channel, governing geography, and negotiated amendments. Treat five subjects separately: your business data; the vendor’s software and platform; configuration and metadata; code or add-ons your organization developed; and vendor-created modifications or derivative works.
A clause saying you retain rights in “Customer Data” may protect records without giving you a perpetual license to run the ERP, use vendor software, retain every customization, or retrieve all metadata. Ownership, permitted use, export access, deadlines, fees, usability and deletion are separate questions.

What happens to ERP data when the contract ends?
Start with the actual contract, not a marketing summary or a generic statement that “you own your data.” Assemble the master agreement, order form, service description, product terms, data-processing addendum, support terms and amendments. Record the version, purchase channel, reseller involvement, service region and deployment type. Microsoft, for example, says online subscriptions are governed by the applicable Microsoft Online Subscription Agreement or Microsoft Customer Agreement, incorporating Product Terms and the Products and Services Data Protection Addendum; volume-licensing customers can have a different governing agreement, and geography can change the applicable terms.

- Transactional records, master data, documents and attachments
- Audit history, logs, reports and saved searches
- Configuration, metadata, security roles and workflow definitions
- Integration endpoints, mappings, schedules and interface specifications
- Customer-written code, scripts, reports and extensions
- Partner-developed components and third-party materials
- Vendor software, platform services, vendor modifications and derivative works
For each item, identify four different rights: who owns it, who may use it, how it is returned, and when it is deleted. The same customer can own its records but only receive a time-limited export window and no right to operate the vendor’s application after termination.
Five ownership categories you must analyze separately
1. Customer business data
Customer Data generally means information supplied by or for the customer, such as invoices, inventory, customer accounts, employee records and uploaded files. Some vendor terms expressly state that the customer retains rights in this data. SAP’s General Terms and Conditions for Cloud Services (Direct), identified as enUS.v.10-2024, state: “Customer retains all rights in and related to the Customer Data.”
That statement does not automatically answer whether every report, attachment, audit event, data model element or historical snapshot is included. Check the agreement’s definition and the export specification object by object. Also check whether the vendor may retain copies for legal, security, billing or backup purposes after production data is deleted.

2. Vendor ERP software and platform
The application code, hosting environment, database engine, standard interfaces and platform services normally remain the vendor’s intellectual property. Ending the subscription usually ends the right to access and operate those services. Possessing an export therefore does not give you a license to reinstall the vendor’s ERP or continue using proprietary runtime components.

3. Configuration and metadata
Configuration can include chart-of-accounts structures, fields, approval rules, workflows, security roles, page layouts, report definitions and integration mappings. Contracts vary on whether these items are treated as Customer Data, customer-owned materials, licensed deliverables, vendor modifications or a mixture.
Microsoft’s GDPR DPIA describes Customer Data as data, including software, provided by or on behalf of customers and says this includes customizations. SAP’s RISE supplement, by contrast, distinguishes several kinds of modifications and add-ons and applies different rights and responsibilities. Never assume that a label such as “customization” has the same legal meaning across products.
4. Customer-developed code and add-ons
Your organization may own code written by its employees, contractors or implementation partner, subject to employment, assignment and third-party agreements. The ERP contract may still restrict how that code can be used with the vendor service, require the customer to support it, or limit copying of vendor APIs and libraries embedded in it.

A vendor or its implementation partner may alter the standard product for your environment. The agreement may reserve intellectual-property rights in those modifications, grant only a subscription-bound license, or provide a broader post-termination license. The answer can differ from rights in a customer-written extension, even when both are casually called “customizations.”

What vendor terms illustrate in practice?
The following examples are not universal ERP rules. They describe particular documents and should be checked against your signed order, service and governing version.

How long do you have to export data?
Deadlines are service-specific and can begin at expiration, termination, the renewal due date or another event. They may also require advance notice. Missing one deadline can turn a self-service export into a paid support request or make retrieval impossible.
Before termination or expiration
Export while the system is fully available whenever possible. Use the application’s native export tools, request a final export in writing, and preserve the request, response and downloaded files with timestamps. Ask whether the final package includes attachments, audit history, metadata, reports, workflow definitions, integration mappings and custom-code dependencies.
After the service period
Microsoft’s cited guidance describes 90 days in a limited-function account. SAP’s direct terms describe up to one month of limited retrieval only when SAP receives a reasonable written request at least one month before termination. Oracle documentation says an applications-data copy can be requested after expiration, while its cited cloud policy states 60 days for production content. These figures are examples tied to named documents, not an industry standard.

When self-service has ended
Oracle’s Fusion documentation says that after the self-service period has passed, a service request may be required. Your contract may charge for extraction, format conversion, storage or engineering assistance. Ask for the rate card and minimum fees before the exit window closes.

- Define acceptance criteria. Specify required record counts, date ranges, attachments, audit events, custom fields, reports, workflow logic, security mappings and integration references.
- Export to an independent environment. Do not validate only by opening a few files. Load structured data into a test database or replacement ERP and check relationships, encoding, time zones and identifiers.
- Reconcile counts and totals. Compare source-system totals for customers, suppliers, items, invoices, payments, inventory and open transactions with the extracted package.
- Test attachments and metadata. Confirm that files open, filenames and links are preserved, and creation, modification and retention metadata remain usable.
- Test custom behavior. Document which workflows, reports, scripts and integrations depend on vendor-only APIs or runtime services.
- Record acceptance or defects in writing. SAP’s RISE supplement gives the customer two weeks after receipt to verify usability and says the export is deemed usable if verification does not occur within that period. Treat such clauses as a hard project deadline.
Contract-exit checklist
- Collect the signed master agreement, order forms, product terms, service descriptions, data-processing addendum, support terms and amendments.
- Record governing law, geography, purchase channel, reseller, service edition and deployment model.
- Inventory data, attachments, audit history, reports, configuration, metadata, workflows, integrations, customer code, partner code and vendor components.
- For each item, record ownership, license scope, permitted post-term use, export method, return obligation and deletion rule.
- Confirm export formats, included objects, request lead time, self-service availability, support escalation and fees.
- Request post-termination retrieval access in writing before any contractual notice deadline.
- Export before access ends and keep immutable, dated copies of requests, downloads and test results.
- Test the package in a separate environment and obtain written acceptance from business and technical owners.
- Identify licenses needed to run or modify exported code, configuration, libraries and third-party components after leaving the vendor.
- Confirm deletion timing, retained copies, backups, legal holds, audit requirements and regulatory records-retention duties.
How to compare two ERP contracts
Build a side-by-side schedule rather than comparing only the phrase “you own your data.” Use these axes:

Common mistakes that jeopardize an ERP exit
Relying on a single ownership sentence
“Customer retains all rights” may cover business records but not vendor software, implementation materials or derivative modifications. Read the definitions, license grants and termination provisions together.
Waiting until the account is disabled
Limited-function accounts may block reports, integrations or bulk exports. Schedule extraction before the renewal due date and before any advance-notice deadline.
Assuming a CSV is a complete migration
Flat files can omit relationships, audit history, attachments, security rules, workflow logic and integration dependencies. Require an object-level export specification and test it.
Ignoring third-party rights
Partner code, fonts, connectors, tax engines and embedded libraries may have separate licenses. Obtain assignments or replacement rights before the old service ends.
Confusing possession with operational rights
You may possess exported configuration or code yet lack permission to run a vendor runtime, copy proprietary APIs or use a third-party component. Obtain the licenses needed for the replacement environment.
Who should review the contract?
An effective exit review combines procurement, legal, privacy, records-management, finance, security, application owners and migration engineers. Counsel should examine intellectual-property ownership, license survival, liability, confidentiality, deletion and governing law. Technical owners should map every dependency and prove that the export can be restored. Privacy and records teams should reconcile deletion requests with legal holds, tax rules, audit obligations and sector retention requirements.
Vendor examples help identify questions, but they do not decide your rights. The signed agreement, order, service version and applicable law control the result for your organization.
