Short answer: responsibility depends on which protection is inadequate and why. An ERISA fidelity bond, fiduciary-liability insurance, and PBGC pension insurance cover different risks. The plan official who arranges a fidelity bond must make sure its type, amount, terms, limits, and exclusions satisfy ERISA. A fiduciary whose breach causes a plan loss may be personally liable to restore it. PBGC may pay covered benefits when an eligible defined-benefit pension terminates without enough money, but only within statutory limits. An employer, insurer, fiduciary, or PBGC is not automatically responsible for every shortfall.
Start by identifying the protection that fell short
People often use “insurance coverage” as if a retirement plan had one universal policy. It does not. The answer changes depending on whether the problem involves an ERISA fidelity bond, fiduciary-liability insurance, or the Pension Benefit Guaranty Corporation (PBGC) program.

- Fidelity bond: protects the plan against certain losses caused by fraud or dishonesty by people who handle plan funds or property.
- Fiduciary-liability insurance: may respond to covered claims involving breaches of fiduciary responsibility.
- PBGC insurance: is a federal guarantee for certain benefits in covered private-sector defined-benefit pension plans, generally after a qualifying termination.
These protections are not interchangeable. A fidelity bond does not generally cover negligence, and fiduciary-liability insurance does not satisfy ERISA’s fidelity-bond requirement. PBGC protection does not insure ordinary 401(k) investment losses or guarantee every amount shown on a pension statement.

Who is responsible for an ERISA fidelity-bond shortfall?
The plan official who procures the bond
The U.S. Department of Labor (DOL) says the plan fiduciary or plan official who obtains the bond is responsible for ensuring that the bond’s type and amount, as well as its terms, limits, and exclusions, are appropriate and meet ERISA’s requirements. The bond must come from an approved surety or reinsurer under the applicable conditions.

The bond should name the plan, or otherwise specifically identify it as an insured party, so the plan can recover covered losses. A bond intended only to protect an individual fiduciary does not serve the same purpose. If the bond has an inadequate limit, omits a person who handles plan assets, or contains an exclusion that removes the relevant conduct, that can raise a procurement and compliance issue.
That responsibility does not by itself decide who caused a particular loss. The plan still must establish that the event, person, and amount fall within the bond. The surety’s contract controls the claim, including notice requirements, proof of loss, exclusions, and limits.
What a fidelity bond covers
DOL describes dishonesty broadly. Examples include theft, embezzlement, forgery, misappropriation, and wrongful conversion by a person handling plan funds or property. The bond protects the plan from the covered loss; it is not a general policy for every mistake made in plan administration.

A bond is not fiduciary-liability insurance. DOL’s Field Assistance Bulletin No. 2008-04 states: “Fiduciary liability insurance is neither required by nor subject to section 412 of ERISA.” Fiduciary-liability coverage addresses a different category of risk: losses arising from covered breaches of fiduciary responsibility. A bond also does not replace sound internal controls, segregation of duties, reconciliations, or supervision of people who handle assets.
Is every plan required to have a bond?
Bonding generally applies to most ERISA retirement plans, but DOL identifies exceptions, including completely unfunded plans and plans outside ERISA Title I, along with other statutory or regulatory exemptions. Confirm that the particular plan is subject to the bonding rule before concluding that its bond was deficient.

When can a fiduciary be personally liable?
Fiduciary status follows actual authority
ERISA fiduciary status depends on the functions a person actually performs, not just the person’s job title. A person may be a fiduciary when they exercise discretionary control over plan management or assets, have discretionary responsibility for plan administration, or provide compensated investment advice. Trustees, plan administrators, and investment-committee members are common examples.
Fiduciaries must act solely for participants’ and beneficiaries’ benefit; carry out duties prudently; follow governing plan documents when those documents are consistent with ERISA; diversify investments; pay only reasonable plan expenses; and avoid prohibited conflicts.
The consequence of a breach
If a fiduciary breach causes a plan loss, the responsible fiduciary may have to restore the loss or return profits made through improper use of plan assets. The conclusion is fact-specific: the alleged duty, the conduct, the causal connection to the loss, and any applicable defenses all matter.
Co-fiduciary liability can also arise. A fiduciary may be responsible for another fiduciary’s breach when the first fiduciary knowingly participates in it, conceals it, or fails to take reasonable steps to correct it after learning of the problem. The fact that several people served on a committee does not automatically make each person liable for every event; their authority and actions must be examined.
Delegating work does not end oversight
A plan may hire a recordkeeper, investment manager, consultant, or other service provider. Delegating a selected function can transfer responsibility for that function if the agreement and facts support it, but the appointing fiduciary generally retains duties to select and monitor the provider prudently. A provider may itself assume fiduciary functions, while the plan fiduciaries remain accountable for the selection, scope, and monitoring decisions described by DOL.

What fiduciary-liability insurance changes
Fiduciary-liability insurance may pay covered defense costs or losses from a covered breach claim, subject to the policy. It does not establish that a breach occurred or determine who is legally liable. Review the actual policy for:
- who qualifies as an insured;
- which claims and conduct are covered;
- exclusions for particular acts, benefits, or transactions;
- policy limits, deductibles, and whether defense costs reduce the limit;
- claims-made dates, reporting rules, and notice deadlines; and
- any consent-to-settle or cooperation requirements.
Those details cannot be inferred from a plan’s certificate or from the existence of a bond. The contract and the facts of the claim control.
How PBGC responsibility differs from commercial insurance
Which plans PBGC covers
PBGC protection is principally relevant to covered private-sector defined-benefit pension plans. It does not insure every retirement account, including a participant’s ordinary 401(k) account, and it does not guarantee every employee benefit promised by a plan. Multiemployer plans have separate PBGC rules and limits from single-employer plans.
What happens when a plan ends underfunded
For a covered single-employer plan that ends without enough assets, PBGC may become trustee and pay guaranteed benefits up to limits established by law. The guarantee depends on the plan type, the benefit, eligibility rules, and the termination route. An underfunded plan therefore does not mean PBGC will automatically pay the full amount shown on every statement.
Standard termination
In a standard termination, the employer must demonstrate that the plan can pay all benefits and arrange an annuity or, when permitted, a lump sum. Once the annuity is purchased or the lump sum is paid, PBGC’s guarantee ends because the plan has satisfied its benefit obligations through that transaction.

Distress or PBGC-initiated termination
In a qualifying distress termination, or when PBGC itself initiates termination, PBGC may become trustee and pay covered benefits within legal limits. The date and type of termination can affect what is guaranteed, so participants should read the plan administrator’s notices and PBGC communications carefully.
Funding notices and finding out whether a pension is underfunded
A defined-benefit plan administrator must provide an annual funding notice describing the plan’s funded status, assets and liabilities, asset investments, and applicable PBGC limits. Participants may also request funding information in writing. These notices are the starting point for determining whether a pension is underfunded; a statement of an accrued benefit is not, by itself, a promise that every dollar is currently funded or guaranteed.
Responsibility map
| Person or institution | Potential responsibility | What determines the outcome |
|---|---|---|
| Plan fiduciary or official obtaining a fidelity bond | Ensure the bond’s type, amount, terms, limits, and exclusions are appropriate and satisfy ERISA. | Plan status, applicable exemptions, bond schedule, surety approval, and procurement decisions. |
| Fiduciary who breaches ERISA duties | May have to restore plan losses or profits from improper use of plan assets. | Actual fiduciary function, conduct, causation, loss, and applicable law. |
| Co-fiduciary | May be liable for another fiduciary’s breach in specified circumstances. | Knowing participation, concealment, or failure to act to correct the breach. |
| Plan service provider | May be responsible for fiduciary functions it accepted and performed. | Delegation agreement, actual authority, conduct, and monitoring by appointing fiduciaries. |
| Insurer or surety | May pay a covered claim under the bond or fiduciary-liability policy. | Policy or bond wording, insured or bonded person, event, exclusions, limits, and notice. |
| PBGC | May pay guaranteed pension benefits after a qualifying termination. | Plan coverage, single-employer or multiemployer status, termination type, guarantee rules, and statutory limits. |
| Employer or plan sponsor | Remains important to funding, administration, and termination decisions. | Plan documents, funding obligations, termination route, and the employer’s actual conduct; it is not automatically liable for every shortfall. |
A practical process for participants and plan sponsors
- Classify the plan. Determine whether it is an individual-account plan such as a 401(k), a single-employer defined-benefit pension, or a multiemployer pension. PBGC analysis is generally relevant to covered defined-benefit pensions, not an ordinary 401(k) investment loss.
- Name the protection at issue. Ask whether the dispute concerns a fidelity bond, fiduciary-liability policy, PBGC guarantee, or an annuity purchased after termination.
- Collect the governing records. Obtain the plan document, summary plan description, latest annual funding notice for a defined-benefit plan, bond schedule or coverage certificate, insurance policy, claim denial, and any termination notices. DOL directs participants to the plan administrator for benefit-claim paperwork; PBGC communications explain termination and guarantee issues.
- Match the loss to the coverage. Identify who was bonded or insured, what event occurred, the amount of the loss, applicable exclusions and limits, the deadline for reporting, and who has authority to seek recovery.
- Follow the claim and appeal procedure. Preserve account statements, notices, emails, committee minutes, transaction records, and proof of loss. Submit a complete claim and use the plan’s internal appeal process when a benefit claim is denied.
- Escalate a suspected breach or denial. Consider advice from an ERISA attorney or qualified benefits adviser when the facts suggest a fiduciary breach, a coverage dispute, or a pension termination problem. Professional advice should be based on the actual plan, policy, event, and deadlines.
- For PBGC questions, verify status first. Confirm that the plan is covered and whether it has terminated. Review the funding notice and PBGC notices before assuming a benefit is guaranteed or calculating a shortfall.
Common situations and the likely responsibility path
Money is stolen by someone who handles plan assets
First examine the fidelity bond: whether the person was covered, the conduct fits fraud or dishonesty, the plan is the insured party, and the limit is sufficient. If the bond was improperly arranged or materially inadequate, the procurement decision may raise a fiduciary issue. A separate fiduciary-breach analysis is necessary if weak controls or supervision contributed to the loss.
An investment committee makes an imprudent decision
This is generally a fiduciary-responsibility question, not a fidelity-bond claim. Determine who exercised discretion, what process was used, whether conflicts were managed, and whether the decision caused a plan loss. A fiduciary-liability policy may respond only if its terms cover the claim.

Determine whether the plan is PBGC-covered, whether it is single-employer or multiemployer, and whether the termination was standard, distress-related, or PBGC-initiated. PBGC may guarantee only the benefit and amount allowed by law; the employer is not automatically required to make up every difference merely because the statement showed a larger benefit.

A provider made an error
Review the service agreement and the function delegated. The provider may be responsible for a function it accepted, while the appointing fiduciary may still face questions about prudent selection and monitoring. The error’s effect, correction efforts, and any applicable bond or liability policy must be analyzed separately.
What a coverage gap does—and does not—prove
An inadequate bond does not automatically prove that the insurer must pay, nor does it automatically establish that the employer or a particular fiduciary caused the loss. A policy exclusion does not by itself answer whether a fiduciary breached ERISA. Likewise, PBGC’s involvement does not mean every promised benefit is fully protected.
The decisive documents are the plan terms, bond or insurance contract, fiduciary records, claim correspondence, funding notices, and termination documents. General DOL and PBGC guidance explains the framework, but it does not decide an individual claim. Responsibility must be assigned after comparing the actual event with those documents and the governing law.

When retirement-plan coverage falls short, identify the protection first. The official who procured an ERISA fidelity bond is responsible for obtaining appropriate coverage; a fiduciary who breaches ERISA duties may be personally liable for resulting losses; an insurer or surety answers under its contract; and PBGC may pay only covered pension benefits within statutory limits after the required termination conditions are met. No single party is automatically responsible for every gap, so the plan type, event, policy language, and termination status must be reviewed together.
