Authority usually comes from the franchise’s ownership entity, trust instrument, operating agreement, board rules, succession plan or family settlement. Those documents may give management and voting power to someone who does not own the largest economic share. Separately, the NBA recognizes a team Governor or controlling owner and may have to approve a transfer of ownership or effective control.
In a live dispute, the decisive forum may be a family agreement, court, mediator or arbitrator. The answer therefore requires separating economic ownership, internal decision rights and league-facing authority rather than assuming that the eldest relative or biggest shareholder automatically prevails.

The three kinds of “control” that must be separated
NBA ownership disputes become confusing when people use “owner” and “controller” as if they mean the same thing. A family can divide economic interests, voting rights and day-to-day authority among different people or entities.

Economic ownership means who is entitled to the financial benefits of the franchise. The interest may be held directly by relatives, by a family trust or by a company that owns the team. A person can have a valuable economic interest without having the right to appoint managers, sign league documents or direct operations.

Internal decision rights
The ownership company’s operating agreement, trust instrument, shareholder agreement, board rules, succession plan or later settlement may assign the power to vote, appoint or remove directors, approve a sale, or overrule a manager. A percentage stake alone may not answer those questions. Supermajority provisions, veto rights and trustee powers can make a minority holder decisive on a particular issue.
NBA-recognized authority
For league purposes, the NBA deals with a recognized team Governor and, where applicable, a controlling owner. The league’s Constitution and By-Laws also give the Board of Governors a role in ownership transfers and league governance. A 2019 reproduction of that text says the Association and its members are subject to Board of Governors oversight and control and describes a general three-fourths vote for a transfer, with exceptions. Because that copy is hosted outside NBA domains and may not be the current edition, anyone handling a live transaction should verify the current governing text at the time of the deal: NBA Constitution and By-Laws (2019 reproduction).
League recognition does not erase private-law rights. The person listed as Governor may still be constrained by a trust, board resolution, court order or arbitration award.
How to determine who can act for a team
- Identify the legal owner. Find the entity named in franchise and league records: an individual, limited liability company, corporation, partnership or trust.
- Find the current NBA Governor and controlling owner designation. League announcements often identify the principal owner and Governor. The NBA’s announcement of the Nets sale to Joe Tsai is an example of the league formally approving a sale and identifying its recognized leadership: NBA Board of Governors approves sale of Nets to Joe Tsai.
- Read the governing documents. Check who can appoint and remove directors, replace trustees, approve a sale, issue a vote, or bind the entity. Look for quorum, supermajority, deadlock and conflict provisions.
- Check later agreements and orders. A family settlement, consent order, mediation agreement or arbitration award may have changed the original allocation of power.
- Separate an internal authorization from NBA approval. A family may have authority under its documents to sign a sale agreement, but the transaction may not close until the Board of Governors approves the buyer and any change in effective control.
If the documents conflict or are disputed, the practical answer may remain unsettled until a court, mediator or arbitrator interprets them.

Does owning more of the team mean you control it?
Not necessarily. Ownership percentage is evidence of economic exposure, but control depends on the rights attached to the interest and on the entity’s governing documents. A trust can own the shares while co-trustees exercise voting authority. A board can manage a company even when several relatives own it. A family agreement can designate one person as controlling owner while preserving financial interests for siblings.
Even a recognized Governor does not necessarily decide every matter alone. The Governor’s authority may be limited by board approvals, trustee duties, contractual covenants, league rules or a court order. Conversely, a relative with a smaller stake may have a veto or appointment right that gives practical control over a specific decision.
What happens when relatives challenge the designated controller?
Family agreement: the Lakers dispute in 2017
In March 2017, a dispute among Jerry Buss’s children raised questions about Jeanie Buss’s authority over the Lakers. NBA.com, citing the Associated Press, reported that her brothers sought a board meeting that she viewed as a challenge. The dispute ended in an agreement providing that Jeanie would serve as controlling owner for the rest of her life, alongside related court activity and a trustee change: NBA.com/AP report on the Lakers agreement.
Jeanie Buss’s attorney, Adam Streisand, said: “It’s hard to imagine a better outcome. Jeanie will run the team, just as Dr. Buss (late owner Jerry Buss) always intended.” That statement describes the negotiated resolution, not a rule that the oldest child, the largest shareholder or a particular gender automatically controls an NBA franchise.

The situation later evolved. In an Associated Press report dated August 17, 2026, Jeanie Buss was contesting siblings’ proposed sale of the family trust’s remaining Lakers stake. Her attorney argued that the sale could not be effectuated without approval from the current co-trustees, Jeanie, Janie and Joey Buss. The report also said Jeanie had been the Lakers’ Governor since Jerry Buss’s death, that the Governor position required at least 15% ownership, and that Mark Walter was majority owner after an earlier purchase of a controlling stake. Those are reported facts as of that date, not a timeless description of the Lakers’ ownership: Associated Press report on the Lakers family stake dispute.
Mediation and arbitration: the Timberwolves transaction
The Timberwolves dispute shows a different route. Glen Taylor challenged the proposed sale to Marc Lore and Alex Rodriguez. According to the Associated Press, the disagreement went through mediation and then arbitration, where a three-member panel ruled for Lore and Rodriguez. The NBA Board of Governors approved the purchase in June 2025, after that contractual dispute-resolution process: Associated Press report on Timberwolves approval.
The sequence matters. An arbitration award can determine whether the parties’ agreement permits a transaction, while NBA approval remains a separate league step. Neither process should be treated as proof that a family member’s economic percentage automatically controls.

Trust settlement and league proceedings: the Clippers
In 2014, the NBA, Shelly Sterling and the Sterling Family Trust announced a settlement under which the Clippers would be sold to Steve Ballmer, subject to Board of Governors approval. The NBA also agreed to withdraw its pending effort to terminate the Sterlings’ ownership. The official release demonstrates how a trust’s sale authority, a negotiated settlement and league disciplinary or approval proceedings can converge: NBA Communications release on the Sterling settlement.

Why NBA approval is a separate question
The league’s approval concerns whether a proposed buyer or controlling structure satisfies NBA requirements. It does not necessarily decide whether one sibling complied with a trust, whether a board vote was valid or whether a trustee breached a fiduciary duty.
For example, a family may sign a transaction that its documents authorize, then seek Board approval. Alternatively, one family faction may claim that the signer lacked authority, forcing litigation or arbitration before the league can treat the transfer as effective. A Board vote therefore cannot, by itself, resolve every private dispute among family owners.
The 2019 reproduced Constitution and By-Laws describes a general three-fourths Board vote for a transfer and mentions exceptions. The exact threshold, definitions and exceptions should be checked in the current NBA text before relying on it in a transaction. Do not use the 2019 reproduction as a substitute for current legal advice or current league documents.
What a family should examine before making a decision
- Trust terms: Identify the trustees, successor-trustee mechanism, voting standard and whether a trustee may sell or pledge the interest.
- Company agreement: Check classes of ownership, voting rights, manager appointment, removal procedures, deadlock rules and transfer restrictions.
- Board records: Confirm whether directors were properly appointed, whether notice and quorum requirements were met, and whether a resolution authorizes the proposed action.
- Family settlements: Locate releases, lifetime-control promises, buy-sell provisions and any agreement that modified succession arrangements.
- Purchase agreements: Read conditions to closing, arbitration clauses, mediation requirements, representations about authority and termination rights.
- League filings: Confirm who the NBA recognizes as Governor and what approvals are needed for a transfer or change in effective control.
- Orders and awards: Treat court orders and arbitration awards as controlling until modified or overturned.
Because these documents can impose fiduciary duties and deadlines, parties should preserve notices, board minutes, trust communications and transaction drafts while obtaining advice from counsel qualified in the relevant state and entity law.

Possible outcomes when the family remains divided
Negotiated settlement
A settlement can name a controlling owner, divide financial proceeds, change trustees or establish a timetable for a sale. The 2017 Lakers agreement is an example of control being settled by agreement rather than by a league-wide formula.
Court decision
A court may interpret the trust or company agreement, decide whether a board action was valid, appoint a receiver or issue an injunction blocking a sale. The result depends on the governing state law, the pleadings and any evidence of the founder’s intent.
Mediation
Mediation lets the parties negotiate with a neutral facilitator. It produces a binding result only if the parties sign an enforceable settlement, but it can avoid the delay and publicity of a trial.

Arbitration
If the governing contract contains an arbitration clause, an arbitrator or panel may decide whether a purchase agreement permits the transaction. The Timberwolves dispute shows that an arbitration ruling can precede NBA approval.
League review
After the private authority question is resolved, the NBA may review the buyer, ownership structure and proposed control. Approval is a league condition, not a substitute for proving that the family representative had authority to sign.
An unusual historical exception: when the NBA owned the team
The ordinary model assumes a private ownership group. During the period when the NBA itself owned the New Orleans Hornets, responsibility was allocated differently. In a December 9, 2011 statement, Commissioner David Stern said: “Since the NBA purchased the New Orleans Hornets, final responsibility for significant management decisions lies with the Commissioner’s Office in consultation with team chairman Jac Sperling.” The statement applies to that unusual league-owned period, not to the normal governance of a privately owned franchise: NBA Commissioner David Stern statement.
The practical answer
When family members disagree, control goes to the person or body with the applicable decision right under the trust, company documents, settlement or binding adjudication—not automatically to the eldest relative or the holder of the largest economic stake. The NBA-recognized Governor matters for league-facing authority, and a transfer or change in effective control may require Board approval. To identify the lawful controller in a particular case, trace the ownership entity, read the operative documents, check later orders or awards, and then verify the NBA’s current requirements.
