The Outbound Investment Security Program restricts defined transactions by U.S. persons involving covered persons linked to mainland China, Hong Kong, or Macau when the transaction concerns specified activities in semiconductors and microelectronics, quantum information technologies, or artificial intelligence. Depending on the transaction, technology and technical thresholds, the result is either a prohibition, a Treasury notification requirement, an exception, or no coverage under the program.
The final rule took effect on January 2, 2025. Treasury updated its frequently asked questions on December 23, 2025, and announced an enforcement penalty on October 7, 2026. A transaction-specific determination requires the full text of 31 CFR part 850, the applicable definitions and exceptions, and records showing the inquiry used to reach the conclusion.

What the outbound investment program actually regulates
The program implements Executive Order 14105 through 31 CFR part 850. It identifies the People’s Republic of China, Hong Kong and Macau as jurisdictions of concern, but geography alone does not decide whether an investment is restricted. The analysis combines several questions:
- Does the participant satisfy the regulation’s defined U.S. person test?
- Is the counterparty a covered foreign person under the rule?
- Is the proposed activity one of the covered technology activities?
- Does the transaction fit a covered form and meet the relevant technical conditions?
- Does an exception apply, or is the transaction outside the program?
Calling a company “Chinese,” “a semiconductor business” or “an AI company” is therefore not enough. A business may operate in a covered jurisdiction without every investment in it being prohibited, and a transaction involving a less obvious corporate structure can still be covered if the regulatory tests are met.

Transaction types that can be covered
The regulation reaches more than a conventional purchase of common stock. Depending on the definitions and conditions in part 850, covered forms can include:
- Acquisitions of equity interests or contingent equity interests, including conversion of a contingent interest.
- Debt financing that carries specified rights or features.
- Greenfield investments and certain expansions of an existing operation.
- Joint ventures.
- Certain limited-partner investments.
The completion date, rights attached to the instrument, control relationship and purpose of the transaction can change the result. An investment memorandum should describe those facts rather than relying on a sector label or a ticker symbol.
Which technology areas are covered?
The rule has three technology pillars. Each pillar contains activity descriptions and technical thresholds that separate prohibited transactions from transactions that are allowed only after notification. The thresholds are regulatory tests, not general descriptions of an industry.

Prohibited transactions can involve specified electronic design automation software; certain semiconductor fabrication or advanced-packaging equipment; the design or fabrication of specified advanced integrated circuits; specified advanced packaging techniques; and supercomputers.
Other covered transactions involving integrated-circuit design, fabrication or packaging may be notifiable rather than prohibited when they do not meet the prohibition criteria. The distinction depends on the technical specifications in part 850. A fund cannot safely treat an investment as prohibited merely because the target makes chips, nor can it assume that a non-leading-edge product is outside the rule without checking the definitions.

Quantum information technologies
Prohibited activity includes developing quantum computers or producing critical components required to produce a quantum computer. The rule also identifies specified quantum sensing platforms and specified quantum networks or quantum communication systems.
These categories are technology-specific. A company that uses quantum methods as one research tool is not automatically equivalent to a business developing a regulated quantum computer or communication system. The target’s actual activities, products, research program and role in the supply chain must be mapped to the regulatory language.
Artificial intelligence
The AI provisions cover specified AI systems and divide covered transactions between prohibited and notifiable categories. “AI” is too broad a description to predict the answer. The analysis must identify the system, the regulated end use or capability, the applicable technical conditions and the transaction connecting the U.S. person to the covered foreign person.
Treasury’s FAQ explains that versions, adaptations, derivatives, subsequent generations or successor systems may need to be assessed as distinct systems in the context of the end-use tests. A product roadmap should therefore be reviewed when an investment funds a platform that can be modified after closing; the name of the current model alone may not capture the relevant system.
When is a transaction prohibited versus notifiable?
There are four practical outcomes:
| Outcome | What it means | Action for the U.S. person |
|---|---|---|
| Prohibited | The transaction meets a prohibited-activity definition and the other coverage tests. | Do not complete the covered transaction. |
| Permitted but notifiable | The transaction is covered but falls in a category requiring notice rather than a ban. | Submit the required electronic notification according to Treasury’s filing instructions. |
| Excepted | An explicit regulatory exception applies, subject to its conditions. | Document each condition and retain the supporting analysis. |
| Outside scope | The U.S.-person, covered-person, transaction or activity tests are not met. | Keep records explaining why the program does not apply. |
Treasury does not provide a case-by-case review or preclearance process under this program. The U.S. person undertaking the transaction is responsible for making the classification and filing a notification when required. A notification is not permission to proceed with a transaction that is actually prohibited.

How to analyze a proposed investment
A repeatable review helps prevent a deal team from stopping at the target’s country of incorporation or a broad technology description. Use the following sequence for each transaction.
- Identify every U.S. person involved. List the investor, fund manager, general partner, investment adviser, lender, director, employee and other participants whose status may matter under the regulation’s defined U.S.-person test.
- Map the counterparty and ownership chain. Identify the immediate target, subsidiaries, parent entities, joint-venture partners and other relevant affiliates. Determine whether any entity meets the covered foreign person definition, including through the activities or ownership relationships specified by part 850.
- Classify the instrument and deal structure. Describe whether the transaction is an equity acquisition, contingent equity conversion, rights-bearing debt financing, greenfield project, expansion, joint venture or limited-partner investment. Record the signing and completion dates and the rights conveyed.
- Describe the technology in operational terms. Obtain product descriptions, technical documentation, development plans, facility information and revenue or activity breakdowns. Separate current products from planned systems and from unrelated business lines.
- Test the technical conditions. Compare the target’s activities and systems with the semiconductor, quantum and AI definitions and thresholds in part 850. Do not substitute a marketing category such as “advanced,” “cloud AI” or “quantum-ready” for the regulatory test.
- Check the four outcomes. Decide whether the transaction is prohibited, notifiable, excepted or outside scope. If the facts are incomplete, identify the missing information instead of assuming the least restrictive result.
- Preserve a diligence record. Keep ownership charts, questionnaires, technical answers, contracts, board materials, searches and the reasoning behind the conclusion. Treasury’s FAQs address the knowledge standard and reasonable, diligent inquiry; those concepts make the quality of the record important even when a deal is ultimately outside scope.
- File when required. For a notifiable covered transaction, use Treasury’s electronic filing process and follow the applicable timing and content instructions. A filing should match the completed diligence record and identify the transaction, parties, technology activity and basis for notification.
Exceptions do not create blanket permission
Part 850 contains conditional exceptions. The principal groups described by Treasury include certain transactions in publicly traded securities and derivatives, specified limited-partner investments, certain intracompany transactions between a U.S. parent and its controlled foreign entity, and employee compensation involving stock or stock options.
Each exception has boundaries. A publicly traded security exception is not a universal exemption for private placements, negotiated control rights or every fund structure. A limited-partner exception depends on the specified conditions, including the nature of the interest and the investor’s rights. An intracompany transfer must be tested against the rule’s requirements rather than treated as automatically harmless. Compensation arrangements also depend on the covered instrument and circumstances.
When relying on an exception, write down the exact provision and each factual condition. If a later amendment changes governance rights, ownership, financing or the target’s technology activities, reassess the exception rather than carrying it forward automatically.
What changes when a target pivots or a system evolves?
Coverage is not necessarily frozen at the first product description. Treasury’s FAQ addresses later business pivots and the treatment of versions, adaptations, derivatives, subsequent generations and successor AI systems. A company that adds a regulated activity after an investment, or changes a system so that it meets an end-use condition, can create a new compliance question.

Investors should build review points into ongoing governance: monitor material changes to product lines, facilities, research programs, ownership, joint ventures and financing rights; require notice of a planned pivot; and preserve the information used for each reassessment. The program’s application to a later event depends on the facts and the regulatory definitions in force at that time.

The final rule was issued on October 28, 2024, published in the Federal Register on November 15, 2024, and became effective on January 2, 2025. Treasury’s FAQs were updated on December 23, 2025. Those dates matter when a transaction was signed, amended or completed across the rule’s effective date; the relevant provisions and transition language must be checked for the specific deal.
On October 7, 2026, Treasury announced an enforcement penalty for a violation. The announcement confirms that the program is being enforced, but it does not establish that every violation receives the same penalty or answer how the rule applies to an unrelated fact pattern. Companies should treat compliance files, certifications and notification records as enforcement-facing documents.
Common mistakes that lead to a wrong answer
- Using nationality as the only test. The program focuses on U.S.-person status, covered foreign persons, transaction form and specified activities, not a simple “Chinese company” label.
- Assuming every technology investment is banned. The three sectors contain both prohibited and notifiable categories, plus exceptions and transactions outside scope.
- Relying on a product name. Technical definitions and thresholds control; marketing language does not.
- Ignoring rights in debt or fund documents. A financing or limited-partner interest can be covered because of the rights attached to it.
- Failing to examine affiliates and joint ventures. The relevant covered-person and activity analysis can extend beyond the immediate issuer.
- Treating a notification as approval. Treasury does not preclear transactions, and a filing does not legalize a prohibited deal.
- Stopping diligence at signing. Pivots, new systems and successor products can require a fresh assessment.
- Keeping no written rationale. Without a record of the reasonable and diligent inquiry, it is difficult to demonstrate why a transaction was classified a particular way.
A practical decision framework for deal teams
Before an investment committee vote or closing, ask six questions in order:
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches- Which participants are U.S. persons under the regulation?
- Which entities, facilities or joint ventures may be covered foreign persons?
- What exact transaction form and rights are being proposed?
- Which semiconductor, quantum or AI activity is involved, if any?
- Do the technical thresholds make the result prohibited or notifiable, and does a documented exception apply?
- What evidence supports the conclusion, and what filing or monitoring obligation remains?
If any answer is unresolved, pause the classification and obtain the missing ownership, contractual or technical facts. The program places the determination responsibility on the U.S. person, so a defensible process is part of the transaction’s compliance outcome.

Scope of this overview
This article explains the structure of the U.S. outbound investment program; it is not a legal determination for an individual investment. The controlling materials are the current text of 31 CFR part 850, Treasury’s final-rule explanation and Treasury’s current FAQs. Those materials contain the detailed AI thresholds, semiconductor specifications, exceptions, filing requirements and definitions needed to apply the rule to particular facts.
Frequently Asked Questions
Does investing in a publicly traded Chinese company automatically violate the outbound investment rule?
No. Certain publicly traded securities and derivatives may fall within a conditional exception, but the exception has limits. The investor must test the instrument, rights, parties and other conditions in 31 CFR part 850 rather than treating every listed security as exempt.
Does Treasury review a proposed deal and tell an investor whether it is allowed?
No. Treasury does not conduct a case-by-case preclearance process under this program. The U.S. person must determine whether the transaction is prohibited, notifiable, excepted or outside scope and must file electronically when notification is required.
What should an investor do if an AI target changes its model after closing?
Reassess the investment when the target develops a new version, adaptation, derivative, subsequent generation or successor system, or pivots into a new activity. Treasury’s FAQ indicates that these systems may need separate analysis under the applicable end-use tests.
