Where to Find and Verify Corporate Reclassification Filings on BSE and NSE

To verify a promoter or promoter-group reclassification, search the issuer’s filings on both exchanges, open the original attachment, and identify the exact procedural stage. On NSE, start with Corporate Filings Announcements and then check the issuer’s later Shareholding Pattern. On BSE, use Corporate Announcements with the company name or security code. An announcement saying that an application was submitted proves only that filing stage—not that the exchange approved it. Confirmation requires a later acceptance or rejection record and a subsequent shareholding-pattern check.

What a reclassification filing actually records

Under SEBI’s Listing Obligations and Disclosure Requirements (LODR) framework, Regulation 31A, a promoter or promoter-group reclassification changes how specified holders are shown in the listed company’s ownership disclosures. The process can generate several separate records. They do not all have the same evidentiary value.

As an Amazon Associate I earn from qualifying purchases.

  • Request or intention: A holder asks the company to be moved from the promoter category, often with reasons and declarations.
  • Board action: The board considers the request and records its views or approves proceeding with an application.
  • Shareholder process: A company may disclose a notice or resolution where the applicable rules require shareholder consideration.
  • Application to an exchange: The issuer submits a formal reclassification application through the exchange’s prescribed channel.
  • Exchange outcome: The exchange issues an acceptance, approval, rejection or other decision, potentially subject to conditions.
  • Later ownership disclosure: A subsequent quarterly shareholding pattern reflects the categories after the decision is implemented.

These stages may appear as different announcements, sometimes weeks or months apart. A headline that says “application for reclassification” should therefore never be described as an approval.

Where to search on NSE

Corporate Filings Announcements

Open NSE’s Corporate Filings Announcements page and select or search the issuer by its NSE symbol. Search a broad date range rather than only the date mentioned in a news story. Use terms such as reclassification, promoter, promoter group, public category, application, approval, acceptance, rejection and status of promoter reclassification.

Each result can show the issuer’s title, the time NSE received the filing and the time it disseminated the information. Open the attachment instead of relying on the title. The attachment normally identifies the applicants, the category change requested, the event or document date, and any conditions or qualifications.

NSE filing timelines can contain separate entries for a request being received and a later approval-related communication. The Fusion Finance entries shown on NSE illustrate the type of multi-stage timeline that can occur; that example is not a universal naming convention for every issuer.

Shareholding Pattern

After locating an exchange decision, open the issuer’s NSE Shareholding Pattern filing page and inspect the next available quarterly filing. The page separates promoter and promoter-group holdings from public holdings, making it possible to check whether the relevant names and quantities moved categories.

This is a consistency check, not a substitute for the decision letter. Shareholding data can appear only in a later required filing, so a pattern published before the decision may still show the old classification.

Compliance checklist

NSE’s Compliance Information Checklist includes a downloadable item titled Re-classification of Promoters. The page was marked updated on 25 August 2026. Use the live version when checking documentary requirements; do not rely on an old third-party checklist.

Where to search on BSE

Corporate Announcements

Use BSE’s Corporate Announcements search with the listed company name or its BSE security code. A BSE record can display the code, company name, announcement title, exchange-received time, dissemination time and an attachment.

An announcement for The Hi-Tech Gears Ltd, for example, describes submission of a reclassification application. Its wording demonstrates why the attachment and later records matter: “application submitted” identifies a procedural event, not the exchange’s final decision.

Listing Centre route for an application

BSE’s filing guidance states: “The Reclassification of Promoters application can be filed through the Listing Module – Reclassification of Promoters.” This is an issuer filing route in Listing Centre, not the public search page used by investors. The guidance also says physical filings are not accepted through that process.

The BSE checklist distinguishes disclosure of the application from disclosure of the exchange’s subsequent decision. It refers to an exchange letter of acceptance subject to compliance and calls for disclosure after approval or rejection. Because filing requirements and timing can change, check the current BSE guidance and the applicable regulation for the case you are reviewing.

NSE and BSE: what to compare

Check NSE BSE

Outcome evidence A later acceptance, approval, rejection or decision filing A later exchange decision or acceptance/rejection communication
Time fields Exchange-received and dissemination timestamps may both be shown Exchange-received and dissemination timestamps may both be shown
Issuer identifier Symbol, legal company name and filing details Security code, legal company name and filing details

For a company listed on both exchanges, treat the two portals as corroborating records, not guaranteed duplicate copies. Titles, attachments and timestamps can differ. Record what each exchange actually shows.

Step-by-step verification workflow

1. Identify the issuer precisely

Write down the legal company name, NSE symbol, BSE security code and the exchanges on which it is listed. Confirm that a similarly named company is not being selected. A dual-listed issuer can publish related records on both portals with different received or dissemination times.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

2. Search a complete date window

Begin before the reported request date and continue beyond it. Include enough time to capture board consideration, any shareholder process, the exchange application, the decision and the next quarterly shareholding filing. Search both broad and exact terms because one filing may say “promoter group” while another says “reclassification.”

3. Open every relevant attachment

For each result, save the original letter or PDF and note:

  • the issuer’s exact filing title and description;
  • the document or event date;
  • the names and categories of the applicants;
  • the date and time the exchange received the filing;
  • the dissemination date and time;
  • the stated procedural stage; and
  • conditions, declarations or qualifications in the attachment.

The headline may omit a condition that appears only in the attachment. Keep the document with your notes so another reader can reproduce the conclusion.

4. Label the stage without overclaiming

Use the narrowest description supported by the record. “Request received by the company,” “board approved proceeding,” “application submitted to NSE,” “application submitted through BSE Listing Centre,” “exchange approval issued” and “quarterly filing shows public category” are different statements. Do not collapse them into the single word approved.

5. Locate the actual exchange decision

Search later announcements for an acceptance letter, approval, rejection or other formal decision. On BSE, the exchange guidance distinguishes the application from the subsequent decision and describes an acceptance letter subject to compliance. On NSE, approval-related filings can appear separately from the original request. If no decision record is available, report that the application was found but approval was not verified.

6. Check the next shareholding pattern

Open the next available quarterly ownership filing after the decision date. Compare the applicants’ names, number of shares and category before and after the claimed reclassification. Check whether the relevant holders appear under public rather than promoter or promoter-group categories, while allowing for the filing’s reporting date and any intervening transactions.

7. Read the rule version that applied

Use the current text of SEBI LODR Regulation 31A and relevant amendments or circulars. The consolidated text available in 2025 notes that a 2024 amendment took effect on 13 December 2024. A historical case should be evaluated under the rule and facts applicable at that time; applying a newer summary mechanically can produce a wrong conclusion.

8. Build a dated evidence trail

Create a chronology with one row per event. Include the event date, exchange received time, dissemination time, filing title, attachment date, source portal and the status the record proves. Mark any gap—such as an application with no accessible decision—as unresolved rather than filling it with an assumption.

How to read the supporting papers

Actual applications can contain more than a cover letter. An NSE-hosted CAMS filing from one case includes the applicant’s request and rationale, board resolution and board views, company confirmations, pre- and post-reclassification shareholding patterns and a chronology of disclosures. Those materials show the kinds of documents an issuer may assemble, but they do not establish that every issuer’s file will have identical contents.

Use the live NSE checklist, the current BSE guidance and the regulation as the controlling references for documentary requirements. A company’s own explanation can establish what it requested or disclosed; only the exchange’s decision establishes whether the exchange accepted or rejected the application.

Resolving common discrepancies

Different dates on the same filing

Keep the document date, exchange-received timestamp and public dissemination timestamp separate. The issuer may sign a letter on one day, submit it on another and have it disseminated later. None of these dates alone proves approval.

One exchange shows a result and the other does not

Search the second exchange again using the legal name, symbol or code and a wider date range. Attachments may use different titles. If the result still appears on only one portal, record that asymmetry and identify which exchange’s decision you located.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Shareholding pattern does not yet reflect the decision

Check the filing period and publication date. A quarterly pattern can lag an approval. Confirm that the names and holdings match and look for a later pattern before concluding that the categories were not changed.

Announcement says “approved” without an exchange letter

Read the attachment to determine whether “approved” refers to the company board, shareholders or the exchange. A board’s approval to submit an application is not an exchange approval. Treat the exchange decision document as the controlling evidence.

Frequent mistakes to avoid

  • Searching only one exchange for a dual-listed company.
  • Using a company name without checking the NSE symbol or BSE security code.
  • Reading only the announcement headline and not the attachment.
  • Calling an application-submission notice an approval.
  • Ignoring received and dissemination timestamps.
  • Checking an earlier shareholding pattern instead of the first one after the decision.
  • Applying a historical Regulation 31A summary to a later case without checking amendments.
  • Silently reconciling conflicting records instead of reporting the discrepancy.

When the public record is not enough

If an investor’s eligibility, voting rights, disclosure obligations or a disputed category change depends on the exact facts, obtain advice from a securities-law or listed-company compliance professional. The exchange portals establish what was filed and what decision was published; they do not by themselves resolve every legal question about a holder’s eligibility.

Exchange interfaces and issuer records are changeable. Revisit the live portals and the applicable SEBI text when making a current decision. The practical standard is simple: preserve the original attachment, identify the stage it proves, find the exchange outcome, and verify the next ownership filing.
