Where to Find a Company’s Shares Outstanding and Calculate Insider Ownership

For a U.S. public company, start with the latest Form 10-K or Form 10-Q cover page to find shares outstanding, then open the definitive proxy statement (DEF 14A) for directors’ and officers’ beneficial ownership. Record the share class and each filing’s “as of” date before calculating: insider ownership percentage = beneficially owned shares ÷ applicable shares outstanding × 100. Read the proxy footnotes first, because SEC beneficial-ownership rules can count options or convertible securities exercisable within 60 days for a particular holder.

Use this filing sequence

The most reliable workflow uses several SEC filings for different purposes. A cover page gives a company-wide issued-and-outstanding count on a stated date; a proxy statement explains which shares each insider is considered to beneficially own; later insider filings can show changes after the proxy was prepared. Do not treat any one number as a live, continuously updated total.

  1. Open the company’s EDGAR filing page. Search by legal name or ticker, confirm the issuer’s identity and reporting period, and open the filing list. EDGAR contains annual reports, quarterly reports, proxy statements, Forms 3 and 4, and large-shareholder ownership filings. The SEC’s company-search interface is available at https://www.sec.gov/edgar/browse/?CIK=0000071829; replace the example company with the issuer you are researching.
  2. Read the newest Form 10-K or 10-Q cover page. Copy the exact number of shares outstanding, the class (for example, common stock or Class A common stock), and the date following “as of.” This is your dated company-wide reference count.
  3. Open the latest definitive proxy statement (DEF 14A). Within the document, search for “Security Ownership,” “Beneficial Ownership,” “Directors and Executive Officers,” or similar wording. Find the table’s measurement date, each named holder’s beneficially owned shares, the percentage column, and all footnotes.
  4. Check Form 10-K Item 12 and its incorporation language. Item 12 is titled “Security Ownership of Certain Beneficial Owners and Management and Related Stockholder Matters.” Many issuers state that this information is incorporated by reference from a proxy to be filed later instead of reproducing the table in the 10-K. The SEC’s explanation of this filing structure appears in How to Read a 10-K.
  5. Review later Forms 3 and 4 when recency matters. Form 3 reports an insider’s initial ownership and Form 4 reports subsequent changes. They can reveal purchases, sales, option exercises or grants after the proxy’s measurement date, but they do not replace the proxy’s definitions and denominator.

Where the shares-outstanding number appears

10-K and 10-Q cover pages

Look near the top of the filing’s first page for a sentence such as “As of [date], [number] shares of [class] were outstanding.” Copy it exactly. The date may be weeks or months before you are reading the filing, and the count can change immediately after through an issuance, repurchase, conversion or exercise.

A 10-K is annual; a 10-Q is quarterly. If a newer 10-Q is available, it generally provides a more recent cover-page snapshot than the prior 10-K. Neither count automatically updates for transactions that occurred after its stated date.

Issued and outstanding is not the same as beneficially owned

The cover-page figure describes shares the company reports as issued and outstanding for a particular class. A proxy’s beneficial-ownership table applies SEC rules to individual holders. Those rules can attribute shares held indirectly through a trust, a spouse, a family member or shared voting or investment power, and can include certain securities that are not currently issued as common shares. Comparing the two numbers without reading the definitions can produce a misleading percentage.

How to read the proxy ownership table

Confirm the table’s measurement date

Most proxy tables state a date such as “as of [date].” Write that date beside every figure you copy. It commonly differs from the 10-K or 10-Q cover-page date. A proxy prepared in April may use an ownership snapshot from early April while the latest 10-K cover page uses a February date.

Identify the exact security class

Keep Class A, Class B, preferred stock, voting and non-voting classes separate unless the proxy explicitly combines them. A company with dual-class stock may show separate outstanding counts and separate ownership percentages. Never divide a Class B beneficial-ownership figure by a Class A-only denominator.

Read every footnote attached to a holder

Footnotes explain whether the reported amount includes:

  • Options, warrants or restricted securities exercisable or convertible within 60 days;
  • Shares held through a trust, spouse, family member or controlled entity;
  • Shared voting power or shared investment power;
  • Shares that are excluded because the holder lacks beneficial ownership; and
  • The denominator used for that holder’s percentage.

The SEC’s 10-K guide describes Item 12 as covering directors, officers, certain large shareholders and shares covered by equity compensation plans. The proxy’s own definitions and footnotes control the calculation for that issuer.

Calculate insider ownership correctly

Basic formula

For one holder and one class, use:

Beneficial ownership percentage = beneficially owned shares ÷ applicable shares outstanding × 100

If a proxy reports 12,500 beneficially owned shares and the applicable class has 100,000 shares outstanding, the calculation is 12,500 ÷ 100,000 × 100 = 12.5%. This is an illustration of the arithmetic, not a claim about a particular issuer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Prefer the company’s reported percentage when available

If the proxy gives both a share amount and a percentage, use that reported percentage as the primary result and use your arithmetic as a check. The company may have added holder-specific options or convertible securities to the numerator and denominator under SEC rules. A simple division using only the cover-page count can therefore differ from the printed percentage.

Document the inputs

A reproducible calculation should state all of these items:

  • The holder’s name and role;
  • The security class;
  • Beneficially owned shares, including any footnote-defined components;
  • The denominator used by the proxy, or the cover-page outstanding count if you are calculating independently;
  • The ownership table’s “as of” date; and
  • The cover-page count’s separate “as of” date.

For example, write “12,500 Class A shares beneficially owned as of April 6, divided by the applicable Class A denominator; the company-wide cover count is dated February 20.” That wording makes clear that the two snapshots are not contemporaneous.

Do options and convertibles count?

Often, yes—but not in the same way for every shareholder. SEC beneficial-ownership rules generally treat securities that a named holder can acquire within 60 days through an option, warrant or conversion right as beneficially owned by that holder. The underlying shares can be included in that holder’s numerator and in the denominator used to calculate that holder’s percentage. Those same underlying shares are not automatically added to another holder’s denominator.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Because this is holder-specific, two people in the same table can have percentages calculated with different effective denominators. A footnote may say that an executive’s figure includes options exercisable within 60 days, while the company-wide outstanding count on the 10-K cover page excludes those unissued shares. Do not “correct” the proxy by adding every outstanding option to one universal denominator.

Convertible securities, warrants and similar instruments require the same close reading. The table may include only the portion convertible within 60 days, may identify conversion terms in a footnote, or may exclude instruments that do not meet the timing test. Use the issuer’s stated treatment rather than assuming all unexercised awards count.

Why figures differ between filings

Figure or filing What it is designed to show What to verify
10-K cover page Company-wide shares outstanding at a stated date for a stated class Class, reporting period and “as of” date
10-Q cover page Quarterly company-wide snapshot, usually newer than the prior 10-K Class and date; whether a later transaction occurred
DEF 14A ownership table Beneficial ownership of directors, officers and certain large holders under SEC attribution rules Measurement date, denominator, options, convertibles and indirect ownership footnotes
Form 3 An insider’s initial beneficial ownership report Filing date versus transaction or ownership date and security type
Form 4 Changes in an insider’s beneficial ownership Transaction code, number of shares, price and any derivative security details

When two percentages conflict, compare filing purpose first, then class, measurement date, holder-specific securities and the definition of “beneficially owned.” A later filing may be newer but still use a different convention from the proxy.

Examples from actual SEC documents

Reliance, Inc.: a two-step lookup

Reliance’s 2025 Form 10-K cover page reports 51,733,277 common shares outstanding as of February 20, 2026. The filing says management ownership information will be included in the proxy statement by reference. You would therefore use the cover page for the dated outstanding count, then open the referenced proxy’s ownership section for insider amounts and footnotes. The filing is at https://investor.reliance.com/sec-filings/10-k-filings/content/0001104659-26-020651/rs-20251231x10k.htm. That figure is specific to Reliance and that date; it is not a current count for other companies.

Alphabet: separate classes and a proxy denominator

Alphabet’s 2026 proxy bases ownership percentages on 5,823,665,113 Class A shares and 835,779,041 Class B shares outstanding as of April 6, 2026. The proxy also explains how qualifying options and convertible securities affect a holder’s beneficial ownership. This illustrates why class and date must travel with every number. See the statement at https://www.sec.gov/Archives/edgar/data/1652044/000130817926000342/goog-20260424.htm. Those counts are dated company examples, not general market statistics.

Update an older proxy with later insider filings

If your question is “What did insiders own on the proxy date?”, stop at the proxy table. If your question is “What may they own now?”, use the proxy as the baseline and inspect subsequent Forms 3 and 4 in EDGAR.

  1. Note the proxy table’s measurement date and each insider’s reported holdings.
  2. In EDGAR, filter for the insider’s Forms 3 and 4 after that date.
  3. Read transaction codes and derivative-security rows, not just the total number displayed in a search result.
  4. Adjust your narrative for purchases, sales, grants, exercises, conversions and transfers that are clearly reported.
  5. State that the result is an estimate or updated snapshot if the company has not published a new complete beneficial-ownership table.

A Form 4 can show a transaction after the proxy while leaving other beneficial-ownership assumptions unresolved. For that reason, it is evidence of a change, not a substitute for the proxy’s complete definition and denominator.

Common mistakes and how to fix them

Using a search-engine snippet or an undated finance page

Fix: Open the actual 10-K or 10-Q and copy the cover-page sentence with its class and date. Secondary pages may combine periods or omit share-class labels.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Dividing by the wrong class

Fix: Match the holder’s class to the same class in the table and denominator. For dual-class companies, calculate each class separately unless the proxy explicitly supplies a combined measure.

Mixing the cover-page date with the proxy date

Fix: Display both dates. Explain that the result compares two dated snapshots when they do not match.

Counting every option in the denominator

Fix: Include only securities treated as beneficially owned under the proxy’s rules, commonly those exercisable or convertible within 60 days for the named holder. Follow the footnote instead of applying a universal option count.

Treating beneficial ownership as direct ownership

Fix: Read disclosures about trusts, spouses, controlled entities and shared voting or investment power. Use “beneficially owned” in your description when the table uses that legal convention.

Calling the result a live percentage

Fix: Label it with the relevant dates. Issuances, repurchases, conversions, exercises and insider transactions can change both the numerator and denominator after filing.

Practical worksheet

For each company, create a small record before doing any arithmetic:

Field Entry to capture
Issuer identity Legal name, ticker and CIK confirmed in EDGAR
Company-wide count Number, class and “as of” date from the latest 10-K or 10-Q cover page
Ownership document DEF 14A filing date and table measurement date
Holder Director, executive officer or other named beneficial owner
Beneficial shares Table amount plus any footnote-defined components
Applicable denominator Proxy’s stated denominator, or a clearly labeled independent denominator
Reported percentage Company’s printed percentage, if supplied
Later changes Relevant Forms 3 and 4 filed after the proxy date

This worksheet prevents the most common error: attaching a precise-looking percentage to an unlabeled class or date.

Frequently asked questions

Where do I find shares outstanding for a public company?

Use the latest Form 10-K or Form 10-Q cover page and copy the number, security class and stated “as of” date. EDGAR is the primary source for locating those filings.

What’s actually slowing this PC down?

Where is insider ownership disclosed?

Usually in the definitive proxy statement under “Security Ownership of Certain Beneficial Owners and Management” or similar wording. If the 10-K incorporates Item 12 by reference, follow that reference to the proxy.

Should I use the proxy’s percentage or recalculate it?

Use the proxy’s percentage as the primary figure when provided, and recalculate only as a check after reading the footnotes. Holder-specific options, convertibles and indirect ownership can make a simple cover-page division differ from the company’s result.

How can I tell whether ownership changed after the proxy?

Search EDGAR for the insider’s Forms 3 and 4 filed after the proxy’s measurement date. These reports identify later transactions, but the proxy remains necessary for the original ownership definitions and assumptions.

Final checklist

  • EDGAR issuer identity and filing period confirmed.
  • 10-K or 10-Q cover-page shares copied with class and date.
  • DEF 14A ownership table located, including any Item 12 incorporation reference.
  • Proxy measurement date recorded separately from the cover-page date.
  • Holder’s beneficially owned shares and all footnotes read.
  • Options and convertibles counted only under the stated beneficial-ownership rules.
  • Formula uses the applicable class denominator.
  • Later Forms 3 and 4 checked if a newer snapshot is needed.
  • Result described as dated, not live.
