The starting point is the restraint-of-trade rule: an employer must show that the particular restriction is reasonable, and a court decides enforceability if the clause is challenged.
That makes the wording, duration, scope, job, business interests and circumstances important. Employees should not assume they are free to join a competitor, but employers should not assume a broadly drafted clause will hold. The guidance below reflects DBT material updated 19 February 2026, the Competition and Markets Authority (CMA) response of 25 February 2026, and Acas guidance updated 1 July 2026.

What is a non-compete clause?
A post-termination non-compete restricts what an individual may do after employment ends. It may stop the person working for a named competitor, working for businesses that compete with the former employer, or setting up a competing business. The restriction normally lasts for a stated period and may also define a geographical area or type of work.
It is one type of restrictive covenant. Acas distinguishes it from several related restrictions:

- [Deep Bass with Clear Vocals] High-performance drivers produce punchy bass while keeping vocals clean and detailed for everyday listening.
- Non-disclosure: limits use or disclosure of confidential or sensitive information.
- Non-solicitation: limits pursuing former employer clients or customers.
- Anti-poaching: limits encouraging former colleagues or other workers to leave.
- Non-competition: limits working for a competitor or starting a competing venture.
The labels do not decide the outcome. The court looks at the actual words and the circumstances in which the restriction operates. A contract can contain several covenants, each of which needs to be considered on its own terms.
Is my non-compete clause enforceable in the UK?
Under the current-law starting point set out by DBT, a non-compete, like any restraint-of-trade clause, is unenforceable unless the employer can demonstrate that it is reasonable. A court assesses that question if a challenge is brought. In DBT’s words: “The starting point under current law is that a non-compete clause, as with any clause in restraint of trade, is unenforceable, unless the employer can demonstrate it is reasonable, which is assessed by a court if a challenge is brought as to the clause’s enforceability.”
This is not a simple test based on the number of months. A short clause can still be too broad, while a longer period may be argued to be reasonable in a particular role and set of circumstances. The practical question is whether the restriction goes no further than needed to protect a legitimate business interest, taking account of the employee’s role and the contract’s precise language.
What a court is likely to examine
- Clarity: Is the prohibited activity, competitor group, territory and time period stated clearly enough to understand?
- Time: How long does the restriction last, and why is that period needed for the interest claimed?
- Geographical reach: Does the territory reflect where the employer actually competes, or is it wider than necessary?
- Role and access: Did the individual have relationships, confidential information, strategic knowledge or influence that the employer is trying to protect?
- Business interest: Is the clause directed at a recognisable interest such as confidential information, customer connections or workforce stability rather than simply preventing ordinary competition?
- Contract and circumstances: When was the clause agreed, how was it presented, and what was the person’s position when leaving?
These are decision factors, not a guaranteed checklist for either side. Acas cautions that restrictive-covenant law can be complex and that a specific contract and situation may require legal advice.

Is there a three-month limit on UK non-competes?
Not on the basis of the current materials. A government response in 2023 announced an intention to introduce a three-month statutory limit, with legislation to be brought forward when parliamentary time allowed. DBT’s later working paper, issued on 26 November 2025 and updated on 19 February 2026, expressly records that no action was taken. Treat the 2023 announcement as policy history, not as an operative cap.
The proposed limit was described as applying to Great Britain—England, Wales and Scotland. Employment law is devolved to Northern Ireland, so the proposal did not establish a single UK-wide rule. Because the proposal was not implemented according to DBT’s later account, an employee cannot rely on “three months” as a statutory safe harbour, and an employer cannot treat three months as an automatic guarantee of enforceability.
Legislation and policy can change. Anyone making a high-stakes employment decision should check the law and obtain advice at the time of the decision rather than relying on the abandoned proposal.

DBT’s 2025 working paper sought views on whether and how proposals should proceed; it was not a formal consultation and did not enact a new rule. The options discussed differ in coverage, duration and whether they prohibit non-competes altogether.

| Option discussed by DBT | Who would be covered | Restriction type | Issues for workers | Issues for employers |
|---|---|---|---|---|
| General duration limit | Potentially all workers subject to the rule | Cap rather than a complete ban | More predictable mobility after the cap expires | Less time to protect information, customer connections or investment |
| Different limits by company size | Categories based on employer size | Cap, with different treatment by size | Rights could vary with the employer’s category | Large and small employers could receive different protection periods |
| Complete ban | All workers within the legislation | Non-competes prohibited | Greatest freedom to change jobs or start a business | Greater reliance on confidentiality, non-solicitation and anti-poaching terms |
| Ban below a salary threshold | Workers below a specified pay level could not be bound | Ban for one group; existing rules for others | Lower-paid workers gain mobility without waiting for a term to expire | Employers may retain non-competes for higher-paid roles |
| Combined threshold and duration limit | Coverage and maximum period vary by pay level | Ban below the threshold and cap above it | Protection depends on earnings and the applicable cap | Attempts to balance mobility with protection for senior or highly paid roles |
On 25 February 2026, the CMA endorsed a combined approach: a ban below a salary threshold and a statutory duration limit above it. That is the CMA’s recommendation, not evidence that the government adopted the approach. Until legislation is made and brought into force, the restraint-of-trade starting point remains the relevant framework.
How common are non-competes?
DBT’s working paper reports earlier evidence rather than presenting all figures as new 2026 measurements. It says around 5 million employees in Great Britain had a contract containing a non-compete, with a typical duration of around six months. The same paper reports that 71% of non-compete clauses were longer than three months, citing YouGov polling conducted under the previous government’s consultation.
| Group or measure | Figure reported | Qualification |
|---|---|---|
| Employees in Great Britain with a non-compete | Around 5 million | Reported in DBT’s 2025 working paper, drawing on previous analysis |
| Typical clause duration | Around six months | Reported in the same DBT paper; not a statutory term |
| Clauses longer than three months | 71% | YouGov polling cited by DBT from the previous government’s consultation |
| Workers earning under £99,000 | 20–30% appeared to have non-competes | CMA research as reported by DBT; not presented as a 2026 survey |
| Workers earning £100,000 or more | More than 40% appeared to have non-competes | CMA research as reported by DBT; not presented as a 2026 survey |
| Teaching and retail workers | More than 10% | DBT’s 2025 paper reports this from cited evidence |
| Accommodation or food-services workers | More than 20% | DBT’s 2025 paper reports this from cited evidence |
The figures show why the policy debate covers more than executives and specialist engineers. They do not determine whether an individual clause is reasonable or enforceable.

- Find every post-termination restriction. Check the employment contract, variations, promotion letters, shareholder or partnership documents and any policy incorporated by reference.
- Classify the restriction. Mark whether each paragraph is a non-compete, confidentiality, non-solicitation or anti-poaching term. A confidentiality obligation is not the same as a ban on working for a competitor.
- Record the exact limits. Note the start date, duration, territory, named competitors, activities prohibited and any definitions such as “competing business” or “customer.”
- Check what triggers it. Some wording may apply on every departure; other wording may distinguish resignation, dismissal or breach. Do not assume that handing in notice ends the obligation.
- Compare the wording with your actual role. Consider what information, customer relationships and strategic knowledge you held, and whether the proposed new work would fall within the stated restriction.
- Preserve evidence and avoid misuse of information. Keep your contract and relevant correspondence, but do not copy, forward or use confidential employer material. A dispute about a non-compete can coexist with a separate confidentiality claim.
- Obtain advice before committing to the move if the risk is material. Acas says this area can be complex. A solicitor can assess the particular wording, facts and jurisdiction; general explanations cannot predict a court’s decision.
Can I work for a competitor after I leave?
There is no universal yes-or-no answer. A written clause may be challenged, but until the issue is resolved an employer might seek an injunction or other remedy. Conversely, an employer cannot make a broad restriction enforceable merely by inserting it into a contract.
Illustration: a narrowly defined technical role
Suppose a developer had access to a specific unreleased product and a clause limited work on that product’s direct competitors for a short, defined period. The employer could argue that the restriction protects confidential information. The employee could still question whether the competitor definition, period and geographic reach go further than necessary. Only the actual contract and circumstances would determine the result.
Illustration: a broad restriction on an ordinary role
If a clause purports to prevent a worker from taking any job in an entire industry, across a wide territory and for a lengthy period, its breadth may create a reasonableness problem. That is an illustration of the issue, not a prediction that the clause will fail.
What can employers use instead of a non-compete?
Employers should identify the interest they are protecting and choose the narrowest covenant that addresses it. Depending on the situation, that may mean:
Best Value
- Confidentiality and non-disclosure terms focused on defined sensitive information, with clear handling and return obligations.
- Non-solicitation terms aimed at customers or clients with whom the worker had a relevant connection.
- Anti-poaching terms addressing attempts to recruit identified colleagues or teams.
- Access controls and information governance that reduce unnecessary exposure to trade secrets and customer data while someone is employed.
- Careful drafting and review when a worker changes role, receives a promotion or gains new access, rather than relying on a generic covenant for everyone.
These alternatives are not automatically enforceable either. They still need clear, specific and time-restricted wording, and their scope must fit the interest claimed. Acas advises employers to consider legal advice before including restrictive covenants in contracts.
Do not confuse non-competes with exclusivity clauses
An exclusivity clause controls whether someone can work for another employer during the employment relationship. A non-compete operates after employment ends. Acas separately describes statutory restrictions on exclusivity clauses for certain workers, including zero-hours workers and people earning at or below the lower earnings limit.
The Acas page cited here gives that lower earnings limit as £129 per week. That figure depends on the tax year and is not a salary threshold for non-competes. It should not be used to decide whether a post-termination restriction is valid.

Great Britain, Northern Ireland and changing rules
The announced 2023 three-month proposal was framed for Great Britain, while employment law is devolved to Northern Ireland. Because DBT later recorded that no action was taken, there is no single enacted three-month rule to apply across those jurisdictions in the materials covered here. Contracts involving cross-border work can raise additional questions about governing law, territory and where the employee will work; obtain advice that addresses the actual jurisdictions involved.
A practical decision framework
| Question | If the answer is yes | If the answer is unclear or no |
|---|---|---|
| Does the clause clearly identify the restricted activity and period? | Keep analysing the scope and business justification. | Ambiguity may increase dispute risk; obtain advice before relying on it. |
| Is there a specific confidential-information, customer or workforce interest? | Consider whether a narrower covenant protects that interest. | A broad ban may be harder to justify. |
| Does the territory match the employer’s real market? | Check whether the new job falls inside it. | Overly wide geography can be a reasonableness concern. |
| Has any new legislation actually come into force? | Apply the enacted text and commencement date. | Do not treat announcements or recommendations as law. |
| Would the move involve confidential information or solicitation? | Separate those risks from the non-compete question. | Consider confidentiality and contact restrictions independently. |
The safest practical approach is to treat the clause as a live contractual issue until its wording and circumstances have been assessed, while avoiding any use of confidential information. Employers should document the interest they need to protect and tailor each restriction rather than assuming a standard clause will survive scrutiny.
