In the U.S., these are practical review points—not a universal legal checklist. State law and the details of the engagement matter.
Start with the work the agreement actually promises
“Bookkeeping” can describe very different services. The agreement should name the tasks, outputs, schedule, and exclusions rather than relying on that broad label. Commercial contract examples commonly spell out scope, deliverables, fees, access, and termination, but those examples are not legal requirements (commercial contract examples).

Define tasks, reports, and deadlines
List only the work both sides expect. Depending on the engagement, that might include transaction categorization, account reconciliations, accounts-payable or accounts-receivable support, payroll data entry, or monthly financial statements. Identify which reports you will receive, their format, the monthly close schedule, and delivery dates. Specify how you review or approve transactions and reports, and what happens to deadlines when you provide information late.

Write down what is excluded
Do not assume that “bookkeeping” includes tax-return preparation or advice, audit representation, bill payment, payroll filings, or financial planning. The contract should say whether each relevant service is included, excluded, or available only under a separate agreement. It should also explain how either party can authorize new work and whether that requires written approval.

Work out the full cost, including work outside the base fee
Identify whether the fee is fixed, hourly, tiered, or tied to transaction volume. For a fixed or tiered price, check the assumptions behind it: included accounts, transaction limits, service frequency, and any other volume thresholds. A headline monthly fee is hard to compare without those details.
Check extra charges and billing terms
Look for rates or approval rules for cleanup and catch-up work, amended periods, additional accounts, rush requests, meetings, and out-of-pocket expenses. Also check when invoices are issued, when payment is due, what happens if a charge is disputed, and whether late-payment terms apply.
The agreement should explain how and when the provider may change prices and how much notice you receive. Compare the likely total cost for the work you expect—not just the base fee—and include any termination or transition charges when evaluating alternatives.

Assign responsibilities and preserve account access
The agreement should state which records and documents you must supply, when they are due, who approves transactions or reports, and who is authorized to initiate payments or payroll actions. Clear approval boundaries matter: access to bookkeeping data does not necessarily mean a provider should be able to move money or make business decisions.
Know who controls the systems
Name the bookkeeping platform and identify who owns the account. Check the provider’s permission level, how credentials and authentication are handled, and whether you can continue to sign in and retrieve records throughout the engagement. Ask how you can obtain a complete, usable copy of the accounting file in its native format, along with supporting documents.
The IRS explains that using a third party to provide services for electronic records does not remove a taxpayer’s recordkeeping obligations under its automated-records guidance (IRS automated-records guidance). That is the taxpayer’s responsibility; the agreement should separately define what the bookkeeper will do. Make sure you can access and support your own tax records if the provider or platform is no longer available.

Check confidentiality, security, and record handling

If subcontracting is allowed, check whether the same confidentiality and security obligations apply to those parties.

Check whether the agreement describes safeguards, backups, incident escalation, and how and when you will be notified of a suspected data incident. IRS Publication 5708 offers security-planning topics for tax and accounting practices, including access, incident handling, and retention (IRS Publication 5708). It is a useful prompt for questions, not proof that every suggested clause is legally required in every ordinary bookkeeping engagement.
Set retention and return expectations
Ask how long the provider keeps your records, what it returns at the end of the engagement, how the return is secured, and whether and when provider copies are deleted. The agreement should distinguish the records you need to operate and meet recordkeeping duties from any provider workpapers, and explain what happens to each. No single retention period applies to every engagement.

Plan for termination and a workable handoff
Review exit terms before you need them. The agreement should explain how either party can terminate, what notice is required, and whether a party has an opportunity to cure a breach before termination where applicable. Check what fees remain due and what services and reports the provider will complete through the end date.
Make the records portable
Look for the handoff format and timing, transition assistance, and any charges for migration, cleanup, or help moving to another provider. Confirm when your system access will be removed and how you will receive the final close, reports, accounting file, and supporting records. Ask which workpapers the provider retains and for how long.

Read liability and dispute terms for your actual risks
Check which claims or losses the agreement covers or excludes, including negligence, confidentiality breaches, data incidents, and unpaid fees. Do not assume a liability cap is standard or enforceable: an appropriate term depends on the agreement, exposure, and jurisdiction. For material risks, ask a local lawyer to review the provision.
Also review the stated governing law and dispute venue, how amendments must be made, and whether electronic signatures are addressed. Requirements and enforceability can vary by state and engagement; the cited commercial examples do not establish state-specific rules (commercial contract examples).
Use this checklist to compare agreements
For each provider, compare the same practical points rather than treating a familiar-looking template as proof that the terms fit:
- Work and timing: Are tasks, exclusions, reports, deadlines, and approval steps explicit?
- Total cost: Are volume assumptions, extra-work rates, expenses, price changes, and exit charges clear?
- Responsibilities and controls: Who supplies records, approves work, and can initiate payments or payroll actions?
- Security: What safeguards, access limits, subcontractor rules, and incident procedures apply?
- Records: Can you retrieve a complete accounting file and supporting documents, and are return, retention, and deletion addressed?
- Exit: Are notice, final work, access removal, transition support, and handoff costs specified?
If an engagement involves federal tax information handled under a government arrangement, it may be subject to specialized safeguards. IRS Publication 1075 includes contract provisions addressing authorized access, confidentiality, and subcontracting (IRS Publication 1075). That publication concerns a special federal tax-information context; it is not a general statutory checklist for an ordinary small-business bookkeeping contract.
