A product people recognize is not automatically a good investment. Before committing money, verify real customer demand, repeat purchases, contribution economics, operational resilience, the security and exemption being offered, valuation, dilution, and the limited prospects for resale. The legal details below are U.S.-specific; your decision must be based on the company’s current offering documents and the law that applies to your jurisdiction.
Start by identifying exactly what you are buying
“Investing in a brand” can mean buying common stock, preferred stock, a convertible note, a SAFE-like instrument, or another private security. Each can give you different voting rights, conversion terms, liquidation priority, information rights, and exposure to dilution. A crowdfunding page or pitch deck is not a substitute for the formal offering statement or private-placement documents.

Write down the issuer’s legal name, the security type, price per share or conversion formula, minimum investment, financing target, maximum raise, closing date, and the rights attached to your investment. If you cannot explain how the security becomes valuable, what happens in a sale, and what happens if the company raises more money, you do not yet understand the investment.
Test whether demand is real and repeatable
Define the customer and the problem
Ask who actually buys the product, what need or preference it serves, and why that customer chooses it over substitutes. “Everyone is a potential customer” is not a usable market definition. Request sales by product SKU, channel, geography, and month, together with the definitions used for “customer,” “order,” “active user,” and “repeat buyer.”

Separate attention from purchasing behavior
Social followers, press coverage, a large addressable-market estimate, and a successful preorder campaign can indicate interest without proving durable demand. Look for completed transactions, refund and return rates, discounting, net revenue after promotions, and repeat-purchase cohorts. A cohort should show when customers first bought, how many purchased again, and over what period. Ask for the underlying time periods rather than a single blended retention percentage.
Check differentiation and channel access
Compare the product’s price, quality, design, ingredients or materials, customer experience, and switching costs with direct substitutes. Identify what prevents a better-funded competitor, retailer, or manufacturer from copying the offer. A distinctive logo is not a durable advantage if the product, supplier, and distribution can be replicated quickly.
Examine how customers are acquired. A brand dependent on one paid-ad platform, one marketplace, one retailer, or one “hero” SKU can lose revenue when an algorithm, fee schedule, buyer relationship, or product launch changes. Customer concentration should be measured from actual revenue, not from management’s list of potential accounts.

Rebuild the unit economics from cash, not slogans
Calculate gross margin consistently
Reconcile reported revenue to the costs required to deliver each order. Ask whether product cost includes manufacturing, packaging, inbound freight, tariffs, warehousing, and spoilage. Add outbound shipping, fulfillment, payment processing, discounts, returns, refunds, customer support, and marketplace or retailer fees. A high gross margin before these variable costs can still produce a negative contribution margin.

Test customer-acquisition payback
Request acquisition cost by channel and cohort, not only a company-wide average. Compare the first-order contribution with the time and additional margin required to recover acquisition spending. A claimed lifetime value is a forecast: ask how many months of observed repeat behavior support it, which costs are deducted, and which assumptions extend beyond the company’s actual history. Stress-test the result if conversion falls, advertising becomes more expensive, repeat purchase slows, or discounts increase.
Follow cash through the inventory cycle
Consumer companies often pay suppliers and manufacturers well before they collect from a retailer or marketplace. Map minimum order quantities, deposits, production lead times, freight, warehouse dwell time, payment terms, and the date cash is received. Review inventory aging by SKU and identify products at risk of expiration, fashion obsolescence, damage, or regulatory withdrawal. A profitable income statement does not remove the need to finance inventory and receivables.
SEC filings from named consumer companies identify customer acquisition and retention, inventory management, forecasting, supplier reliability, and product safety or claims as operating risks. Those filings are useful questions to ask, not evidence of category-wide failure rates or average consumer-startup economics.

Verify quality and product safety
Ask for test protocols, certificates, batch or lot traceability, complaint logs, recall procedures, and insurance coverage. Establish who is responsible when a product fails specification or injures a customer. The diligence standard changes by category: food, cosmetics, supplements, household goods, children’s products, and other regulated products can have different labeling, substantiation, registration, and advertising obligations. Because the product category and jurisdiction are unspecified here, obtain advice from qualified regulatory counsel or a compliance specialist rather than assuming a general rule applies.
Check claims and labels
Compare marketing claims with the evidence supporting them. “Clinically proven,” environmental, health, performance, or “made in” statements can create legal and refund exposure if they are not accurately substantiated. Confirm that the issuer, not an informal founder arrangement, controls the relevant trademarks and other intellectual property.
Read the offering documents against the pitch
Use the formal disclosure to reconcile the company’s story with its obligations and financial condition. For a U.S. Regulation Crowdfunding offering, the issuer’s disclosure generally addresses the business, use of proceeds, securities and pricing, target amount and deadline, related-party transactions, financial condition, and required financial statements. The applicable accounting and financial-statement requirements depend on the offering amount, issuer history, and rules in force when the offer is made. Confirm the current Securities and Exchange Commission (SEC) guidance and the actual filing instead of importing an old threshold.

Check that the pitch’s revenue, customer, margin, and growth claims match the definitions and periods in the filed statements. Look for debt, guarantees, litigation, leases, related-party payments, founder compensation, and prior securities issuances. A use-of-proceeds schedule should show what happens if the company raises less than its target and which expenses are discretionary.

An online listing does not mean the SEC approved the investment. Under the SEC’s crowdfunding summary (2024 page, last reviewed April 24, 2025), Regulation Crowdfunding offerings use an SEC-registered intermediary. The issuer limit is an aggregate $5 million through Regulation Crowdfunding offerings in a 12-month period; that is a fundraising ceiling for the exemption, not a valuation or expected return. Non-accredited investors are subject to investment limits, and crowdfunding securities generally cannot be resold for one year.
Identify the exemption before comparing investor protections
| Feature | Regulation Crowdfunding | Rule 506(b) |
|---|---|---|
| How the offer is conducted | Through an SEC-registered online intermediary | Public solicitation generally is not permitted |
| Issuer fundraising limit | $5 million aggregate in a 12-month period | No comparable limit stated in the cited rule summary |
| Who may invest | Non-accredited investors may invest subject to statutory limits; accredited investors may also participate | Unlimited accredited investors and up to 35 non-accredited investors in a 90-calendar-day period, subject to sophistication and disclosure requirements |
| Resale | Generally restricted for one year | Private-security resale restrictions depend on the facts and applicable securities rules |
Do not apply crowdfunding assumptions to a Rule 506(b) private placement. Rule 506(b) generally bars public solicitation, permits unlimited accredited investors, and permits up to 35 non-accredited investors during a 90-calendar-day period when the required sophistication and disclosure conditions are met. Read the actual exemption language, subscription agreement, investor representations, and transfer restrictions.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Assess valuation, dilution, and downside
Use revenue quality, not a headline multiple
No fair valuation can be established for an unnamed company without its financials, cap table, security terms, and market context. Compare the proposed valuation with the quality and durability of current revenue, gross profit after variable costs, growth rate, working-capital requirements, and the amount of additional capital likely to be needed. If comparable transactions are used, ensure they involve similar products, scale, growth, geography, and security rights.
Read the cap table and conversion terms
Request a fully diluted capitalization table showing founders, employees, options, warrants, prior preferred rounds, notes, SAFEs or similar instruments, and the proposed issuance. Model dilution under at least three cases: the company raises only the current round, raises additional capital at a lower valuation, and fails to raise enough to execute its plan. For preferred securities, inspect liquidation preferences, participation, dividends, anti-dilution provisions, conversion triggers, voting rights, and information rights. For convertible instruments, inspect the valuation cap, discount, interest, maturity, conversion events, and what happens if no qualifying financing occurs.
Best Value
Include debt and senior claims
Debt, unpaid supplier balances, equipment leases, and liquidation preferences can receive value before common shareholders. Ask what proceeds would remain for your security after liabilities and senior preferences in a sale at several plausible values, including a result below the latest valuation.
Plan for illiquidity and total loss
Private startup securities can be difficult or impossible to resell. SEC materials describe an acquisition or public offering as possible liquidity routes, not promised outcomes, and note that private-company securities are often illiquid. An exit may take years, arrive after further dilution, or never occur. Do not commit money needed for living expenses, emergency reserves, taxes, or near-term obligations.
An issuer filing from 2020 states: “Start-up investing is risky. Investing in early-stage companies is very risky, highly speculative, and should not be made by anyone who cannot afford to lose their entire investment.” That is the warning in that issuer document, not a guarantee or a standalone SEC rule. Your personal tax treatment, eligibility, and concentration risk require advice appropriate to your jurisdiction and circumstances.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsUse a repeatable diligence process
- Collect primary documents. Obtain the offering statement or private-placement memorandum, subscription agreement, cap table, financial statements, material contracts, debt schedule, and intellectual-property ownership records.
- Verify the issuer. Confirm the legal entity, jurisdiction, directors and officers, prior financings, related-party transactions, and authority of the person accepting your subscription.
- Reconcile operating data. Tie sales, refunds, returns, inventory, cash, and customer metrics to the same periods in the financial statements. Ask for raw definitions and cohort dates.
- Interview management with specific tests. Ask what failed, which assumptions changed, the largest customer and supplier concentrations, the next cash shortfall, and the plan if the raise closes below target.
- Stress-test the model. Lower conversion and repeat rates, raise acquisition costs, extend production lead times, increase returns, reduce the selling price, and delay retailer payments. Record the cash runway under each case.
- Review legal and category exposure. Have qualified counsel or specialists review product claims, labels, safety obligations, privacy practices, employment issues, and material contracts where appropriate.
- Compare the security. Evaluate rights, liquidation priority, conversion, dilution, fees, transfer restrictions, and information access—not merely the brand story or percentage ownership.
- Document your decision. Keep the final documents, assumptions, questions, answers, subscription confirmation, and a schedule for monitoring financial and operational updates.
Warning signs that require a pause
- Management supplies forecasts but not SKU-level sales, cohort retention, refund data, or cash reconciliations.
- A “lifetime value” depends mostly on projected purchases rather than observed repeat behavior.
- Gross margin excludes fulfillment, shipping, payment fees, discounts, returns, or support costs without a clear explanation.
- One retailer, marketplace, advertising platform, supplier, or hero product accounts for a large share of revenue or capacity.
- Inventory is rising faster than sales, aged stock is not disclosed, or the next production deposit is unfunded.
- Product claims, safety testing, labels, insurance, or intellectual-property ownership are unclear.
- The valuation is justified by a broad market-size figure while current revenue quality and capital needs are not addressed.
- The issuer will not provide the complete security terms, cap table, related-party disclosures, or financial statements required for the offering.
- Urgency, guaranteed-return language, or claims that an intermediary or the SEC “approved” the investment replace substantive disclosure.
How to compare two actual consumer-brand offerings
Use the same definitions and time period for both companies. Compare observed demand with projected demand; repeat-purchase cohorts; gross margin and contribution after acquisition, fulfillment, returns, and discounts; inventory and cash-conversion requirements; supplier, retailer, marketplace, and SKU concentration; valuation, debt, dilution, and security rights; and resale restrictions with plausible liquidity paths. A company with slower top-line growth may be stronger if its customers repeat, its contribution is positive, and its cash cycle is manageable. Conversely, rapid sales growth can increase risk when each new order consumes cash.
Make the decision only after the evidence matches the terms
Proceed only when you can state, in plain language, who pays, why they return, how each order contributes cash, what could interrupt supply or compliance, what your security receives in a downside scenario, and why the price is reasonable relative to the company’s current evidence. If a material answer depends on a forecast, label it as a forecast and size your investment accordingly. If the documents do not answer a material question, treat that gap as a reason to stop or seek professional advice—not as evidence that the risk is low.
